FIRST AMENDMENT TO CONTINUING CONTRACT <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> This First Amendment to Continuing Contract %reement for Professional Services ("First <br /> Amendment') is entered into effective as of April2007, by and between INDIAN RIVER <br /> COUNTY, a political subdivision of the State of Floida,'1840 25h Street, Vero Beach, FL 32960 <br /> ("County")and SCHULKE, BITTLE&STODDARD, L.L.C., 1717 Indian River Blvd., Vero Beach, FL <br /> 32960("Consultant"). <br /> BACKGROUND RECITALS <br /> A. Effective April 6, 2004, the County and the Consultant entered into the Continuing Contract <br /> Agreement for Professional Services CAgreement"). <br /> B. The County and the Consultant desire to amend the Agreement by adding a new paragraph <br /> 4.3, in accordance with the provisions of the Agreement, as set forth in this First Amendment. <br /> NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br /> which is hereby acknowledged, the parties hereto, intending to be legally bound, covenant and <br /> agree to amend the Agreement as follows: <br /> (1) The Background Recitals are true and correct and form a material part of this First <br /> Amendment; <br /> (2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the <br /> Agreement as follows: <br /> 4.3 Pursuant to the terms of this Agreement, the County hereby extends the Initial <br /> Term of this Agreement for a maximum term of three (3) years ("Extension Term"). <br /> The Extension Term shall commence as of April 7, 2007, subject to a sooner <br /> termination in accordance with the terms of this Agreement, and shall end on April <br /> 6, 2010. The County and the Consultant agree to waive the Agreement provision of <br /> ninety (90)days prior notice of intent to extend the Agreement. <br /> (3) All terms and conditions of the Agreement not amended herein remain in full force and <br /> effect. <br /> IN WITNESS WHEREOF, the County and the Consultant have caused this First <br /> Amendment to be signed by their respective duly authorized officers as of the day and year first <br /> stated above. <br /> Consultant: SCHULKE, BITTLE & INDIAN RIVER COUNTY, FLORIDA <br /> DDARD, L.L.C.
