<br />the of Premises; there are no outstanding options or rights of first refusal to purcha0eRtIVAITMAIIKor any
<br />portion thereof or interest therein; and there are no parties (other than County) in possession of the Premises.
<br />(i) It is intended that the legal description of the Premises accurately reflect an "as -built" survey of the light
<br />tower and accordingly the parties agree that, if any part of such tower, buildings, roadways or utilities related to
<br />the light tower located on the Premises is located beyond the legal description of the Premises or any easements
<br />specified in the License, the License is hereby amended to provide that the Premises includes the existing
<br />location of any such improvements as part of the Premises demised in the License, to the extent that such
<br />improvements are located on real property owned by County.
<br />(h) To the extent allowed by law, the County hereby agrees to indemnify, defend, and hold harmless T -
<br />Mobile and its officers, directors, shareholders, agents, and attorneys for, from, and against all damages asserted
<br />against or incurred by any of them by reason of or resulting from a breach by County of any representation,
<br />warranty, or covenant of County contained herein or in any agreement executed pursuant hereto.
<br />10. HOLD OVER TENANCY. Should T -Mobile or any assignee, sub -licensee of T -Mobile hold over the
<br />Premises or any part thereof after the expiration of the term set forth herein, such holdover shall constitute and
<br />be construed as a tenancy from month-to-month only, but otherwise upon the same terms and conditions.
<br />11. INDEMNITIES. To the extent allowed by law, the parties agree to indemnify, defend and hold
<br />harmless the other party, its parent company or other affiliates, successors, assigns, officers, directors,
<br />shareholders, agents and employees (collectively, "Indemnified Party"), from and against all claims and
<br />liabilities (including reasonable attorneys' and fees court costs) caused by or arising out of (i) the indemnifying
<br />party's breach of any of its obligations, covenants, or warranties contained herein, or (ii) such party's acts or
<br />omissions with regard to the License. However, in the event of an Indemnified Party's contributory negligence
<br />or other fault, the Indemnified Party shall not be indemnified hereunder to the extent that the Indemnified
<br />Party's negligence or other fault caused such claim or liability.
<br />12. INSURANCE.
<br />(a) T -Mobile shall insure against property damage and bodily injury arising by reason of occurrences
<br />on or about the Premises in the amount of not less than $1,000,000. The insurance coverage provided for herein
<br />may be maintained pursuant to master policies of insurance covering other tower locations of T -Mobile and its
<br />corporate affiliates. All insurance policies required to be maintained by T -Mobile hereunder shall be with
<br />responsible insurance companies, authorized to do business in the state where the Premises are located if
<br />required by law, and shall provide for cancellation only upon 10 days' prior written notice to County. T -Mobile
<br />shall provide County certificates of such insurance.
<br />(b) County is self-insured and warrants it carries sufficient general property fire, hazard and casualty
<br />insurance appropriate for County's improvements on County's Property, and in such amounts to cause the
<br />replacement/restoration of the Property (excluding T -Mobile's improvements and personal property) in the
<br />event of casualty. However, County is under no duty to insure or protect any other entities equipment or
<br />improvements damaged by storm, hurricane, lightning, flood or other weather events and acts of God.
<br />13. INTERFERENCE. During the term of this License, County, its successors and assigns, will not grant any
<br />ground lease, license, or easement with respect to any property adjacent to the Premises: (a) for any of the uses
<br />contemplated in paragraph 5 herein; or (b) if such lease, license, or easement would detrimentally impact T -
<br />Mobile's Communications Facilities, or the use thereof.
<br />14. RIGHT OF FIRST REFUSAL. If during the term of this License, as might be renewed or extended the
<br />County shall have received a bona fide arm's length offer to purchase the Premises from any third party, the
<br />County shall serve a notice (the "Transfer Notice") upon T -Mobile. The Transfer Notice shall set forth the
