While the <br /> Definitive Agreement would be prepared by counsel for the parties, the principal points of our <br /> understanding which we contemplate would be included in the Definitive Agreement are set forth <br /> herein. Additional provisions customary and usual to the transactions contemplated herein will be <br /> added. <br /> Permitting: WMIF will manage the permitting process. Permits will be held in the name of <br /> the County. The County will assist, to the extent permitted by law, in the process. It is estimated <br /> that the process will take approximately one month. Obtaining all required and appropriate <br /> permits shall be a condition precedent to construction of the transfer station. <br /> Location: The County will provide a location for the transfer station at the Indian River <br /> County Landfill. The location is set forth in the sketch attached. It includes a concrete pad that <br /> was previously utilized by the County as part of another structure.The County represents that <br /> the pad is structurally sound, is at an elevation suitable and appropriate for this project and can <br /> be utilized for the purposes herein. The pad is approximately 6240 sq. ft.The County represents <br /> that the location is serviced by appropriate access roads that can accommodate the vehicular <br /> traffic usual to a transfer station. WMIF is not obligated to design, improve or construct roadways <br /> or utility connections. <br /> Construction: The transfer station will be a turnkey pre-engineered tent-type structure without <br /> walls.Transfer trailer loading will be over-the-top.Trailers will be handled in a drive-through <br /> manner.This will be a turnkey key construction project.
