Section 7. 2 . MEDICAL STAFF BYLAWS AND RULES . There shall be Medical <br /> Staff Bylaws setting forth purposes , functions , organization and operation of the Medical Staff. <br /> The Medical Staff shall have the initial responsibility to periodically review, formulate , adopt <br /> and recommend , to the Board , Medical Staff Bylaws and amendments thereto which shall be <br /> effective when approved by the Board . If the Medical Staff fails to exercise this responsibility <br /> in good faith and in a reasonable , timely and responsible manner, after written notice from the <br /> Board to such effect including a reasonable period of time for response , the Board may resort <br /> to its own initiative in reviewing , formulating or amending the Medical Staff Bylaws . In such <br /> event , the Medical Staff recommendations and views shall be carefully considered by the <br /> Board during its deliberations and in its actions .. No provision in the Medical Staff Bylaws <br /> shall be valid if it is inconsistent with the Articles of Incorporation , these Bylaws or resolutions <br /> adopted by the Board . <br /> Section 7. 3 .- MEDICAL STAFF MEMBERSHIP AND CLINICAL PRIVILEGES . <br /> 7 . 3- 1 ASSIGNMENT BY THE BOARD . The Board shall assign to the <br /> Medical Staff, and the _ Medical Staff shall investigate and evaluate all matters relating to <br /> Medical Staff membership , staff category and departmental - assignments , privileges , <br /> prerogatives and corrective action . Based upon such investigation and evaluation , the Medical <br /> Staff shall adopt and forward to the President , specific written -professional recommendations <br /> supported and documented in a manner that will allow the Board to take informed" action . <br /> 7 . 3-2 = ACTION BY THE BOARD . Final Action on all matters of -the nature <br /> referred lo in this Section _ shall be taken by the Board after- - considering the Medical Staff <br /> recommendations , provided that the Board shall act in any event _ if the Medical Staff fails to <br /> adopt and submit-any- such recommendation within a reasonable period of time as determined <br /> by the Board or as may be more specifically defined within the Medical Staff Bylaws or Policy <br /> on Appointment, _Re-Appointment & Clinical Privileges . - Such Board action without a Medical <br /> Staff recommendation shall be based on the same kind of- documented investigation and <br /> evaluation of qualifications as is required for Medical Staff recommendations . <br /> 7 . 3-3 CRITERIA FOR BOARD ACTION. In acting on matters of the <br /> nature referred to in this Section , the Board shall consider the improvement of patient care in <br /> light of patient care criteria including , without limitation : the needs of the community ; the <br /> purposes , dedication , needs , functions , priorities , capabilities of and financial impact on the <br /> Hospital ; the existing capabilities and balance of capabilities of the Medical Staff as a whole ; <br /> the personal and professional qualifications of members and applicants ( including , without <br /> limitation , background , licensure , training , experience , demonstrated competence , reliability , <br /> responsibility , character , adherence to professional ethics , reputation , ability to work with <br /> others , physical , mental and emotional condition and stability , ability to perform the privileges <br /> requested , and previous performance and contribution as a team participant within institutional <br /> settings ) ; such additional criteria as may be specified in the Medical Staff Bylaws or Policy on <br /> Appointment, Re-Appointment & Clinical Privileges ; and the Medical Staff' s professional <br /> recommendations and supporting information with respect thereto . No aspect of Medical Staff <br /> membership nor specific clinical privileges shall be limited or denied to a practitioner on the <br /> 16 <br />
