Section 2 . <br /> The Chairman , Vice Chairman, Secretary , Treasurer and two additional Directors designated as <br /> " at-large " Directors by the Board of Directors shall serve as the Executive Committee of the Board of <br /> Directors , and the said Executive Committee shall be empowered to act on behalf of the Board of <br /> Directors during periods of adjournment. <br /> Section 3 : <br /> The officers of this Council shall be elected annually by the Board of Directors at the regular <br /> annual meeting of the Board of Directors held following the annual meeting of the membership . <br /> Article VII <br /> Staff <br /> The Board of Directors shall have the power to hire such staff as it deems necessary, or otherwise <br /> provide for the - management of the operation of the Council . <br /> Article VIII <br /> Committees <br /> Section 1 : <br /> The Board of Directors shall have the power to create any committee deemed necessary , either <br /> as a Standing Committee or Special Committee , and shall have the power to appoint a Chairman of any <br /> committee or to delegate such appointive powers to any other appropriate members . The Chairman shall <br /> be an ex-officio member of all committees except the Nominating Committee . Standing Committees shall <br /> include the Executive Committee (See Article VI, Section 1 ) , Nominating Committee and the Cultural <br /> Advisory Committee. <br /> Section 2 : <br /> The Cultural Advisory Committee shall include the head , or a designated representative of any <br /> private or public-not-for profit organization paying membership fees to the Council . The Cultural <br /> Advisory. Committee shall advise and assist the Board of Directors in the fulfillment of the Council ' s <br /> mission . A chairman of the Cultural Advisory Committee shall be appointed by the Council ' s Executive <br /> Committee . Unless otherwise specified at the time of appointment, the chairman of the Cultural Advisory <br /> Committee. shall be appointed to a one-year term, :provided that the chairman of the Cultural Advisory <br /> Committee may be removed by the Council ' s Exxcutive Committee at any time , without cause .
