AGREEMENT <br /> This agreement is made on May 9 o , 2005 by and between <br /> The City of Vero Beach , a municipal corporation organized and existing under the laws <br /> of the State of Florida , 1053 201h Place , Vero Beach , Florida 32960 ( " Cit " ) , and Indian <br /> River County , a political subdivision of the State of Florida , 1840 25t Street , Vero <br /> Beach , Florida 32960 ( "County" ) . <br /> WITNESS : <br /> WHEREAS , on January 20 , 2004 , City and County entered into a Contract for <br /> Sale and Purchase by which City sold to County and County bought from City the real <br /> property with the legal description as shown on Exhibit " B " attached hereto , consisting <br /> of approximately 6 . 84 acres of land and generally referred to as the City' s former public <br /> works facility ; and <br /> WHEREAS , County would like to redevelop this property as the new Indian River <br /> County Administration Complex ; and <br /> WHEREAS , to facilitate County' s planned redevelopment , City [ has abandoned , <br /> intends to abandon ] 27th Street between Lateral " E " Canal and 20th Avenue , and those <br /> portions of 17th , 18 h , and 19th Avenues lying north of Lateral " E " Canal and south of <br /> Main Canal ; and <br /> WHEREAS , City intends to abandon the bridge and culvert crossings over <br /> Lateral " E " Canal ( at 19th Avenue and 27th Street ) and transfer maintenance <br /> responsibility to County ; and <br /> WHEREAS , County is willing to enter into an agreement for transfer of the 27th <br /> Street and 19th Avenue Lateral " E " crossings ownership and maintenance responsibility ; <br /> and <br /> WHEREAS , City wishes to retain its rights to use these canal crossings for utility <br /> purposes , <br /> NOW THEREFORE , City and County agree as follows : <br /> 1 . Contingent upon the execution of this Agreement , City will abandon the <br /> bridge and culvert crossings over the Lateral " E " Canal ( at 19th Avenue and 27th Street) , <br /> more particularly described and shown on Exhibit "A" attached hereto . <br /> 2 . City hereby agrees to transfer its maintenance responsibilities of said <br /> canal crossings to County , and County hereby agrees to accept such maintenance <br /> responsibilities of said canal crossings . <br /> 3 .
