i Y pe FIRST AMENDMENT AND EXTENSION TO CONTINUING CONTRACT AGREEMENT FOR PROFESSIONAL SERVICES This First Amendment and Extension to Continuing Contract Agreement for Professional Services ("Extension") is entered into effective as of DECEMBER 13 , 20089 by and between INDIAN RIVER COUNTY , a political subdivision of the State of Florida , 1840 25th Street, Vero Beach , FL 32960 ("County') and APPLIED TECHNOLOGY AND MANAGEMENT, INC , having a principal place of business at 400 SOUTH AUSTRALIAN AVE , SUITE 300 , WEST PALM BEACH , FL ("Consultant") . BACKGROUND RECITALS A, Effective December 13 , 2005 , the County and the Consultant entered into the Continuing Contract Agreement for Professional Services ("Agreement's . B . The County and the Consultant desire to amend the fees pursuant to paragraph 1 . 5 , and to extend the Agreement by adding a new paragraph 4 . 3 , all in accordance with the provisions of the Agreement, as set forth in this Extension . NOW THEREFORE, for good and valuable consideration , the receipt and sufficiency of which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and agree to extend the Agreement as follows: ( 1 ) The Background Recitals are true and correct and form a material part of this Extension , (2) From and after the effective date of this Extension , paragraph 4 . 3 is added to the Agreement as follows : 4 . 3 Pursuant to the terms of Agreement , the County hereby extends the Initial Term of three (3) years ("Extension Term' . The Extension Term shall commence as of December 13 , 2008 , and is subject to a sooner termination in accordance with the terms of this Agreement, and shall end on December 13 , 2011 . The County and the Consultant agree that the fees set forth on Revised Exhibit 1 shall be in effect during the Extension Term pursuant to paragraph 1 . 5 of the Agreement , (3) All terms and conditions of the Agreement not amended herein remain in full force and effect, IN WITNESS WHEREOF , the County and the Consultant have caused this Extension to be signed by their respective duly authorized officers as of the day and year first stated above .
