f/ 4 <br /> ASSIGNMENT AND ASSUMPTION OF CONTRACT <br /> THIS ASSIGNMENT AND ASSUMPTION OF CONTRACT (the <br /> "Assignment") is made and entered into effective as of the 1St day of January, 2005 , by <br /> and between WCG/Neel - Schaffer, Inc . , a Mississippi Corporation ("Assignor") , and <br /> Neel- Schaffer, Inc . , a Mississippi Corporation ("Assignee") . <br /> RECITALS <br /> WHEREAS , Assignor and the Board of County Commissioners , Indian River <br /> County, Florida are parties to a certain contract described in "Exhibit A" , attached hereto <br /> and incorporated herein by reference (the "Contract") ; and <br /> WHEREAS , pursuant to the intent of Neel- Schaffer Engineers and Planners , Inc . , <br /> to consolidate its Florida operations of WCG/Neel- Schaffer, Inc . into Neel - Schaffer, Inc . , <br /> as of the 1 st day of January, 2005 , Assignor assigned to Assignee , and Assignee <br /> assumed, all of Assignor ' s right, title and interest in, and all of its obligations under all <br /> contracts, deeds of trusts , indentures , debts , obligations of any kind, liabilities and duties <br /> incurred by Assignor, including but not limited to the Contract described in Exhibit A <br /> attached hereto and incorporated herein by reference ; and <br /> WHEREAS , The County of Indian River has asked for assurance from <br /> Assignee of its acceptance of all of the responsibilities and its assumption of all of the <br /> obligations relative to the Contract described in Exhibit A. <br /> NOW, THEREFORE , in consideration of the mutual promises and covenants <br /> contained herein, the parties hereto agree as follows : <br /> 1 . Recitals . The recitals set forth hereinabove are true and correct in all respects and <br /> are incorporated herein as fully as if set forth herein verbatim. <br />
