business in the State of Florida , unless prior to such time both <br /> parties hereto agree in writing to a further assignment of this <br /> License to an affiliate of Capstar or other third party. <br /> d . Paragraph 10 : Change "License " to " Licensee" . <br /> e . Paragraph 11 : Change "a reasonable cost" to "all reasonable costs" . <br /> f. The existing Paragraph 14 of the License is deleted in its entirety and replaced <br /> with the following : <br /> Capstar as Licensee shall defend , indemnify, and hold <br /> harmless the County, and the County's officers , employees and <br /> agents (" Indemnified Parties ") , from and against any and all <br /> claims for damages , costs , third party claims , judgments , and <br /> expense to persons or property that may arise out of, or be <br /> occasioned by, any negligent, reckless , or intentional act or <br /> omission of Capstar, or of Capstar' s officers , employees or <br /> agents (collectively, the "Claims " ) , and Capstar shall indemnify <br /> the County against any such Claims that may be entered in <br /> connection therewith , including attorney fees . Capstar shall <br /> defend any and all Claims , and Capstar agrees to pay any <br /> judgment or judgments , including attorney fees , that may be <br /> entered against the County or against any of the County' s <br /> officers , employees , or agents , in connection therewith . <br /> Notwithstanding the foregoing , the parties agree that Capstar <br /> shall not be obligated to defend or indemnify the Indemnified <br /> Parties for Claims that arise out of the sole negligence of the <br /> Indemnified Parties . <br /> g . The existing Paragraph 15 of the License is deleted in its entirety and replaced <br /> with the following : <br /> Capstar shall , at least ten ( 10 ) days prior to the commencement <br /> of operations under this agreement, provide to the County a <br /> certificate of commercial general liability insurance with a <br /> reputable insurance company authorized to issue insurance <br /> policies in the State of Florida , subject to approval by the <br /> County' s risk manager, in an amount not less than $ 1 , 000 , 000 <br /> combined single limit for bodily injury and property damage , <br /> including coverage for premises/operations , <br /> products/completed operations , contractual liability, and . <br /> Capstar shall , at least ten ( 10 ) days prior to the commencement <br /> of operations under this agreement, provide to the County a <br /> certificate of business auto liability insurance with a reputable <br /> insurance company authorized to issue insurance policies in <br /> the State of Florida , subject to approval by the County' s risk <br /> manager, in an amount not less than $ 1 , 000 , 000 per <br /> 3 <br />
