FIRST AMENDMENT TO CONTINUING CONTRACT AGREEMENT FOR PROFESSIONAL SERVICES This First Amendment to Continuing Contract Agreement for Professional Services ("First Amendment') is entered into effective as of March 16 , 2008 , by and between INDIAN RIVER COUNTY, a political subdivision of the State of Florida , 1840 25" Street , Vero Beach , FL 32960 ("County") and CARTER ASSOCIATES , INC . , 1708 21 st Street, Vero Beach , FL 32960 , ("Consultant" ). BACKGROUND RECITALS A. Effective March 15, 2005 , the County and the Consultant entered into the Continuing Contract Agreement for Professional Services ("Agreement'). B . The County and the Consultant desire to amend the Agreement by adding a new paragraph 4 . 3, in accordance with the provisions of the Agreement, as set forth in this First Amendment. NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of which is hereby acknowledged , the parties hereto, intending to be legally bound , agree as follows: (1 ) The Background Recitals are true and correct and form a material part of this First Amendment. (2 ) From and after the effective date of this First Amendment, paragraph 4. 3 is added to the Agreement as follows: 4. 3 Pursuant to the terms of this Agreement, the County hereby extends the Initial Term of this Agreement for a maximum term of three (3) years ("Extension Term"). The Extension Term shall commence as of March 16 , 2008 , subject to a sooner termination in accordance with the terms of this Agreement, and shall end on March 15 , 2011 . The County and the Consultant agree to waive the provision in the Agreement that requires ninety (90 ) days prior notice of intent to extend the Agreement. (3 ) All terms and conditions of the Agreement not amended herein remain in full force and effect.
