FIRST AMENDMENT AND EXTENSION TO CONTINUING CONTRACT <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> This First Amendment and Extension to Continuing Contract Agreement for Professional <br /> Services (" Extension") is entered into effective as of DECEMBER 13 , 2008 , by and between <br /> INDIAN RIVER COUNTY, a political subdivision of the State of Florida , 1840 25'h Street , Vero <br /> Beach , FL 32960 (" County" ) and COASTAL TECHNOLOGY CORPORATION , INC , having a <br /> principal place of business at 3625 20TH STREET, VERO BEACH , FL ("Consultant" ) . <br /> BACKGROUND RECITALS <br /> A. Effective December 13 , 2005 , the County and the Consultant entered into the Continuing <br /> Contract Agreement for Professional Services ("Agreement') . <br /> B . The County and the Consultant desire to amend the fees pursuant to paragraph 1 . 5 , and to <br /> extend the Agreement by adding a new paragraph 4 . 3 , all in accordance with the provisions of the <br /> Agreement , as set forth in this Extension . <br /> NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of <br /> which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and <br /> agree to extend the Agreement as follows : <br /> ( 1 ) The Background Recitals are true and correct and form a material part of this <br /> Extension . <br /> (2) From and after the effective date of this Extension , paragraph 4 . 3 is added to the <br /> Agreement as follows : <br /> 4 . 3 Pursuant to the terms of Agreement, the County hereby extends the Initial <br /> Term of three (3) years (" Extension Term") . The Extension Term shall commence <br /> as of December 13 , 2008 , and is subject to a sooner termination in accordance with <br /> the terms of this Agreement, and shall end on December 13 , 2011 .
