11 . Broker. <br /> (A) The Seller represents and warrants to the Buyer that it has <br /> not engaged the services of a real estate broker with respect to the Property. <br /> Seller agrees to hold Buyer harmless from any real estate commission or fees <br /> which may be claimed to be due through the Seller or pursuant to the acts of <br /> Seller. Seller further covenants and agrees to indemnify Buyer for damages, <br /> court costs and attorneys' fees incurred as a result of any such claim. <br /> (B) The Buyer represents and warrants to Seller that it has not <br /> engaged a real estate broker with respect to the Property. To the extent <br /> permitted by law, Buyer agrees to indemnify and to hold Seller harmless <br /> from any real estate commissions or fees which may be claimed to be due <br /> through the Buyer or pursuant to the acts of Buyer. To the extent permitted <br /> bylaw, Buyer further covenants and agrees to indemnify Seller for damages, <br /> court costs and attorneys' fees incurred as a result of any such claim . <br /> (C) The obligations of Seller and Buyer hereunder shall survive <br /> the closing. <br /> 12. Documents to be Delivered , <br /> (A) Prior to Closing. At least ten (10) days prior to the Closing <br /> Date, Corrigan shall deliver to the District a public disclosure of its beneficial <br /> ownership which shall comply with the requirements set forth in Section <br /> 286 .23 , Florida Statutes , as from time to time amended. <br /> (B) By Seller at Closing. The Seller shall execute, acknowledge <br /> and deliver the following documents at the closing hereunder: <br /> (1) Corrigan shall deliver to District, a General Warranty Deed, <br /> in a form reasonably acceptable to the District, from Corrigan, conveying the <br /> fee simple title to Parcel 1 , in proper form for recording which shall be duly <br /> executed, acknowledged and witnessed . The legal description utilized on <br /> such General Warranty Deed shall be the legal description as set forth on the <br /> survey obtained in accordance with the provision hereof entitled Survey and <br /> Legal Description, <br /> (2) The District shall deliver to Corrigan, a Quit Claim Deed, in <br /> a form reasonably acceptable to Corrigan , conveying the fee simple title to <br /> Parcel 2 in proper form for recording which shall be duly executed, <br /> acknowledged and witnessed. The legal description used in the Quit Claim <br /> Deed shall be legal description as set forth on the survey obtained in <br /> accordance with the provision hereof entitled Survey and Legal Description . <br /> The Deed shall contain a reservation of a fifty-foot wide easement for ingress <br /> and egress across Parcel 2 for access by the District to adjoining lands owned <br /> by the District lying north and south of Parcel 2. Pursuant to Section <br /> 373 .099, Florida Statutes, the District shall not warrant title. <br /> (3) Corrigan shall deliver to the District a General Release , as <br /> described in Paragraph 30(A). <br /> 9 <br /> 451 <br />
