EXHIBI=1D <br />AGREEMENT FOR EXCHANGE AND SALE OF REAL PROPERTY <br />AND SETTLEMENT AGREEMENT <br />THIS AGREEMENT for exchange and sale of real property and <br />settlement agreement (hereinafter called ("Agreement"), is made and entered <br />into as of this 13t day ofl�f -C� i . 2008, by and between J. PAT <br />CORRIGAN FAMILY LIMITED PARTNERSHIP, a Florida Limited <br />Partnership, and HUGH CORRIG^ III, FAMILY LIMITED <br />PARTNERSHIP, a Florida Limited Partnership, whose mailing address is <br />7150 20TH Street, Suite E, Vera Beach, Florida 32966 (hereinafter referred <br />to as "Corrigan" or "Seller" of Parcel 1 as hereinafter defined, and `Buyer" of <br />Parcel 2 as hereinafter defined), and ST. JOHNS RIVER WATER <br />MANAGEMENT DISTRICT, a public body existing under Chapter 373 of <br />the Florida Statutes, whose mailing address is Post Office Box 1429, Palatka, <br />Florida, 32178-1429 (hereinafter referred to as the "District" or `Buyer" of <br />Parcel 1 as hereinafter defined and "Seller" of Parcel 2 as hereinafter <br />defined). <br />WITNESSETH THAT <br />WHEREAS, Corrigan is the owner of the fee simple title to certain real <br />property situate in Indian River County, Florida, as more particularly <br />described in Exhibit "A" attached hereto and by this reference made a part <br />hereof (hereinafter referred to as "Parcel 1"); and <br />WHEREAS, the District is the owner of the fee simple title to certain <br />real property situate in Indian River County, Florida, and as more <br />particularly described in Exhibit "B" attached hereto and by this reference <br />made a part hereof (hereinafter referred to as "Parcel 2"); and <br />WHEREAS, the terms Parcel 1 and Parcel 2 are hereinafter <br />cumulatively referred to as "the Property, and the terms Buyer and Seller <br />shall hereinafter refer to both parties as Buyer and Seller of their respective <br />parcel unless such party is specifically identified otherwise; and <br />WHEREAS, the District is a public body existing under Chapter 373 of <br />the Florida Statutes; and <br />WHEREAS, Corrigan and the District entered into an "Agreement for <br />Exchange of Real Property and Settlement Agreement" dated September 13, <br />2007 (the "September 2007 Agreement"); and <br />WHEREAS, since entering into the September 2007 Agreement, <br />circumstances involving the sale and exchange of lands pursuant to said <br />agreement have changed, such that Seller and Buyer seek to effect a novation <br />of the September 2007 Agreement, rescinding said agreement in toto and <br />replacing the September 2007 Agreement with this Agreement; and <br />WHEREAS, Corrigan has agreed to convey Parcel 1 to the District in <br />exchange for Parcel 2, and the District has agreed to convey Parcel 2 to <br />=E1 <br />
