Amendment: No amendment, modification, change, or alteration of this Agreement <br /> shall be valid or binding unless accomplished in writing and executed by all of the parties <br /> hereto. <br /> 14 . Binding Effect : This Agreement shall be binding upon and inure to the benefit of the <br /> parties hereto, and their successors and assigns. <br /> 15 . Entire Agreement: This Agreement contains the entire agreement and understanding <br /> between the parties . No representation, statement, recital, undertaking, or promise not <br /> specifically set forth herein shall be binding on any party hereto. <br /> 16 . Governing Law: This Agreement and all matters arising hereunder shall be governed by <br /> and construed in accordance with the laws of the State of Florida. Venue hereunder shall <br /> lie in Indian River County, Florida. <br /> 17 . Rules of Construction: <br /> A. This Agreement shall be deemed prepared jointly by each of the parties hereto and <br /> shall be construed on parity as between the parties. There shall be no canon of <br /> construction for or against any party by reason of the physical preparation of this <br /> Agreement. <br /> B . All words, terms, and conditions contained herein are to be read in concert, each <br /> with the other, and a provision contained under one paragraph may be considered to be <br /> equally applicable under another in the interpretation of this Agreement. <br /> 18 . Context : Whenever the singular number is used in this Agreement and when required by <br /> the context, the same shall include the plural ; and the masculine, feminine, and neuter <br /> genders shall each include the others . <br /> 19. Permitted Delays : Whenever performance is required of any party hereunder such party <br /> shall use all due diligence to perform and take all necessary measures in good faith to <br /> perform. Provided, however, that if completion of performance shall be suspended or <br /> delayed at any time by reason of acts of God, acts of governmental authority, explosion, <br /> accidents (including without limitation vehicular or aircraft), lightning, windstorm, <br /> hurricane, or other weather-related disturbance , flooding, acts of armed forces or public <br /> enemies, war, civil commotion, riots, strikes, picketing, or other labor disputes, <br /> unavailability of labor, equipment or materials or damage to work in progress by reason of <br /> fire or other casualty, title disputes or other litigation, or causes or conditions beyond the <br /> reasonable control of a party (other than financial reasons), then the time for performance <br /> as herein specified shall be appropriately extended by the time of the delay actually <br /> caused. The provisions of this Section shall not operate to excuse any party from the <br /> prompt payment of any monies required by this Agreement. <br /> 20 . Miscellaneous : <br /> A. The parties deem each other to be independent contractors, and not agents of the <br /> other. <br /> B . This Agreement is solely for the benefit of and shall be binding upon the formal <br /> parties hereto and their respective authorized successors and assigns, and no right or cause <br /> 9 <br />
