NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and <br />valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as <br />follows: <br />1. Incorporation of Recitals. The above recitals are true and correct and are incorporated herein as if <br />set forth in full. <br />2. Definitions. All capitalized terms not otherwise defined herein shall have the meanings set forth <br />in the Declaration of Easements for Parking. <br />3. Termination Date. The Declaration of Easements for Parking is hereby terminated for all <br />purposes as of the date of this Termination (the "Termination Date"). <br />4. Release of Liability. As of the Termination Date, the parties hereto hereby release each other and <br />their respective directors, officers, shareholders, members, partners, agents, and affiliates from any and all <br />obligations and liabilities arising out of, with respect to, or in any way pertaining to the Declaration of Easements <br />for Parking. <br />5. Termination of Parking_ Agreement. The Declaration of Easements for Parking arose out of that <br />certain Parking Agreement (as defined in the Facility Lease Agreement described in the Declaration of Easements <br />for Parking).
