Enforcement or Litigation Cost : The CONTRACTOR shall pay all costs and expenses that may <br /> be incurred by the County (i) in enforcing compliance by the CONTRACTOR with the <br /> provisions of this Contract, or (ii) in defending any proceeding or suit brought against the County <br /> for violation by the CONTRACTOR, of any law or ordinance, or (iii) in defending any action or <br /> suit for which indemnification is required thereunder. If the County in connection with this <br /> contract shall be, or be made , a party to any litigation with respect to arising out of, or related to , <br /> this contract, to the extend caused by the negligence, recklessness or intentional wrongful <br /> misconduct of the CONTRACTOR and persons used by the CONTRACTOR in performance of <br /> this contract, the CONTRACTOR shall pay all judgments , decrees and costs , including <br /> reasonable attorney's fees , incurred by or imposed upon, the County in connection therewith. <br /> Insurance : <br /> OWNERS and SUBCONTRACTORS Insurance : The CONTRACTOR shall not <br /> commence work until he has obtained all the insurance required under this section, and <br /> until such insurance has been approved by the OWNER, nor shall the CONTRACTOR <br /> allow any SUBCONTRACTOR to commence work until the SUBCONTRACTOR has <br /> obtained the insurance required for a CONTRACTOR herein and such insurance has been <br /> approved unless the SUBCONTRACTOR's work is covered by the protections afforded <br /> by the CONTRACTOR's insurance . <br /> Worker ' s Compensation Insurance : The CONTRACTOR shall procure and maintain <br /> worker' s compensation insurance to the extent required by law for all his employees to be <br /> engaged in work under this contract . In case any employees are to be engaged in <br /> hazardous work under this contract and are not protected under the workers compensation <br /> statute, the CONTRACTOR shall provide adequate coverage for the protection of such <br /> employees . <br /> Public Liability Insurance : The CONTRACTOR shall procure and shall maintain <br /> commercial general liability insurance (including contractual coverage) and commercial <br /> automobile liability insurance in amounts referenced in Exhibit A . The OWNER and <br /> ENGINEER shall be an additional named insured on this insurance with respect to all <br /> claims arising out of the operations or work to be performed. <br /> Proof of Insurance : The CONTRACTOR shall furnish the OWNER a certificate of <br /> insurance in a form acceptable to the OWNER for the insurance required . Such certificate <br /> or an endorsement provided by the CONTRACTOR must state that the OWNER will be <br /> given thirty (30) days written notice prior to cancellation or material change in coverage . <br /> Permits and Licenses : The CONTRACTOR shall procure all permits and licenses , pay all <br /> charges and fees and give all notice necessary and incidental to the performance of the work . <br /> The COUNTY will obtain site plan approval and will pay all site impact fees , if any. An <br /> existing Right of Way permit for the Roseland Convenience Center is Attached to this <br /> document . <br /> Assignment of Contract: The County reserves the right to terminate a contract by giving thirty <br /> (30) days notice in writing, of the intention to terminate if at any time the CONTRACTOR fails <br /> to abide by or fulfill any of the terms and conditions of the contract .
