FIRST AMENDMENT TO MASTER AGREEMENT [PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM (GIS ) SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005-2006 , PROJECT # 0532] This First Amendment to PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM (GIS) SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005-2006 , PROJECT # 0532 (" First Amendment' ) is entered into effective as of October 3 , 2007 (Effective Date" ) , by and between Indian River County, a political subdivision of the State of Florida , 1840 25th Street, Vero Beach , FL 32960 ("County") and Geographic Technologies Group , Inc. , a North Carolina corporation , 648 N . Spence Ave, Goldsboro, NC 27534 ("Consultant') . BACKGROUND RECITALS A . Effective October 4 , 2005 , the County and the Contractor entered into the PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM (GIS ) SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005-2006 , PROJECT # 0532 (" Master Agreement' ) . B . The County and the Consultant desire to extend the term of the Master Agreement as set forth in SECTION XVIII — DURATION OF AGREEMENT, and amend various provisions of the Master Agreement, all in accordance with the provisions of the Master Agreement, as set forth in this First Amendment. NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and agree to amend the Agreement as follows : ( 1 ) The background recitals are true and correct and form a material part of this First Amendment . (2) From and after the effective date of this First Amendment, SECTION XVIII — DURATION OF AGREEMENT is amended by adding the following at the end of existing SECTION XVIII : Pursuant to the terms of this Master Agreement, the County hereby extends the initial term of this Master Agreement for a maximum term of three (3 ) years (" Extension Term") . The Extension Term shall commence as of October 4 , 2007, subject to a sooner termination in accordance with the terms of this Agreement, and shall end on October 3 , 2010 . The Consultant acknowledges and agrees that the obligations of the County under this Master Agreement are subject to the availability of funds lawfully appropriated for its purpose by the Indian River County Board of County Commissioners. The Consultant further acknowledges and agrees that the County has no obligation to fund all or any portion of the Revised Project. 1
