FIRST AMENDMENT TO PRIVITY AGREEMENT <br /> This First Amendment to Privity Agreement (" First Amendment') , bearing an Effective <br /> Date of December 18 , 2007 , is entered into by and between EFM Group, Inc . , a Florida <br /> corporation ("Contractor" ) as Contractor under that certain City of Palm Coast Agreementfor <br /> Professional Geographical Information Systems/Services (GIS) Engineering Services with the <br /> EFM Group , Inc. , dated November 15 , 2005 ("Contract' ) and Indian River County, a political <br /> subdivision of the State of Florida , hereby represents and warrants to Indian River County, <br /> Florida that: <br /> 1 ) On June 5 , 2007 , the County and the Contractor entered into a Privity Agreement . <br /> 2 ) The County and the Contractor now desire to modify Exhibit 2 to the Privity <br /> Agreement by adding Phase 2 at an additional cost of $29 , 173 . 00 . <br /> 3 ) From and after the Effective Date , the Privity Agreement is modified by adding <br /> Exhibit 2A attached hereto and incorporated in its entirety by this reference . <br /> 4 ) All terms and conditions of the Privity Agreement not modified by this First <br /> Amendment shall remain in full force and effect . <br /> In Witness Whereof, and intending to be legally bound , the parties have signed this <br /> First Amendment as of the Effective Date . <br /> Date : 12- 10-07 Contractor EFM GROUP, INC . <br /> By: <br /> N & Title : Gerard Mar uez President <br /> Attest: J .
