FIRST AMENDMENT TO AGREEMENT BETWEEN INDIAN RIVER COUNTY AND <br /> HARRY A. and CECELIA A. KLIMAS AND ALBERT J . and STEPHANIE P . KLIMAS <br /> This First Amendment to Agreement between Indian River County and Harry A. and Cecelia A . <br /> Klimas and Albert J . and Stephanie P . Klimas (" First Amendment") is entered into effective March 20 , <br /> 2007 , by and between Indian River County, a political subdivision of the State of Florida , 1840 25" <br /> Street, Vero Beach , FL 32960 ("County') and Harry A. and Cecelia A. Klimas and Albert J . and <br /> Stephanie P . Klimas , whose address is 7412 US Highway 1 , Vero Beach , FL 32967 (collectively <br /> " Developer") . <br /> BACKGROUND RECITALS <br /> A. Effective July 6 , 2004 , the County and the Developer entered into the Agreement between <br /> Indian River County and Harry A. and Cecelia A. Klimas and Albert J . and Stephanie P . Klimas <br /> ("Agreement"). <br /> B . The County and the Developer desire to amend the Agreement by revising the maximum <br /> amount that the County will reimburse the Developer, in accordance with the provisions of the <br /> Agreement, as set forth in this First Amendment . <br /> NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of which <br /> is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and agree to <br /> amend the Agreement as follows : <br /> ( 1 ) The Background Recitals are true and correct and form a material part of this First <br /> Amendment. <br /> (2 ) From and after the effective date of this First Amendment the third paragraph of <br /> Paragraph 1 .A. on Page 1 of the Agreement is amended by increasing the Reimbursement amount <br /> from $ 127,490 . 60 to $ 144 , 725 . 34 . <br /> (3) All terms and conditions of the Agreement not amended herein remain in full force and <br /> effect. <br /> IN WITNESS WHEREOF , the County and the Developer have caused this First Amendment to <br /> be signed as of the day and year first stated above . <br /> Developer: INDIAN RIVER COUNTY <br /> BOARD OF COUNTY COMMISSIONERS <br /> By <br /> 7 F <br /> Harry'A.
