r ; <br /> 2D 'J7 - � 3 <br /> FIRST AMENDMENT TO AGREEMENT <br /> This First Amendment to INDIAN RIVER COUNTY BEACH RESTORATION <br /> PROJECT FOR SECTORS 1 & 2 (AMBERSAND BEACH ) AND SECTOR 7 IRC Bid <br /> No. 2006047 PROJECT No. 0502 Agreement ("First Amendment ' ) is entered into on <br /> April 17, 2007 and effective February 8, 2007 , by and between Indian River County, a <br /> political subdivision of the State of Florida, 1840 25th Street, Vero Beach, FL 32960 <br /> ("County" ) and Great Lakes Dredge and Dock Co. , LLC, a limited liability company, <br /> having a principal place of business at 2122 York Road, Oak Brook IL 60523 <br /> ("Contractor"). <br /> BACKGROUND RECITALS <br /> A. Effective March 4, 2006, the County and the Contractor entered into the INDIAN <br /> RIVER COUNTY BEACH RESTORATION PROJECT FOR SECTORS 1 & 2 <br /> (AMBERSAND BEACH) AND SECTOR 7 IRC Bid No. 2006047 PROJECT No. 0502 <br /> AGREEMENT ("Agreement" ). The Agreement was entered into pursuant to a duly <br /> advertised public competitive bid process for the project work of placement of 363, 000 <br /> cubic yards in Sector 7 prior to May 1 , 2007 , and In addition, placement of 290, 000 <br /> cubic yards in Sectors 1 and 2 prior to May 1 , 2007 ("Project") , all as more specifically <br /> set forth in the Contract Documents issued by the County for the Project. <br /> B . Thereafter, the applicable permits for the Project were issued with design changes, <br /> operating restrictions, and more stringent monitoring conditions than contemplated by <br /> the County and the Contractor. <br /> C . Pursuant to the terms of Contract Documents, the County and the Contractor desire <br /> to amend the Contract Documents as set forth in this First Amendment. <br /> NOW THEREFORE , for good and valuable consideration, the receipt and <br /> sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally <br /> bound, covenant and agree to amend the Agreement as follows: <br /> 1 . The background recitals are true and correct and form a material part of this <br /> First Amendment. <br /> 2. From and after the effective date of this First Amendment, the Technical and <br /> Environmental Specifications included in the Contract Documents, are hereby revised <br /> as set forth in Exhibit "A° attached hereto and incorporated herein by this reference in <br /> its entirety. Accordingly, the parties acknowledge and agree that, from and after the <br /> effective date of this First Amendment, the Technical and Environmental Specifications <br /> applicable to the Project shall be those set forth in Exhibit "A.
