r j4 qI $ <br /> FIRST AMENDMENT TO AGREEMENT <br /> This First Amendment to the Indian River County Nearshore Reef Monitoring Agreement <br /> ("First Amendment") is entered Into effective December 16, 20087 by and between Indian River <br /> County, a political subdivision of the State of Florida , 1801 27`h Street, Vero Beach , FL 32960 <br /> ("Count) " ) and Florida Institute of Technology, having a principal place of business at 150 West <br /> University Avenue , Melbourne , Florida 32901 ("Contractor") . <br /> BACKGROUND RECITALS <br /> A . Effective July 9 , 2007, the County and the Contractor entered into the Indian River County <br /> Nearshore Reef Monitoring Agreement ("Agreement") . <br /> Be The County and the Contractor desire to amend the Agreement by extending the term and <br /> providing additional reports , all in accordance with the provisions of the Agreement, as set forth in <br /> this First Amendment , <br /> NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of <br /> which is hereby acknowledged , the parties hereto , intending to be legally bound , covenant and <br /> agree to amend the Agreement as follows : <br /> ( 1 ) The background recitals are true and correct and form a material part of this First Amendment. <br /> (2) From and after the effective date of this First Amendment, Article 1 of the Agreement is <br /> amended by adding the following sentence at the end of existing Article 1 : <br /> "The Contractor shall provide three additional quarterly progress reports in connection with <br /> the Scope of Services hereunder." <br /> (3) From and after the effective date of this First Amendment, the existing Article 2 of <br /> the <br /> Agreement is deleted in its entirety and replaced with the following . <br /> "As time is of the essence , the Contractor shall commence work immediately upon receipt <br /> of the notice to proceed , and complete the Services no later than December 31 , 2009 ." <br /> (4) All terms and conditions of the Agreement not amended herein remain in full force and effect. <br /> IN WITNESS WHEREOF , the County and the Contractor have caused this First <br /> Amendment to be signed by their respective duly authorized officers as of the day and year first <br /> stated above . <br /> Contractor. <br /> FLORIDA INSTITUTE OF TECHNOLOGY INDIAN RIVER COUNTY <br /> BOARD OF COUNTY COMMISSIONERS <br /> By B `- <br /> Pr' ed name : John P .
