Developer Property ( "Developer Deed ") and deliver to County the Additional Monies in <br /> certified funds or by wire transfer. Grand Harbor shall , by Special Warranty Deed, <br /> convey marketable title, subject only to those permitted exceptions set forth in Exhibit <br /> "F " hereto . <br /> 5 . Documentary Stamps, Transfer Taxes , Grand Harbor shall pay any and all <br /> documentary stamps, sales and/or transfer taxes associated with the exchange of the <br /> County Right-of-Way for the Developer Property as may be applicable by State or local <br /> law . <br /> 6 . Recording. Grand Harbor shall pay all recording fees in connection with the <br /> recordation of the deeds and other documents as may be required to effect the exchange <br /> of the County Right-of-Way and the Developer Property as contemplated herein . <br /> 7 . Proration of Taxes . Real estate taxes shall be prorated as of the date of Closing. In <br /> accordance with Section 196 . 295 , Florida Statutes, Grand Harbor shall place in escrow <br /> with the tax collector of Indian River County, at Closing an amount equal to the current <br /> taxes on the Developer Property prorated to the date of Closing, based upon the current <br /> assessment and millage rates for the Developer Property. <br /> 8 . Notices .
