2 . The GRANTEE is responsible for the implementation of adequate maintenance procedures to <br /> keep the equipment in good operating condition . <br /> 3 When any individual non-expendable piece of equipment of purchase price value greater than <br /> $7 , 500 is no longer needed for the research to be conducted under this Agreement, the GRANTEE <br /> will return this non-expendable personal property or equipment purchased under the terms of this <br /> Agreement to the COMMISSION . <br /> 4 . However, if the GRANTEE desires to purchase the equipment when no longer needed , the <br /> COMMISSION may, at its discretion and subject to approval of the COMMISSION's Surplus <br /> Property Review Board , and in compliance with federal regulations , if applicable , elect to sell that <br /> non-expendable equipment exceeding $7, 500 in purchase price to the GRANTEE for its fair market <br /> value as of the date of title transfer. <br /> 5. The GRANTEE is responsible for any loss, damage, or theft of, and any loss, damage or injury <br /> caused by the use of non-expendable personal property or equipment purchased with state funds <br /> and held in his possession for use in a contractual arrangement with the COMMISSION . <br /> 46. The GRANTEE or its primary subcontractor, Florida Institute of Technology , is authorized to rent or <br /> lease any non-expendable equipment exceeding $7, 500 such as the RoxAnnMsystem or the DIDSONT" <br /> system in lieu of either purchasing or returning this non-expendable equipment to the COMMISSION at <br /> the conclusion of activities conducted under the Agreement. . <br /> RIGHTS IN INTELLECTUAL PROPERTY <br /> 47. All items , materials or products, of any description , produced or developed by the GRANTEE for <br /> the COMMISSION in connection with this Grant Agreement shall be the exclusive property of the <br /> COMMISSION and the State of Florida and may thereby be copyrighted , patented , or otherwise protected <br /> as provided by law. Neither the GRANTEE nor its employees, representatives or subcontractors , shall <br /> have any proprietary interest in the products and materials developed under this Grant Agreement. <br /> Publishing rights to the information resulting from this grant agreement are hereby granted to the <br /> GRANTEE , and the Florida Institute of Technology. <br /> ENTIRE AGREEMENT <br /> 48. This Agreement with all incorporated attachments and exhibits represents the entire Agreement <br /> of the parties. Any alterations , variations, changes, modifications or waivers of provisions of this <br /> Agreement shall only be valid when they have been reduced to writing , and duly signed by each of the <br /> parties hereto , unless otherwise provided herein . <br /> REST OF PAGE INTENTIONALLY LEFT BLANK <br /> Page 7 of 19 <br />
