aoas� - oCo 7 <br /> FIRST AMENDMENT TO CONTINUING CONTRACT <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> This First Amendment to Continuing Contract Agreement for Professional Services ("First <br /> Amendment") is entered into effective as of March 16, 2008 , by and between INDIAN RIVER <br /> COUNTY, a political subdivision of the State of Florida , 1840 251h Street, Vero Beach , FL 32960 <br /> ("County") and HYDROMENTIA, INC . , 3233 SW 33rd Road , Ocala , FL 34474 , P.O. Box 367 , <br /> Ocala , FL 34478 ("Consultant'). <br /> BACKGROUND RECITALS <br /> A. Effective March 15, 2005 , the County and the Consultant entered into the Continuing <br /> Contract Agreement for Professional Services ("Agreement'). <br /> B. The County and the Consultant desire to amend the Agreement by adding a new paragraph <br /> 4 . 3, in accordance with the provisions of the Agreement, as set forth in this First Amendment. <br /> NOW THEREFORE, for good and valuable consideration , the receipt and sufficiency of <br /> which is hereby acknowledged, the parties hereto , intending to be legally bound , agree as follows: <br /> ( 1 ) The Background Recitals are true and correct and form a material part of this First Amendment. <br /> (2) From and after the effective date of this First Amendment, paragraph 4. 3 is added to the <br /> Agreement as follows : <br /> 4 .3 Pursuant to the terms of this Agreement, the County hereby extends the Initial <br /> Term of this Agreement for a maximum term of three (3 ) years ("Extension Term'). <br /> The Extension Term shall commence as of March 16 , 2008 , subject to a sooner <br /> termination in accordance with the terms of this Agreement, and shall end on March <br /> 15, 2011 . The County and the Consultant agree to waive the provision in the <br /> Agreement that requires ninety (90 ) days prior notice of intent to extend the <br /> Agreement. <br /> (3 ) All terms and conditions of the Agreement not amended herein remain in full force and effect. <br /> IN WITNESS WHEREOF, the County and the Consultant have caused this First <br /> Amendment to be signed by their respective duly authorized officers as of the day and year first <br /> stated above. <br /> Consultant : HYDRO TIA, INC .
