SECTION 6 : RETURN OF MATERIALS : Any officer who voluntarily or <br /> involuntarily leaves shall deliver all materials pertaining to their office to their <br /> successors, or if none has been elected or appointed, to the COALITION's Executive <br /> Director within ten ( 10) days following the date of termination of his or her term of <br /> office. <br /> SECTION 7. PRESIDENT : The President shall sign for and on behalf of the <br /> COALITION or in its name, all instruments of writing necessary, convenient, or <br /> advisable to be executed for or on behalf of the COALITION. While actively engaged in <br /> conducting the business and affairs of the COALITION, the President shall be charged <br /> with all duties and have all authority customarily performed and exercised by the chief <br /> executive officer of a corporation organized under the laws of the State of Florida. The <br /> President is authorized to sign checks on behalf of the COALITION. <br /> SECTION 8 . VICE PRESIDENT : The Vice President shall perform the duties of the <br /> President when the President is absent, ill or otherwise incapacitated, including the <br /> execution of instruments and have such other responsibilities as may be designated by the <br /> President. The Vice President is authorized to sign checks on behalf of the COALITION. <br /> SECTION 9. TREASURER: The Treasurer shall serve as chief financial officer and <br /> will be responsible for supervision of the collection and disbursement of all monies of the <br /> Corporation under the direction of the BOARD . The Treasurer shall review financial <br /> records and present quarterly financial statements to the BOARD . The Treasurer shall <br /> ensure appropriate bank reconciliations and review annual financial reports . The <br /> Treasurer is authorized to sign checks on behalf of the COALITION. <br /> SECTION 10. SECRETARY : The Secretary shall keep and be responsible for the <br /> minutes of all BOARD and membership meetings, including attendance. The Secretary <br /> is authorized to sign checks on behalf of the COALITION. <br /> SECTION 11 . EXECUTIVE COMMITTEE : The Executive Committee shall consist <br /> of the elected officers and, at the sole discretion of the Executive Committee, the <br /> immediate past President. <br /> ARTICLE V : PERSONNEL <br /> SECTION 1 . EXECUTIVE DIRECTOR: The BOARD shall employ an Executive <br /> Director of the Coalition who shall serve at the pleasure of the BOARD and perform such <br /> duties and responsibilities as defined by the BOARD . The BOARD shall determine the <br /> qualifications and compensation of the Executive Director. <br /> SECTION 2. PERSONNEL SELECTION PROCEDURES : Except for the <br /> Executive Director who shall be hired by, evaluated by, and may be dismissed by the <br /> BOARD, other COALITION employees will be hired, evaluated on a periodic basis, and <br /> shall serve at the pleasure of the Executive Director.
