I <br /> CONTRACTING AGREEMENT 03- 0 d 7 <br /> BETWEEN <br /> CARTER GOBLE ASSOCIATES, INC. <br /> AND <br /> INDIAN RIVER COUNTY <br /> THIS CONTRACT, entered into this 14th day of January 2003, is between Indian River <br /> County (hereinafter referred to as the "County") and Carter Goble Associates, Inc., a <br /> Corporation (hereinafter referred to as the "Consultant"). <br /> WITNESS THAT: <br /> WHEREAS, the County desires to engage the Consultant to render certain technical and <br /> professional services, as specified in this Contract and in Exhibit A, Scope of Work <br /> attached hereto and made a part hereof by this reference. <br /> WHEREAS, the Consultant is willing and able to perform this Contract. <br /> NOW THEREFORE, the parties hereto do mutually agree as follows: <br /> ARTICLE 1: ENGAGEMENT OF THE CONSULTANT <br /> The County hereby agrees to engage the Consultant and the Consultant agrees to <br /> furnish and deliver all services and products herein set forth in Exhibit A and as mutually <br /> agreed. <br /> ARTICLE 2: PURPOSE AND SCOPE OF SERVICES <br /> The Consultant shall do, perform, and carry out in a satisfactory professional and proper <br /> manner as determined and approved by the County the services as specified in Exhibit <br /> A. <br /> The County may engage the Consultant to perform additional services beyond the <br /> Scope of Services. If additional services are requested, the County and Consultant shall <br /> agree in writing to the scope and price of the additional services prior to Consultant <br /> performing any additional services. <br /> ARTICLE 3: TIME OF PERFORMANCE <br /> The term of this contract shall begin upon execution of this contract by the County and <br /> shall end 4 months thereafter. The contract period may be extended subject to mutual <br /> agreement by both parties and documented by a written signed amendment. It is <br /> specifically understood that the Consultant will not be liable for schedule delays that may <br /> result due to actions or inaction of the County and circumstances beyond the control of <br /> the Consultant. <br /> ARTICLE 4: COMPENSATION <br />
