ATRUECOPY <br />CERTIFICATION ON LAST PAGE <br />J.K.BARTON,CLERK <br />RESOLUTION NO. 2008-o36 <br />A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS <br />OF INDIAN RIVER COUNTY, FLORIDA, AUTHORIZING EXECUTION OF A <br />JOINT PARTICIPATION AGREEMENT AMENDMENT NUMBER ONE FOR <br />VARIOUS ROADWAY IMPROVEMENTS IN INDIAN RIVER COUNTY <br />WHEREAS, the State of Florida, Department of Transportation and <br />Indian River County have entered into a Joint Participation Agreement, hereinafter <br />referred to as the AGREEMENT, wherein the PARTICIPANT agreed to provide <br />certain improvements in connection with Various Roadway Improvements in Indian <br />River County, Florida for FM# 414794-1-58-01 and hereinafter referred to as the <br />PROJECT, and, <br />WHEREAS, the parties desire to amend the AGREEMENT; and <br />WHEREAS, the parties hereto mutually agree that this Amendment is in <br />their best interest; <br />NOW, THEREFORE, BE IT RESOLVED BY THE INDIAN RIVER <br />COUNTY BOARD OF COUNTY COMMISSIONERS, in consideration of the mutual <br />covenants, promises and representations herein, the parties agree to amend that certain <br />Joint Participation Agreement dated December 29, 2004 as follows: <br />1. The recitals set forth above are true and correct and are deemed incorporated <br />herein. <br />2. The AGREEMENT is amended to include the Federal and State Audit provisions <br />set forth in Attachment "A", annexed hereto and made part hereof. <br />THIS RESOLUTION was offered by Commissioner Joseph E. Flescher who moved <br />its adoption. The motion was seconded by Commissioner Wesley S. Davis and <br />upon being put to a vote, the vote was as follows: <br />Chairman Sandra L.
