SECOND AMENDMENT AND AMENDMENT TO FIRST EXTENSION TO <br />AGREEMENT FOR ANNUAL DAY LABOR SERVICES <br />This Second Amendment and Amendment to First Extension to that certain <br />Agreement to provide Annual Day Labor Services is entered into by and between Indian River <br />County, a political subdivision of the State of Florida ("County") and HireQuest Direct <br />("Contractor"). <br />BACKGROUND RECITALS <br />WHEREAS, the County and the Contractor entered into an Agreement for Annual Day <br />Labor Services effective January 1, 2024 (hereinafter "Original Agreement'); and <br />WHEREAS, the first amendment was executed September 24, 2024, modifying <br />contract pricing; and <br />WHEREAS, the first extension was effective January 1, 2025, and shall end on <br />December 31, 2025; and <br />WHEREAS, pursuant to the Original Agreement, the parties desire to amend Exhibit <br />1 to the Original Agreement — Pricing, as referenced in Article 4 — Contract Price; and <br />WHEREAS, the parties desire to add additional requirements for acceptable workers; <br />and <br />WHEREAS, the parties wish to execute an Amendment to First Extension. <br />NOW, THEREFORE, in consideration of the foregoing, and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, the County and <br />the Contractor agree as follows: <br />1. The background recitals are true and correct and form a material part of this Second <br />Amendment and Amendment to First Extension. <br />2. Exhibit 1 Pricing is amended to reflect General Labor Hourly Rate at $19.38 and <br />FDOT-MOT Certified Flagger Labor Hourly Rate at $20.08, effective October 21, 2025. <br />3. The Technical Specifications provided in Invitation to Bid 2024022 are amended to <br />add: "Contractor shall complete a Level 1 background check on all workers to be supplied to <br />Indian River County. Charge, guilty plea or conviction for violence, kidnapping, or sexual <br />offense within the past five years will deem the worker unacceptable. No worker designated <br />as a sexual offender will be acceptable." <br />4. The Amendment to First Extension is executed, effective January 1, 2026, through <br />December 31, 2026. One additional extension remains available under the Original Agreement. <br />
