ASSIGNMENT OF AGREEMENT,
<br />ASSUM PTIQN BY ASSIGNEE. AND ACKNQWLEDGEMENT
<br />KNOW ALL MEN BY THESE PRESENTS:
<br />That, HAWK'S NEST GOLF CLUB, INC., a Florida corporation, as successor in interest to
<br />HAWK'S NEST ASSOCIATES, LTD., whose address is 6005 Old Dixie Highway, Vero Beach, Florida
<br />32967-7528 (hereinafter referred to as "Assignor"), for valuable consideration in hand paid and received, the
<br />receipt and sufficiency of which are hereby acknowledged, does hereby assign, transfer, and set over without
<br />recourse and without representation or warranty of any load, expressed or implied, with such assignment to be
<br />effective only upon the closing (the "Closing") of the sale transaction contemplated by that certain Asset
<br />Purchase Agreement, unto THE MOORINGS CLUB, INC., a Florida corporation, whose address is 100
<br />Harbour Drive, Vero Beach, Florida 32963 (hereinafter referred to as "Assignee"), that certain Agreement (the
<br />"Agreement") styled "An Agreement Between Indian River County and Hawk's Nest Associates, LTD. for the
<br />Delivery and Use of Reclaimed Water," dated April 7, 1987 by and between Assignor, as Owner, and INDIAN
<br />RIVER COUNTY, a political subdivision of the, State of Florida, as County, respectively, thereunder
<br />pertaining to the described in the Agreement.
<br />TO HAVE AND TO HOLD unto Assignee and Assignee's heirs, legal representatives, successors,
<br />and assigns,
<br />FURTHER, Assignee by acceptance of this instrument does hereby assume all obligations, duties, and
<br />liabilities under the said Agreement and shall succeed to all benefits and entitlements to and to be derived from
<br />the said Agreement. This Agreement may be executed and delivered in electronic counterparts, each of which
<br />shall constitute an original, but all of which shall together constitute our and the Brune agreement.
<br />IN WITNESS WHEREOF, Assignor has caused these presents to be executed on the date set forth
