RELEASE AND TERMINATION AGREEMENT
THIS RELEASE AND TERMINATION AGREEMENT is made as of this 19th
day of February, 2008, between LOS ANGELES DODGERS LLC, a Delaware limited
liability company, as successor in interest to Los Angeles Dodgers, Inc., a Delaware
corporation (hereinafter referred to as the "Dodgers"), whose address is 1000 Elysian
Park Avenue, Los Angeles, California 90012, and INDIAN RIVER COUNTY, FLORIDA,
a political subdivision of the State of Florida (the "County'), whose address is 180127th
Street, Vero Beach, Florida 32960.
WITNESSETH
That the Dodgers, for and in consideration of the sum of Ten and No/100 ($10.00)
Dollars to it in hand paid by the County, the receipt whereof is hereby acknowledged,
by these presents does hereby irrevocably discharge, disclaim, release and terminate
forever any reserved right, title, interest, or claim of any nature to the Property
described in, or emanating or resulting from, that certain Warranty Deed recorded in
Official Record Book 1426, at Page 555, Public Records of Indian River County, Florida
(the "Warranty Deed"); including, but not limited to, the Right of First Refusal and
Repurchase Option described or referenced therein.
Notwithstanding any provision or construction to the contrary in the Warranty
Deed or any other instrument affecting the Property or binding upon the parties hereto
or their successors, the Right of First Refusal and Repurchase Option described in the
Warranty Deed shall be deemed to hereby be severed from the Lease Agreement, or any
amendment or modification thereof, referred to in the Warranty Deed and forever
irrevocably released and terminated in every respect.
IN WITNESS WHEREOF, the Los Angeles Dodgers, LLC and Indian River
County, Florida, have caused this Release and Termination Agreement to be executed
as of the day and year first above written.
