REAL ESTATE EXCHANGE AGREEMENT
Between
INDIAN RIVER COUNTY AND KEN MCKELLAR
April
This Agreement entered into this22nd day of Mael, 2008 between Indian River County, a
political subdivision of the State of Florida ("the County') 1801 27th Street, Vero Beach, Florida
32960; and Ken and Laura McKellar, as husband and wife, 125 Ocean Way, Vero Beach, Florida
32963 ("the McKellars" ):
WHEREAS, the County needs to acquire additional tight -of -way along the north side of
49`h Street that will require the utilization of part of the McKellar's property located at the
northeast corner of 49`" Street and 31" Avenue; and
WHEREAS, the County also needs property along 31" Avenue so it can gain access to
the Effluent Disposal Site located north of 491h Street and east of 3 V3 Avenue
WHEREAS, the County owns several parcels of land adjacent to the McKellar's
property; and
WHEREAS; the County needs property from the south end of the McKellar's property
and will compensate him by giving him property on the north end of his property; and
WHEREAS, the County and the McKellars hereby agree to an exchange of portions of
their respective properties as follows:
a. The County hereby agrees to convey a portion of its property (identified on Exhibit
"A", attached) containing 16,254 square feet to the McKellars, and in exchange
b. The McKellar agrees to convey a portion of their property (identified on Exhibit
"B", attached) containing 16,254 square feet to the County; and
WHEREAS, each party is indivisibly seized of their respective parcel of property and
shall convey marketable title to their respective parcel by warranty deed free of claims, liens,
easements, and encumbrances, but subject to property taxes for the year of closing; and
WHEREAS, this Exchange Agreement is subject to final approval by the Indian River
County Board of County Commissioners (BCC) through the adoption of a Resolution. Such an
exchange is allowed under Section 125.37, Florida Statutes. Notice is required to be published
once a week for two weeks before consideration by the BCC.
NOW THEREFORE, in consideration of the mutual terms, conditions, promises and
covenants hereinafter, Ken and Laura McKellar and the County agree as follows:
1. The above recitals are true and correct and incorporated by reference into this agreement.

2. The County agrees to convey to the McKellars that portion of land lying immediately north of
the McKellar property, consisting of 16,254 square feet (0.37 acres) as depicted on Exhibit A
attached.
3. At the same time, the McKellars agree to convey two parcels of property to the County:
• A 20' by 300' (approximately) abutting the north side of 49`� Street and
• A 40' by 240' strip of property abutting the east side of 31" Avenue
These two parcels consist of 16,254 square feet (0.37 acres) as depicted on Exhibit B attached.
4. Each party shall convey marketable
title to their
respective parcels
by
warranty deed free of
claims, liens, easements, encumbrances
and property
taxes prorated for
the
year of closing.
5. County shall be responsible for preparation of all Closing documents.
a. County shall pay the following expenses at Closing:
The cost of recording the warranty deed and any release or satisfaction obtained by Seller
pursuant to this Agreement.
6. Seller shall pay the following expenses at or prior to Closing:
All costs necessary to cure title defect(s) or encumbrances, other than the permitted
exceptions, and to satisfy or release of record all existing mortgages, liens, taxes or
encumbrances upon the properties.
7. In the event a dispute arises over this agreement, the Seller and County shall each pay their
own attorneys' fees and costs.
8. This Agreement constitutes the entire agreement between the parties with respect to this
transaction and supersedes all prior agreements, written or oral.

(Wherever used herein, the terms "grantor" and "grantee" shall include singular and plural,
heirs, legal representatives, and assigns of individuals, and the successors and assigns of
corporations, partnerships or other entities; wherever the context so admits or requires.)
WITNESSETH:
That the grantor, for and in consideration of the sum of $10.00 in hand paid by grantee, the receipt whereof is
hereby acknowledged, does hereby grant, bargain, sell, alien, remise, release, convey and quit claim unto the
grantee forever, all the right, title, interest, claim and demand which the said grantor has in and to the following
described parcel of land, to wit:

which contained incorrect legal descriptions.

This deed, made as of this A day of April, 2008, by Ken McKellar (as Grantor); and Indian River County,
Florida, a political subdivision of the State of Florida, whose post office address is: 180125" Street, Vero
Beach, FL 32960, (as Grantee);
(Wherever used herein, the terms "grantor" and "grantee" shall include singular and plural,
heirs, legal representatives, and assigns of individuals, and the successors and assigns of
corporations, partnerships or other entities, wherever the context so admits or requires.)
WITNESSETH:
That the grantor, for and in consideration of the sum of $10.00 in hand paid by grantee, the receipt whereof is
hereby acknowledged, does hereby grant, bargain, sell, alien, remise, release, convey and confirm unto the
grantee forever, all the right, title, interest, claim and demand which the said grantor has in and to the following
described parcel of land, to wit:
The Southwest 1/4 of the Northeast 1/4, lying East of Lateral H Canal, in Section 22,
Township 32 South, Range 39 East, Indian River County, Florida, LESS AND
EXCEPT the North 240 feet of the South 265 feet, and LESS those lands described in
Official Records Book 165, at Page 158; and LESS those lands described in Official
Records Book 178, at Page 361; and LESS those lands described in Official Records
Book 610, at Page 2121, of the Public Records of Indian River County, Florida. Also
LESS AND EXCEPT the Westerly 25 feet of the Southwest 1/4 of the Northeast 1/4 of
said Section 22, lying adjacent to and parallel with the Easterly right-of-way line of the
Lateral H Canal.
TOGETHER with all the tenements, hereditaments and appurtenances thereto belonging or in anywise
appertaining.
TO HAVE AND TO HOLD the same in fee simple forever.
AND grantor hereby covenants with grantee that grantor is lawfully seized of said land in fee simple; that
grantor has good right and lawful authority to sell and convey said land; that grantor hereby fully warrants the
title to said land and will defend the same against the lawful claims of all persons whomsoever; and that said
land is free of all encumbrances, except taxes for the year in which this deed is given; and restrictions,
reservations, limitations, covenants, conditions and easements of record, if any; insofar as same are valid and
enforceable (however, this clause shall not be construed to reimpose same).
This deed is given to correct those certain deeds originally recorded in Official Records Book 1970, at
Page 1661; Official Records Book 2035, at Page 921; Official Records Book 2138, at Page 269; and
Official Records Book 2176, at Page 1001, which contain incorrect legal descriptions.
Neither the grantor nor any member of the grantor's family dependant upon said grantor for support
resides on or adjacent to the lands being conveyed hereby.
