Statement of Work This Statement of Work (" SOW' ) outlines the responsibilities , deliverables and acceptance criteria for the services that NEC Unified Solutions , Inc . ( " NEC ' ) will perform for Indian River County ( " Customer" ) as described below. This SOW includes two appendices : • Appendix A — Service Responsibilities • Appendix B — Related Forms 1 . Project Summary Installation of NEAX20001PS with CCIS Networking for CourtHouse and Annex ; included in project — ( 1 ) 32 Port AD64 VoiceMail/Unified Messaging Centralized System ; ( 1 ) AimWorX ; ( 1 ) Upgrade for County Admin with CCIS , including Sheriffs Office CCIS with CourtHouse ( 1 ) Utilities NEAX24001PX w/ CCIS Admin or CH Pricing of components are using discount promotions for competitive displacement of Non = NEC systems . In terms of the voicemail project, the existing voicemails remain Indian River County and do not change to NEC ownership . 2 . Deliverables Deliverables for the requested NEAX system implementation include : • All items specified in the Equipment List except those identified as spares • Services specified in the Services List • Site Survey report and recommendations , if any • Database design and implementation recommendations • Configuration documentation • A completed Services Completion checklist (Appendix B ) NEC Unified Solutions , Inc. I Pricing and Payment In consideration for the equipment and services specified in the Equipment and/or Services lists , the Customer shall remit the total sale price of $ 335 , 859 . 58 plus applicable sales tax . Payment shall be due as indicated in the following payment schedule : Equipment : • 100 % of the Equipment Price is due upon delivery of the equipment required for Cutover to the site specified by the Customer: $ 237 , 196 . 59 Services : • Service Price ( $ 98 , 662 . 99 ) to be paid as follows : ( *) Agreed to be invoiced to activity progress payments . Project is targeted 90 days , and will be invoiced during that period , for Delivery- Power Up , during September 2005 , (40 % services ) ; End - User Training 30 % October 2005 ; Cutover 30 % November 2005 on a per system , per event basis . All payments for services are due Net 30 days from date of invoice which will be issued on the cutover date ( s ) . Prices stated in this SOW are effective for 30 days from the date specified below in the footer. THE ABOVE SALE PRICES EXCLUDE SALES TAX . SALES TAX ( IF APPLICABLE ) WILL BE INVOICED IN ADDITION TO THE SALE PRICE . ( SALES TAX IS NOT APPLICABLE toCounty Government . ) 4 . Project Scheduling This project is scheduled to start September 1 , 2005 with the anticipated final cutover date of November 30 , 2005 . The Cutover Date is the date the switching equipment is connected to the public telephone network , activated and providing basic telephone service to place and receive telephone calls , substantially in accordance with manufacturer' s published specifications . Proprietary and Confidential 3 of 32 1001776 v . 1 9/6/2005 NJ SIC NEC Unified Solutions , Inc . variances in switching equipment performance which do not materially impair the basic telephone service of the switching equipment shall not affect the cutover date . Actual start and cutover dates are flexible to Indian River County and NEC service schedules . The dates specified are targeted dates . NEC Unified Solutions , Inc. Contacts Specific contact information for project team members will be provided upon receipt of a signed Statement of Work from Customer. 6 . Assumptions and Limitations This Statement of Work and the rates/price are based on the following key assumptions ("Assumptions " ) . Parties agree that any changes in the Assumptions may result in an adjustment in the rates/price . 6 . 1 . The terms and conditions of the SOW and the Agreement prevail regardless of any conflicting terms on the Purchase Order, other correspondence and any and all verbal communications . All Purchase Orders shall be approved and accepted by NEC in their Dallas office . 6 . 2 . The Customer' s network architecture design shall not change between the date of the Customer' s execution of this SOW and the completion of all Services contemplated within . 6 . 3 . Unless purchased through NEC , the Customer is responsible for ordering and verifying availability of any required Telco circuits . 6 . 4 . Customer will schedule and inform users of any required systems outage . 6 . 5 . NEC requires a minimum lead -time of fourteen ( 14 ) calendar days from Customer' s execution of the SOW to begin work . NEC will make commercially reasonable efforts to meet the requested installation date . 6 . 6 . NEC shall require a schedule extension of thirty ( 30 ) calendar days for any personnel change requests made by Customer. Services not covered under this SOW: 6 . 7 . Support or replacement of Product that is altered , modified , mishandled , destroyed , or damaged by natural causes or damaged due to a negligent or willful act or omission by Customer or use by Customer other than as specified in the applicable NEC or manufacturer-supplied documentation . 6 . 8 . Any hardware upgrades required to run new or updated software . 7 . Completion of Services Upon completion of all work , NEC shall submit to the customer a Services Completion Checklist for their review and signature . Customer shall ensure that the proper personnel are scheduled to review each completed Service or Deliverable upon receipt of this notification . The assigned Customer personnel shall indicate their acceptance of the Service or Deliverable by signing the Services Completion Checklist within five ( 5 ) days from the presentation of the completed Service or Deliverable . Services and Deliverables will be deemed accepted if the assigned Customer representative fails to respond within this five-day period . If a Service or Deliverable is not complete for any reason , Customer shall provide written notification to NEC . NEC shall have ten ( 10 ) days after the receipt of such notice from the customer to correct the error, given it is within NEC ' s scope to do so . Such time period to correct the error may be extended by mutual consent. The Services Completion Checklist is provided in Appendix B . NEC Unified Solutions, Inc. NEC Software License UNLESS NEC REQUIRES A SEPARATE LICENSE AGREEMENT CONCERNING PARTICULAR SOFTWARE FOR USE WITH A PRODUCT, WHICH SEPARATE LICENSE SHALL BE AS OUTLINED AND ATTACHED HERETO , THE FOLLOWING LICENSE SHALL BE APPLICABLE TO SOFTWARE PROVIDED FOR USE WITH SUCH PRODUCT , IF ANY : a . NEC grants Customer a non -exclusive license to use Software provided under this Agreement ( including related documentation ) for the useful life of the Product(s ) solely to operate and maintain the Product( s ) purchased under this Agreement . NEC may immediately terminate such license , in the event that Customer, without NEC ' s prior written consent : ( i ) Discloses any portion of the Software to a third party ; ( ii ) Reverse compiles , disassembles , modifies , adds to , deletes from or otherwise alters the Software in whole or in part; ( iii ) Sublicenses the Software ; ( iv) Transfers the Software to , or shares the use of the Software with , a third party ( other than for maintenance ) , except as provided in Section 3 c . below, or; (v) Uses the Software on a system or equipment other than that provided to Customer under this Agreement. b . In addition , this Software license will automatically terminate if NEC terminates this Agreement due to Customer' s default, as provided for in this Agreement. If this license is terminated , Customer will , at NEC 's option , either return the Software to NEC , or erase or destroy any Software and all copies and certify the same to NEC , if requested . c . Notwithstanding any other provision herein , Customer may not assign , sublicense or otherwise transfer Customer's rights or interest in this Software license , in whole or in part , except to a third party who has acquired the Products from Customer, and agrees to be bound by the terms of this license . COMPANY MUST FORWARD WRITTEN EVIDENCE OF THE ABOVE TO NEC AS A CONDITION TO ANY TRANSFER OF THE SOFTWARE LICENSE . EXCEPT AS PROVIDED ABOVE , THE ABOVE LICENSE IS NOT TRANSFERABLE TO ANY OTHER SYSTEM OR EQUIPMENT , EVEN IF MANUFACTURED OR PROVIDED BY NEC . UNDER NO CIRCUMSTANCES SHALL COMPANY ( OR , IF PERMITTED ABOVE , COMPANY' S TRANSFEREE ) ACQUIRE TITLE TO THE SOFTWARE , OR ANY RIGHT OR INTEREST TO THE SOFTWARE OTHER THAN AS SET FORTH ABOVE . Assemble the Main Distribution Frame ( MDF ) and the System Modules ( as applicable ) . 5 . 3 . Interconnect the System Modules to the switch -side blocks on the MDF ( as applicable ) . 5 . 4 . Install , program , and test circuit cards to be used as interface to the NEAX voice system solution , including necessary MDF and integration connections . 5 . 5 . Verify and/or develop trunk route and dial plan configurations with input from Customer design team ( if applicable ) . 5 . 6 . Verify or configure system to the approved database , user classes of service , and toll and station restrictions (as applicable ) . 5 . 7 . Develop the implementation -specific network diagram and equipment room diagram ( s) with input from Customer and/or the design team . 5 . 8 . Input Customer-approved database into the PBX . 5 . 9 . Determine that all local and long -distance services have been installed by the " Telco" at the customer' s demarcation point ( as applicable ) . 5 . 10 . Determine status of any dial- up or LAN/WAN connections that will be made to the system for customer access . 5 . 11 . Connect remote maintenance access to support NEC service access to system for duration of warranty and maintenance period ( per Equipment List) 5 . 12 . NEC will install and test all office modules in the location specified by Customer, normally in the switchroom or nearby . NEC will set up and test all remote modules for functionality . 6 . 2 . NEC will train Customer' s staff in the deployment of the remote modules , including installation , set- up and operation . Customer shall be responsible for the following : 6 . 3 . Provide physical space for testing the remote modules , as well as the telco facilities required to interconnect the office and remote modules . 6 . 4 . Designate personnel who will be assigned Dterm Remote Modules . Determine their telephone usage patterns and the locations at which the remote modules will be used . 6 . 5 . Customer shall be responsible for the following : 7 . 3 . Resolve any asbestos and infection control issues involved in the cable reuse . 7 . 4 . Resolve cable issues found during the Place , Test and Designate step that concern the station cable reused under this SOW. 7 . 5 . Resolve cable issues having to do with any distribution or riser cable . 7 . 6 . Provide security clearances , escorts , special safety equipment , and access training as required to access the site for station cable issues . 8 . Set, Test and Designate Terminals NEC shall be responsible for the following : 8 . 1 . Unbox , assemble and attach designation strips for telephones provided by NEC . 8 . 2 . Place and test all telephones and consoles specified in attached Equipment List. 8 . 3 . Report telephone test failures due to cabling for Customer resolution . Customer shall be responsible for the following : 8 . 4 . Provide any security clearances , escorts , special safety equipment, and access training as required to access the site for telephone installation . Submit changes for Active Directory schema before pre-agreed freeze date ( no fewer than 10 days prior to cutover) . 9 . 15 . Approve System database for implementation . Database changes must be submitted in writing by Cutoff Date . 9 . 16 . Ensuring that necessary PBX hardware/software additions or changes , and that all applicable system programming , is completed in a timely manner in accordance with the project schedule ( if work not being performed by NEC ) . 9 . 17 . If PBX is not being supplied or supported by NEC , provide PBX database information and other details that are relevant to the Unified Messaging System installation ( i . e . , station numbering plan , directory listings , list of assigned extensions and locations , feature access codes , etc . ) . 10 . System Hardware Installation - VoiceMail / Unified Messaging NEC shall be responsible for the following : 10 . 1 . Assembly and installation of NEC -provided server hardware , server rack , rack infrastructure , uninterrupted power supply within the Customer' s computer room . 10 . 2 . Install Dialogic cards into server required for connectivity of server to PBX ( non -TAPI installation ) 10 . 3 . Power- up and testing of power system ( POST ) . 10 . 4 . Installation of server operating system and preparation for installation of unified messaging applications and services . 10 . 5 . Connectivity of Unified Messaging server(s ) to customer LAN with assistance of customer network personnel or specified vendor. 10 . 6 . Request documentation and/or support from Customer needed to facilitate integration of equipment to Customer' s network , and on required changes to installed PBX system in order that such changes can be facilitated by the Customer' s staff or PBX vendor ( if system not being supplied or supported by NEC ) . This information may include manufacturer system integration notes or other System documentation . 11 . 3 . Working with Customer contact to connect and test Unified Messaging telephony interface ports on the PBX . Customer shall be responsible for the following : 11 . 4 . Submit payment for remaining 50 % of service price . Warranty 17 . On -Call Workmanship Warranty ( days 1 to 90 after Cutover) NEC shall be responsible for the following : 17 . 1 . Provide on -call technicians during normal business hours . The technician ' s responsibilities include 1 ) Responding to alarm conditions and calls on NEC-supplied equipment and perform corrective action and 2 ) Performing preventive maintenance on NEC -supplied equipment. Report alarm conditions to the NEC Remote Maintenance Facility by telephone as soon as the alarm occurs . 17 . 3 . Provide adequate access to the site . 18 . NEC Warranty Coverage ( Days 91 -365 ) NEC Unified Solutions agrees to provide PARTS and LABOR COVERAGE for the hardware equipment (" Equipment") listed in the Equipment List (collectively , such Equipment and software is referred to as the " System ") , installed at the Customer site (s) (the " Premises") specified in the Coverage Summary (Section 10) . To the extent that any provision of this Coverage , directly conflicts with any term or condition of the Agreement, the terms of the Coverage shall be deemed to have the controlling provision . (a) Definitions : NEC Unified Solutions, Inc. Proprietary and Confidential 23 of 32 1001776 v . 1 9/6/2005 NEC NEC Unified Solutions , Inc . 1 ) Principal Period of Maintenance ( " PPM " ) The days and hours of the days when service is delivered to Customer 2) Service Level Agreement ( " SLA" ) The cumulative time in which NEC Unified Solutions will make best commercial reasonable effort to respond to ( Response Time) Customer' s reported maintenance incident. 3) Response Time Response Time is measured according to the PPM . If PPM is less than 24 hours per day, 7 days a week , then Response Time is measure within that PPM . Response Time begins upon receiving maintenance service request , and verification of problem found and dispatch or remote labor required to affect repairs . 4) Major System Failure A general inability of the PBX system to receive incoming or originate outgoing calls , or a majority of either the Central Office trunks or Tie trunks are inoperable , or more than 25% of either the stations or terminals are inoperable . 5) Time and Materials (T& M ) Rates In the absence of other contractual agreement , T& M is the prevailing local dispatch labor rate , plus list price of materials required to affect repairs . Onsite hours require a 4- hr minimum per request and include one-way travel . ( b) Maintenance Services : NEC Unified Solutions shall , during the contract period , furnish all parts and services necessary to maintain the system in good working order, or provide such other coverage as specified in Schedule A . Any replacement parts may be either new or refurbished but equivalent to new in operation . Parts will be furnished on an exchange basis , and any parts removed shall become the property of NEC Unified Solutions . NEC Unified Solutions shall dispatch service personnel to the Premises to perform necessary repairs , unless NEC Unified Solutions is able to perform repairs from a remote location . NEC Unified Solutions shall conduct remote diagnostic testing , when applicable . Any service specifically requested by Customer outside Standard PPM is billable at the then prevailing After- hours or Holiday time and materials rates , respectively , according to holidays observed by NEC Unified Solutions . After hours is one and one-half times the T& M rate , and Holiday is twice the T& M rate . Customer may choose from the following service levels (selections per Customer site are described in the Coverage Summary) : Standard service only : PPM is 9x5 (Monday through Friday, excluding holidays observed by NEC Unified Solutions , from 8 AM to 5 PM Customer local time zone) . SLA is next business day following the request for routine maintenance service . However, NEC Unified Solutions will make best commercially reasonable efforts to respond to major system failure within four hours as requested . Premium Service : PPM is 24x7 , and SLA is 4- hour response time to maintenance incidents of Major System Failure , and next business day response to routine incidents as required . (c) Non -Covered Service : NEC Unified Solutions will attempt to respond to all requests for service . If service is required outside NEC Unified Solutions ' service hours , labor for such non-covered service calls will be chargeable to Customer in accordance with NEC Unified Solutions ' local prevailing hourly labor rates . 2 . TERM The term of this Coverage shall be 9 months , commencing 90 Days after the Cutover Date as defined in the attached Statement of Work ( " Initial Term " ) . Unless one party notifies the other of its intent to terminate this Coverage at least thirty (30) days prior to the expiration of the term (or at the end of any one-year extension of the term , which may occur as provided below) , the term shall be automatically extended for an additional one ( 1 ) year period (s) (" Extensions") , upon the same terms and conditions contained herein , except that NEC Unified Solutions may adjust its service rates to conform to NEC Unified Solutions' prevailing local service rates and that Customer shall have the option to elect quarterly or annual billing for the next Extension . NEC Unified Solutions shall furnish Customer with a written notice of any proposed increase in NEC Unified Solutions ' service NEC Unified Solutions , Inc. SERVICE FEE (a) Customer agrees to pay the fee indicated in the Pricing & Payment of this SOW for the initial term of this Attachment . ( b) The fees under this Coverage do not include federal , state , or local taxes that may be applicable ; such taxes will be additional billable items , which Customer agrees to pay unless Customer provides NEC Unified Solutions with appropriate tax exemption documentation . Tax is not applicable - IRC is local government . 4 . LIMITATION OF LIABILITY IN ADDITION TO THE LIMITATIONS SPECIFIED BY THE APPLICABLE MASTER PURCHASE AGREEMENT , IN ALL SITUATIONS INVOLVING PERFORMANCE OR NONPERFORMANCE BY NEC Unified Solutions UNDER THIS COVERAGE , THE CUSTOMER ' S SOLE AND EXCLUSIVE REMEDY IS TO ( 1 ) TERMINATE THIS AGREEMENT BY WRITTEN NOTICE TO NEC Unified Solutions , AND ( 2 ) TO RECEIVE A PRO RATA REFUND OF ANY PRE - PAID MAINTENANCE SERVICE CHARGES , LESS ANY SUMS DUE AND OWING NEC Unified Solutions . 5 . EXCLUSIONS (a) This Coverage will not cover repair work in replacement of battery back up or expendable items such as headsets , paper , diskettes , and printer ribbons . This Coverage also will not cover service required when due to : ( i) Customer' s unauthorized maintenance or repair of the Equipment , (ii) Customer' s unauthorized add , move , or changes to the Equipment, (iii) negligence , (iv) abuse , (v) connection to inappropriate power supplies , (vi) fire , flood , wind , lightning , or other similar acts of God , (vii) failure of Customer to maintain proper environmental conditions for the System (as stated in ( b) below) , (viii) improper wiring , installation , repair, or alteration of the Equipment by anyone other than NEC Unified Solutions or its agents , (ix) software changes or attempted software changes in the System by persons not authorized by NEC Unified Solutions , or (x) data base reprogramming required because of Customer error of any kind . If requested by Customer, repairs necessitated by any of the above excluded causes shall be performed by NEC Unified Solutions at NEC Unified Solutions' prevailing local rates for such services and/or materials . ( b) The Customer is responsible for maintaining suitable environmental conditions for the System . Suitable conditions shall include , but not limited to , the provision of proper electrical power, air conditioning , and humidity control , and other environmental requirements described in Schedule B . The presence of asbestos , other hazardous materials , or unsafe conditions (" Hazards") on the Premises shall be deemed an unsuitable environment for the System and NEC Unified Solutions shall be entitled to cease performance under this Agreement until such Hazards have been cured to NEC Unified Solutions' satisfaction . Furthermore , Customer will indemnify and hold harmless NEC Unified Solutions or its subcontractors or agents for harm caused by , or measures taken to deal with , such Hazards . 6 . ACCESS Customer agrees to provide full accessibility to the Premises for NEC Unified Solutions' employees to perform services and will make available to NEC Unified Solutions a reasonable amount of secure space for storage by NEC Unified Solutions of such maintenance parts as NEC Unified Solutions deems necessary. 7 .
