AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Continuing Contract Agreement for Professional Services ("First
Amendment") is entered into effective as of March 16, 2008, by and between INDIAN RIVER
COUNTY, a political subdivision of the State of Florida, 1840 25th Street, Vero Beach, FL 32960
("County") and PENINSULA HYDROLOGIC DATA SPECIALISTS, INC., 103 Mar Brisa Court
Satellite Beach, Florida 32937, ("Consultant").
BACKGROUND RECITALS
A. Effective March 15, 2005, the County and the Consultant entered into the Continuing
Contract Agreement for Professional Services ("Agreement").
B. The County and the Consultant desire to amend the Agreement by adding a new paragraph
4.3, in accordance with the provisions of the Agreement, as set forth in this First Amendment.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows:
(1) The Background Recitals are true and correct and form a material part of this First Amendment.
(2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the
Agreement as follows:
4.3 Pursuant to the terms of this Agreement, the County hereby extends the Initial
Term of this Agreement for a maximum term of three (3) years ("Extension Tenn").
The Extension Term shall commence as of March 16, 2008, subject to a sooner
termination in accordance with the terms of this Agreement, and shall end on March
15, 2011. The County and the Consultant agree to waive the provision in the
Agreement that requires ninety (90) days prior notice of intent to extend the
Agreement.
(3) All terms and conditions of the Agreement not amended herein remain in full force and effect.

To Whom It May Concern:
PhDS,inc. rates for 2008 have been adjusted for the first time in five years. The new
hourly rate beginning January 1, 2008 is $75.00 an hour. The regularly scheduled QA
visits are $175.00 per visit for the first hour and after that the hourly rate goes into effect.
Autosampler event visits to remove water samples after rain events are $475.00.for the
day. This price includes post -sampling calibration of the site equipment in preparation of
the next rain event. Lease prices for the 3710 Portable Autosampler and 4150 Flowlogger
are $500.00 a month for combined use. This price also covers associated required support
equipment (i.e. batteries, solar panel if necessary, manual rain gauge, staff gauge if
necessary, etc.).
