DEVELOPER'S AGREEMENT
between
INDIAN RIVER COUNTY, FLORIDA
and
PIONEER BAPTIST CHURCH OF VERO CH, INC.
This Developer's Agreement, entered into thi� day 2008 by and
between INDIAN RIVER COUNTY, FLORIDA, a politi subdiviViof the State of
Florida, hereinafter referred to as COUNTY, and PIONEER BAPTHURCH OF
VERO BEACH, INC., hereinafter referred to as DEVELOPER, for the purpose of
providing drainage facilities.
WITNESSETH:
WHEREAS, DEVELOPER owns a 3.35+- acre parcel of land at the northwest
comer of Old Dixie Highway and The South Relief Canal, known as Indian River County
Tax Parcel #33-39-13-00000-7000-00028.0, hereinafter referred to as "parent tract" as
described in Exhibit "B', attached hereto and incorporated herein by reference, and,
WHEREAS, both COUNTY and DEVELOPER share mutual concerns with
respect to road and drainage facilities for Old Dixie Highway, replacement of the bridge
over the South Relief Canal, and future expansion of DEVELOPER'S property located
adjacent to Old Dixie Highway; and
WHEREAS, both the COUNTY and PIONEER can assist each other through a
joint effort that will facilitate widening the road, replacing the bridge, and providing
stormwater treatment.
NOW, THEREFORE, in consideration of the mutual terms, conditions, promises,
covenants, and premises hereinafter, the COUNTY and DEVELOPER agree as follows:
1.The above recitals are affirmed as being true and correct and are thereby
incorporated herein.
2.Within 30 days of execution of this AGREEMENT by all required parties,
DEVELOPER shall convey by warranty deed, a parcel of land in the southeast corner of
the parent tract to COUNTY for construction of a drainage retention facility. Said parcel
shall contain .47 acre (legal description attached as Exhibit "A"). The COUNTY shall
pay to the DEVELOPER the sum of $60,630.00 for said parcel.
3.The COUNTY shall construct at the COUNTY'S sole cost and expense, a new
3 -lane bridge at Old Dixie Highway over the South Relief Canal, and road widening and
paving improvements to provide left tum lanes at 1 st Street and 2nd Street.
4.The COUNTY shall construct its retention pond and outfall structure to the
South Relief Canal south of the Exhibit "A" parcel. The outfall pipe shall be sized to
accommodate DEVELOPER'S potential ultimate needs for future pond enlargement.
Any existing wells, irrigation equipment, or other improvements situated within the
Exhibit "A" parcel shall be relocated at COUNTY'S sole expense, if required. COUNTY
shall construct at its sole expense, a 24 -foot wide paved driveway connection to 2"d Street
along the north side of the EXHIBIT "B" property. All work will coincide with the Old
Dixie Highway/South Relief Canal Bridge Replacement and related Roadway
Improvement Project, when and if actually constructed.

5.DEVELOPER and COUNTY shall each have rights to 50% of the excavated
material if said material is suitable for fill. COUNTY shall submit copies of any soil
sample evaluations or tests performed, to DEVELOPER If found suitable, COUNTY
shall stockpile DEVELOPER'S portion at a location on DEVELOPER'S property to be
designated by DEVELOPER. DEVELOPER shall provide a temporary access easement
for this purpose. COUNTY shall dispose of unsuitable material at COUNTY'S sole
expense.
6.Should DEVELOPER decide to develop the Remainder parcel and wishes to
join to and expand said pond for stormwater capacity, DEVELOPER shall be responsible
for constructing DEVELOPER'S portion of the retention pond, based upon
DEVELOPER'S runoff needs.
7. Time is of the essence as to all matters pertaining to this Agreement.
8 .In the event of any litigation arising out of this Agreement, the prevailing party
shall be entitled to reimbursement of the costs and expenses thereof from the non -
prevailing party or parties, including reasonable attorneys' fees and including such costs,
expenses, and fees incurred on appeals of such litigation.
9 .No amendment, modification, change, or alteration of this Agreement shall be
valid or binding unless accomplished in writing and executed by all of the parties hereto.
10.This Agreement shall be binding upon and inure to the benefit of the parties
hereto and their personal representatives, heirs, successors, and assigns and shall survive
the issuance of deeds pursuant to paragraphs two and seven hereof.
I I.This Agreement contains the entire agreement and understanding between the
parties. No representation, statement, recital, undertaking, or promise not specifically set
forth herein shall be binding on any party hereto.
12.This Agreement and all matters arising hereunder shall be governed by and
construed in accordance with the laws of the State of Florida. Venue hereunder shall lie
in Indian River County, Florida.
13.This Agreement shall be deemed prepared jointly by each of the parties hereto
and shall be construed on a parity as between the parties. There shall be no canon of
construction for or against any parry by reason of the physical preparation of this
Agreement.
14.Whenever the singular number is used in this Agreement and when required by
the context, the same shall include the plural, and masculine, feminine, and neuter
genders shall each include the others.
15.COUNTY and DEVELOPER shall grant such further assurances and provide
such additional documents as may be required by one another from time to time, and
cooperate fully with one another in order to carry out the terms and conditions hereof and
comply with the express intention of this Agreement.
16.Failure to insist upon strict compliance with any of the terms, covenants, or
conditions herein shall not be deemed a waiver of such terms, covenants, or conditions,
nor shall any waiver or relinquishment of any right or power hereunder at any one time or
times be deemed a waiver or relinquishment of such right or power at any other time or
times.
17.All words, terms, and conditions contained herein are to be read in concert,
each with the other, and a provision contained within one paragraph may be considered to
be equally applicable within another in the interpretation of this Agreement.

18.The words herein and hereof and words of similar import, without reference to
any particular section or subdivision of the Agreement, refer to this Agreement as a
whole rather than to any particular section or subdivisions hereof.
19.In the event any term, condition, or clause of this Agreement is declared to be
illegal or unenforceable by a court of competent jurisdiction, such declaration of illegality
or unenforceability shall not affect or alter the legality or enforceability of any remaining
term, condition, or clause hereof, provided of the parties, as set forth in this Agreement.
20.All rights conveyed to the DEVELOPER in this Agreement are transferable.
21. This Agreement is subject to final approval by the Board of County
Commissioners of Indian River County.
