AND
CRF PANTHER Il, LLC . FOR
CR512 IMPROVEMENTS, SITE ACCESS,
STORMWATER MANAGEMENT AND RIGHT-OF-WAY ACQUISITION
THIS AGREEMENT, entered this 14th day of March , 2006, by and between
INDIAN RIVER COUNTY, FLORIDA apolitical subdivision of the State of Florida, 1840 25t"
Street, Vero Beach, Florida, 32960 hereafter called COUNTY and CRF Panther II, LLC, a Florida
limited liability company, 500 South Florida Avenue, Suite 700, Lakeland, Florida 33801 , hereafter
referred to as the DEVELOPER.
WITNESSETH
WHEREAS , the DEVELOPER has plans to develop a commercial development on
approximately 13 . 5 acres (as described in the attached Exhibit "A" and incorporated herein by
reference, and which shall hereinafter be referred to as the "Commercial Development") and has sold
approximately 42 .47 acres of the original parent parcel for residential development. The
Commercial Development and Residential Property, which constitutes the original parent parcel of
approximately 55 .97 acres, may hereinafter be referred to as the "Property. " All of the Property has
been annexed into the City of Sebastian; and
WHEREAS , the COUNTY and DEVELOPER share mutual concerns with respect to right-
of-way acquisition, driveway access, drainage, roadway improvements for CR512 for the Property;
and
WHEREAS, the County is currently planning to improve and expand CR 512 along the
Property; and
WHEREAS, both the COUNTY and DEVELOPER can mutuallybenefit from a joint effort
that will provide for right-of-way acquisition, driveway access, drainage and improvements to
CR512 .
NOW, THEREFORE, in consideration of the mutual tenns, conditions, promises, covenants
and premises hereinafter, the COUNTY and DEVELOPER agree as follows :
1 . The above recitals are affinned as being true and correct and are thereby incorporated
herein.

2 . CR512 Right-of-Way Acquisition : Currently, the right-of-way of CR512 directly
adjacent to the Property is approximately 90 feet wide. DEVELOPER shall sell to
COUNTY, as additional right-of-way along CR512 , a 0 . 5 acre strip of property directly
adjacent to the southerly property line of the Property described in Exhibit " B " attached
hereto and incorporated by reference herein. The right-of-way shall be conveyed by deed
at the request of the COUNTY, but not later than March 15, 2006, at a cost to the
COUNTY of $ 100,000. 00 per acre.
3 . Access Improvements : The COUNTY will include the following improvements as part
of the CR512 expansion project to serve and benefit the Property:
A. a full median access improvement (eastbound left-turn lane along CR512 to
serve the "Eastern 512 Access Point" in a manner that will serve the number of trips
necessary for the development of the Property) at a location approximately between
Station 268+00 and 269+00 as indicated on the C.R. 512 Corridor Improvements (West
of C .R. 510 to Roseland Road) Phase 3 (Indian River County plans — project number
9611 ) that is properly aligned with the driveway entrance road on the Property as depicted
on the attached Exhibit "C " (the "Site Plan") to serve the proposed Commercial
Development, the Residential Property and the property located to the east of the
Commercial Development (the "Eastern 512 Access Point"). The COUNTY
acknowledges that the Eastern 512 Access Point is not presently designed in an
appropriate location, and agrees to modify the design of the Eastern 512 Access Point on
its plans so that it properly aligns with the driveway entrance road for the Property as
depicted on the Site Plan. The DEVELOPER acknowledges that the COUNTY will have
to acquire additional property to complete the Eastern 512 Access Point. In order to
acconunodate the traffic from the median access, the COUNTY shall permit a driveway
connection from DEVELOPER ' S property to CR512 across COUNTY owned right-of-
way land. The DEVELOPER shall pay $ 50,000. 00 towards the cost of the full median
access improvement which shall be applied as a credit towards the amount owed by the
COUNTY to the DEVELOPER hereunder.
B. a stubout from its CR512 improvements for a right-tum in/right-turn out
driveway connection to CR512 at a location at least 230' west of the aforementioned east

property line driveway to be approved by the COUNTY (the "Western 512 Access
Point") as depicted in the Site Plan. The COUNTY shall pay 100% of this improvement.
C. a west-bound deceleration lane to serve the Eastern 512 Access Point. The
design shall accommodate the residential and commercial development proposed for the
Property as depicted on the Site Plan. The DEVELOPER shall pay 530,000. 00 towards
the cost of the tum lane improvement which shall be applied as a credit towards the
amount owed by the COUNTY to the DEVELOPER hereunder.
D. All of the accesses and improvement locations addressed in this paragraph that
are depicted in the attached Exhibit "C" are incorporated herein by reference and shall
conform to Florida Department of Transportation Green Book specifications.
4. The DEVELOPER shall , on or before March 15, 2006, convey the 0. 983 acre parcel of
property described in the attached Exhibit "D" incorporated herein by reference to the
COUNTY for stonnwater wet detention storage required as part of the CR512
improvements ("Stonnwater Property"), at a cost to the COUNTY of $ 100,000. 00 per
acre. The COUNTY will include the design, permitting and construction of this
improvement as part of the CR512 expansion project.
5 . The COUNTY shall be given a dollar for dollar credit for the DEVELOPER ' S share of
the costs of all improvements as set forth above, and said credit to be applied against the
land purchase prices for the right-of-way and Stonnwater Property. Given the amounts
set forth in this Agreement, the COUNTY owes the DEVELOPER 868 ,300 . 00 (the "Net
Payment") .
6 . The COUNTY may either pay the Net Payment to the DEVELOPER in cash (which may
include a County check, wire or electronic fund transfer) or provide payment in the form
of transportation impact fee credits to the DEVELOPER. The impact fee credits shall be
fully transferable by DEVELOPER.
7 . The DEVELOPER shall convey, without additional consideration, twenty (20) feet of
right-of-way to the COUNTY, or the COUNTY' S designee, for the purpose of the
development of the trail across the Property to be located, at DEVELOPER' S election, on
either the southern or northern boundary of the Commercial Development proposed for

Residential development (the "Trail Property") . The Trail Property is described in the
attached Exhibit "E" incorporated herein by reference. The DEVELOPER will retain a
drainage outfall easement over the Trail Property to provide stonnwater drainage outfall
to the slough located north of the Trail Property.
8 . The DEVELOPER shall include the planned trail right-of-way in any development plan
that is submitted to the City of Sebastian . The COUNTY or its designee shall design,
construct, landscape and maintain the trail and landscaping improvements within the Trail
Property.
9 . Time is of the essence as to all matters pertaining to this Agreement.
10. In the event of any litigation arising out of this Agreement, each party shall bear its own
attorney fees and costs.
11 . No amendment, modification, change, or alteration of this Agreement shall be valid or
binding unless accomplished in writing and executed by all of the parties hereto .
12 . This Agreement shall be binding upon and inure to the benefit of the parties hereto and
their successors, and assigns.
13 . This Agreement contains the entire agreement and understanding between the parties. No
representation, statement, recital, undertaking, or promise not specifically set forth herein
shall be binding on any party hereto .
14 . This Agreement and all matters arising hereunder shall be governed by and construed in
accordance with the laws of the State of Florida. Venue hereunder shall lie in Indian
River County, Florida.
15 . This Agreement shall be deemed prepared jointly by each of the parties hereto and shall
be construed on parity as between the parties . There shall be no canon of construction for
or against any party by reason of the physical preparation of this Agreement.
16 . Whenever the singular number is used in this Agreement and when required by the
context, the same shall include the plural; and the masculine, feminine, and neuter
genders shall each include the others.
17. COUNTY and DEVELOPER shall grant such further assurances and provide such
additional documents as may be required by one another from time to time, and cooperate
fully with one another in order to carry out the terms and conditions hereof and comply
with the express intention of this Agreement.
18 . Failure to insist upon strict compliance with any of the terns, covenants, or conditions

herein shall not be deemed a waiver of such terms, covenants, or conditions, nor shall any
waiver or relinquishment of any right or power hereunder at any one time or times be
deemed a waiver or relinquislunent of such right or power at any other time or times .
19 . All words, terms, and conditions contained herein are to be read in concert, each with the
other, and a provision contained under one paragraph may be considered to be equally
applicable under another in the interpretation of this Agreement.
20. The words herein and hereof and words of similar import, without reference to any
particular section or subdivision of this Agreement, refer to this Agreement as a whole
rather than to any particular section or subdivision hereof.
21 . In the event any term, condition, or clause of this Agreement is declared to be illegal or
unenforceable by a court of competent jurisdiction, such declaration of illegality or
unenforceability shall not affect or alter the legality or enforceability of any remaining
tenn, condition, or clause hereof, provided of the parties, as set forth in this Agreement.

WITNESSETH that Grantor, for and in consideration of the sum of Ten and no/ 100
Dollars (SI 0. 00) and other valuable consideration to said Grantor in hand paid by said Grantee, the
receipt and sufficiency of which is hereby acknowledged, has granted, bargained, conveyed and sold
to the said Grantee, and successors and assigns forever, the following described land, situate, lying
and being in Indian River County, Florida, to-wit:

This Conveyance is subject to the following:
1 . Conditions, restrictions, limitations and easements of record, if any, but this provision

purposes of stormwater drainage outfall to the natural slough that lies north of the Property.
