MODIFICATION TO
CONTRACT FOR CONSTRUCTION OF REQUIRED IMPROVEMENTS
NO . SD -02 -06 -11 -CFC (2002020080 -33766)
THIS MODIFICATION , made and entered into this 6th day of
Apri 1 , 20047 by and between # JDC Florida , Inc . , an Alabama
corporation authorized to do business in the State of Florida , hereinafter
referred to as " Developer ' , and INDIAN RIVER COUNTY , a political subdivision
of the State of Florida , by and through its Board of County Commissioners ,
hereinafter referred to as " County" .
WITNESSETH :
WHEREAS , Developer entered into a Contract for Construction of
Required Improvements No . SD -02 - 06 - 11 -CFC (2002020080-33766 )
guaranteeing the completion of certain required improvements within Riverwind
Subdivision Phase One by April 15 , 2004 ; and
WHEREAS , those certain required improvements were guaranteed by a
surety bond ; and
WHEREAS , certain of the required improvements have been completed
and Developer wishes to reduce the amount of the bond and substitute cash for
the remainder of the required improvements not yet completed ; and
WHEREAS , Developer has posted $ 21 , 133 . 55 cash and has entered into
a Cash Deposit and Escrow Agreement , attached as Exhibit "A" in support of the
contract and modification ; and
NOW, THEREFORE , IN CONSIDERATION OF THE MUTUAL
COVENANTS AND PROMISES HEREIN CONTAINED , the parties agree as
follows :
1 . The amount of the bond is reduced to $ 21 , 133 . 55 , with the
required improvements not yet constructed itemized on Exhibit " B " attached
hereto .
2 . The surety bond is substituted with cash in the amount of
$ 21 , 133 . 55 , and Developer has executed a Cash Deposit and Escrow
Agreement , attached as Exhibit "A" hereto , in support of the Contract and
Modification .
2 , The Cash Deposit and Escrow Agreement is made a part of this
Modification .

3 . All other terms set out in the Contract for Construction of Required
Improvements No . SD-02 .06-11 -CFC (200202008043766) remain in full force
and effect.

Riverwind Subdivision Phase One
CASH DEPOSIT AND ESCROW AGREEMENT
THIS AGREEMENT is entered into this 6th day of
Agri 1 2004 , by and between JDC Florida , Inc . , an Alabama
corporation authorized to do business in the State of Florida ( Developer) , and
INDIAN RIVER COUNTY , a political subdivision of the State of Florida ( County) :
WITNESSETH ;
WHEREAS , Developer is effecting a subdivision of certain property
within Indian River County and is required to provide surety supporting a contract
with the County for the construction of certain required improvements related
thereto ;
NOW , THEREFORE , in consideration of the agreements , promises ,
and covenants set forth herein , and other good and valuable considerations , the
parties hereto agree as follows :
1 . The Developer has tendered to the County Office of Management
and Budget ( Escrow Agent) the sum of Twenty-One Thousand One Hundred
Thirty-Three and 55/ 100 Dollars ( $21 , 133 . 55) , the receipt whereof is hereby
acknowledged , which sum shall be held in escrow by said Office , subject to the
terms , conditions and covenants of this escrow agreement as assurance that
Developer shall perform in all respects the obligations set forth in the
aforementioned Contract for Construction of Required Improvements , which
agreement is attached hereto and incorporated herein by reference ( Contract) .
2 . Upon completion of any distinct or separable phase or
improvement , or independent portion thereof, the Developer may obtain a
disbursement from the escrow account by making a written request to the Board of
County Commissioners of Indian River County through the County' s Public Works
Director . The request shall specify the amount of disbursement desired and shall be
accompanied by a sealed certificate from Developer's engineer describing the work
completed , the actual cost thereof, the estimated cost of all remaining work which is
secured by the escrow account , and that the work for which disbursement is
requested has been completed in accordance with the most recent set of plans and
specifications approved and on file with the County .
3 . The amount of any given disbursement shall not exceed eighty
(80 % ) percent of the total cost of improvements certified as being completed under
the preceding paragraph ; i . e . , twenty (20 % ) percent of the cost of each phase ,
improvement , or portion thereof, shall be retained in the escrow account until the
final reduction , which shall occur only after issuance of a Certificate of Completion in
accordance with the County' s Subdivision and Platting Ordinance .

4 . Notwithstanding the above disbursement limits , at no time shall the
escrow account balance be reduced below an amount equal to one hundred fifteen
( 115 °/x ) percent of the most recent approved cost estimate of the remaining required
improvements .
5 . Within seven ( 7) working days after receipt of a disbursement
request, the Public Works Director shall cause an inspection of the work for which
payment is sought . If the Public Works Director is satisfied in all respects with the
work , the accompanying cost estimates and certifications , the Public Works Director
shall notify in writing the County Office of Management and Budget . The Office of
Management and Budget shall make the disbursement as approved by the Public
Works Director directly to Developer.
6 . Upon default by developer under the Contract , the County may
elect to pursue any of the remedies made available therein . All funds remaining in
the escrow account at the time default is declared by the County shall be available
for use by the County in accordance with the Contract . Said funds shall be
disbursed to the County upon receipt by the Office of Management and Budget of a
certified copy of a resolution of the Board of County Commissioners stating that
Developer has defaulted under the Contract and that said funds are necessary to
complete the required improvements . All funds disbursed to County in excess of the
final amount determined necessary by the County to complete the required
improvements shall be returned to Developer, its legal representatives , successors
or assigns .
7 . Any interest earned during the term of escrow, less administrative
expenses , shall be disbursed to Developers at close of escrow.
8 . The funds deposited hereunder exist solely for the protection , use
and benefit of the County and shall not be construed or intended in any way,
expressly or impliedly, to benefit or secure payment to any contractor, subcontractor,
laborer, materialman , architect , engineer, attorney or other party providing labor,
material , supplies , or services for construction of the required improvements , or to
benefit any lot purchase , while such funds remain subject to this escrow agreement ,
unless and until the County shall agree otherwise in writing . The County shall not be
liable to any of the aforementioned parties for claims against the Developer or
contractor relating to the required subdivision improvements .
9 . This Agreement , together with the attached Contract , is the full
and complete understanding of the parties and shall not be construed or amplified by
reference to any prior agreement , discussion , or understanding , except as
specifically mentioned herein . This Agreement shall not be assigned without the
express written approval of the County. Any amendment , deletion , modification ,
extension , or revision hereof or hereto shall be in writing , and executed by authorized
representatives of each party .

CONTRACT FOR CONSTRUCTION OF REQUIRED IMPROVEMENTS
NO . SD -02 -O6 -11 -CFC (2002020080 =33766)
THIS CONTRACT, made and entered into this 4th day of April
2003 by and between JDC Florida , Inc . , an Alabama corporation authorized to do
business in the State of Florida , hereinafter referred to as "Developer, " and INDIAN
RIVER COUNTY , a political subdivision of the State of Florida , by and through its Board
of County Commissioners , hereinafter referred to as "County" .
WITNESSETH :
WHEREAS , Developer is commencing proceedings to effect a subdivision of land
within Indian River County, Florida ; and
WHEREAS , a final plat of the subdivision within the unincorporated area of Indian
River County shall not be recorded until the Developer has installed the required
improvements or has guaranteed to the satisfaction of the County that such
improvements will be installed ; and
WHEREAS , Developer requests the approval and recordation of a certain plat to
be known . as Riverwind Subdivision Phase One ; and
WHEREAS , the required improvements are to be installed after recordation of this
plat under guarantees posted with the County.
NOW , THEREFORE , IN CONSIDERATION OF THE MUTUAL COVENANTS AND
PROMISES HEREIN CONTAINED , the parties agree as follows :
1 . Developer agrees to construct on or before April 15 . 2004 , in a good and
workmanlike manner, those improvements described as follows :
See Exhibit "A" attached hereto
or otherwise required by the Indian River County Code in connection with the approval of
said plat. A copy of the plat shall be recorded in the Public Records of Indian
River
County, Florida upon the final approval of the Board of County Commissioners and made
a part hereof for all purposes .
2 . Developer agrees to construct said improvements strictly in accordance with
the land development permit , the most recent set of plans and specifications for this
subdivision approved by the County and on file in the Planning and Development

Division , and all County development regulations and standards , including conditions and
requirements of any applicable County right-of-way permit , all of which are hereby
incorporated by reference and made a part hereof.
3 . In order to guarantee performance of this contract, Developer shall
simultaneously herewith furnish to County a performance bond underwritten by a surety
insurer authorized to transact such business in this state , which shall remain in full force
and effect until at least ninety (90 ) days beyond the date set forth in paragraph 1 , or until
the covenants of this contract have been fully complied with and satisfactorily completed
as determined by the County pursuant to paragraph 5 below, in a form to be approved by
the County, with Developer as principal and County as obligee , and
Gulf Insurance Company
as the surety, in the amount of $-1 9 983 , 996 . 96 ,
which amount is not less than one hundred fifteen percent ( 115 % ) of the estimated total
cost of improvements remaining to be constructed , as determined in accordance with the
County's Subdivision and Platting Ordinance . It is understood that the full amount of the
guaranty shall remain available to the County and shall not be reduced during the course
of construction without an express written authorization from County. Requested
reductions shall not be unreasonably withheld by the County. Developer, may at any time
substitute guarantees , subject to the approval as to form and amount by the County.
4 . Up to $ 1 , 000 , 000 . 00 , or the limits of any applicable underlying or excess
insurance coverage carried by Developer or to be obtained during the course of the
construction of the subdivision improvements , Developer agrees to indemnify and hold
harmless the County against any and all claims , damages , losses , and expenses ,
including attorney's fees , for property damage , personal or bodily injury , or loss of life ,
arising from the negligent acts or omissions of the Developer, its officers , employees ,
agents , or contractors , subcontractors , laborers , or suppliers , relating to the construction
of the required improvements , including all those improvements to be constructed on
existing publicly dedicated or County-owned property, such as street , sidewalk , bikepath ,
lighting , signalization , traffic control , drainage , water, or sewer improvements .
5 . The County agrees to approve the plat for recordation in the Public Records of
Indian River County, Florida upon a finding as to compliance with all applicable provisions
of the County's Subdivision and Platting Ordinance and upon execution hereof. The
County shall accept those areas specifically dedicated to the County for the purposes
indicated on the plat at the time of plat recordation . However, nothing herein shall be
construed as creating an obligation upon the County to perform any act of construction or
maintenance within such dedicated areas until such time as the required improvements

are satisfactorily completed . Satisfactory completion in accordance with the land
development permit , plans , specifications , and ordinance requirements of Indian River
County shall be determined by the County and shall be indicated by specific written
approval of the Public Works Director or his 'designated representative , after receipt of a
signed and sealed Certificate of Completion from the project engineer of record .
6 . In the event the Developer shall fail or neglect to fulfill its obligations under this
contract and as required by the Indian River County Code ,
and the guarantor or surety shall be jointly and severally liable ov pay for the cost olf
construction and installment of the required improvements to the final total cost, including
but not limited to engineering , construction ,
legal and contingent costs , including
reasonable attorney's fees incurred by the County, together with any damages , either
direct or consequential , which the County may sustain as a result of the failure of
Developer to carry out and execute all provisions of this contract and applicable
ordinances of the County. In no event, however, shall the liability of the guarantor or
surety under this paragraph exceed the total amount of the original obligation stated in
the guaranty or surety instrument, less any approved reductions thereto .
7 . The parties agree that the County at its option shall have the right , but not the
obligation , to construct and install or, pursuant to receipt of competitive bids , cause to be
constructed and installed the required improvements in the event Developer shall fail or
refuse to do so in accordance with the terms of this contract. Developer expressly agrees
that the County may demand and draw upon the existing guaranty or surety for the final
total cost of the improvements . Developer shall remain wholly liable for any resulting
deficiency, should the guaranty or surety be exhausted prior to completion of the required
improvements . In no event shall the County be obligated to expend public funds , or any
funds other than those provided by the Developer, the guarantor, or surety, to construct
the required improvements .
8 . Any guaranty or surety provided to the County by Developer with respect to this
contract shall exist solely for the use and benefit of the County and shall not be construed
or intended in any way, expressly or impliedly, to benefit or secure payment to any
subcontractor, laborer, materialman or other party providing labor, material , supplies , or
services for construction of the required improvements , or to benefit any lot
purchaser(s ) , unless the County shall agree otherwise in writing .
9 . This agreement is the full and complete understanding of the parties and shall
not be construed or amplified by reference to any other agreement, discussion , or
understanding , whether written or oral , except as specifically mentioned herein . This
agreement shall not be assigned without the express written approval of the County. Any
amendment , deletion , modification , extension , or revision . hereof or hereto shall be in
writing , executed by authorized representatives of both parties .
