THIS INDENTURE , made and entered into on this 4th day of
Nsveather , 2003 , by and between the SCHOOL BOARD OF INDIAN
RIVER COUNTY, FLORIDA, Grantor, whose address is 1990 25TH Street, Vero Beach, Q '
Florida 32960 and the BOARD OF COUNTY COMMISSIONERS OF INDIAN RIVER
COUNTY, FLORIDA whose address is 1840 25th Street, Vero Beach, Florida 32960,
Grantee .
RECITALS
The Grantor is the owner of land, which is located at the site of Sebastian River
Middle School and is more particularly described in Exhibit "A" attached hereto and by
this reference made a part hereof, hereinafter referred to as ` Basement Area. " The
Grantor has agreed to give Grantee permission to install and maintain irrigation well and
pumps on the described strip of land, (Easement Area) in order for Grantee to provide
water for irrigation of its North County Regional Park ballfields and soccer fields , which
t is more particularly shown in Exhibit ` B " attached hereto and by this reference made a
rd part hereof, hereinafter referred to as " Park Site" ,
GRANT OF EASEMENT
NOW, THEREFORE in pursuance of this Agreement and in consideration of the
sum of Ten Dollars ($ 10 . 00) and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, Grantor grants and conveys unto Grantee,
its agents , representatives, invitees, successors and assigns , a perpetual, non-exclusive
utility easement and right-of-way over, across and through the Easement Areas as
described in Exhibit "A" to be used for the construction, maintenance, repair and
replacement of the well located on the Sebastian River Middle School Site as described
in Exhibit "A" .
This Easement is hereby granted unto the Grantee, its agents , representatives ,
successors and assigns, as appurtenant to the Park, which is contiguous with a portion of
the Easement Area, and the terms contained herein shall be binding on Grantee, its
agents, representatives , successors and assigns . This Easement shall also run with the
Grantor's land and title thereto and the terms contained herein shall be binding on
Grantor, its members, agents, successors and assigns and any person or entity who shall
thereafter acquire title to Grantor's property.

USE AGREEMENT
1 . Maintenance Vehicles . The Grantee' s vehicles using the Easement Areas , shall
be limited to full size customary pick up trucks, vans , one ton bucket trucks or other
similar size vehicles . On those emergency occasions when the equipment needed to
maintain, repair or replace any part of the well requires vehicles larger than the above
referenced vehicles , such larger vehicles may be used, but only with the approval of the
Superintendent of the Grantor or his/her designee in the Superintendent's absence .
2 . Well Site (Exhibit "A") . The Grantee shall install well and maintain access to
said well . The Grantee shall clean up the construction area and restore any of Grantor's
landscaping damaged by construction of the well to as near its original condition as
possible .
3 . Insurance . Grantee shall maintain at all times during the existence of these
Easement Area a policy of general comprehensive liability insurance in excess of
Grantee ' s self-insurance, naming as a co-insured or additional insured, the Grantor for
those claims filed against the Grantor, which claims arise from the actual and direct use
by Grantee of the Easement Area when the Grantee is using the Easement Area pursuant
to the rights granted in this Easement . Said excess policy of insurance shall protect
against liability for loss or damage for bodily injury or property damage occasioned by
Grantee's use of the Easement Area pursuant to the terms of this Easement, in the
minimum amounts of $ 500, 000 per occurrence for bodily injury to any one person, and
$ 1 , 000 ,000 per occurrence for bodily injury resulting from any one accident, and
$ 100, 000 per occurrence for property damage resulting from anyone accident. Upon
written request by the Grantor, the Grantee shall provide proof of insurance showing the
coverage required by this paragraph.
