HomeMy WebLinkAbout2009-200 AMENDMENT TO ESCROW AGREEMENT This Amendment to that Escrow Agreement entered into on or about January 30 , 2007 , by and between Shadowbrook Estates , Inc . , a Florida corporation (" Seller") and Indian River County, a political subdivision of the State of Florida ("Buyer") , (together, the "Parties ") , is hereby incorporated and made a part of the Escrow Agreement : The Parties agree that the following provisions are made a part of the Escrow Agreement , and to the extent that any conflict exists between the terms and provisions of the Escrow Agreement and this Amendment thereto , the terms and provisions of this Amendment shall govern and prevail : 1 . Notwithstanding any other terms and provisions of the Escrow Agreement, the Term of the Escrow shall be extended for two (2) years from the Effective Date of this Amendment . Any funds remaining in the Escrow after that time shall be delivered to Seller. Seller shall be responsible for any post-remediation monitoring required by DEP for up to two (2 ) years from the Effective Date of this Amendment . Seller shall not be responsible for required post-remediation monitoring after two (2 ) years from the Effective Date of this Amendment . The Effective Date of this Amendment shall be the date the second Party executes this Amendment . 2 . Except as modified herein the Escrow Agreement remains in full force and effect . 3 . This Amendment may be executed in counter parts , and the counter parts together shall constitute the single agreement of the Parties . Facsimile transmission of a counter part signed by a Party shall be sufficient to establish the signature by that Party.
