AND INDIAN RIVER COUNTY BOARD OF COUNTY COMMSSIONERS THIS PROFESSIONAL SERVICES AGREEMENT ( "Agreement" or " Contract" ) is entered into as of this 1st day of September, 2009 , between Indian River County Board of County Commissioners ( hereinafter referred to as the " County" ) and Donadio & Associates , Architects , P . A . , ( hereinafter referred to as the " Consultant" ) . BACKGROUND RECITALS A . In accordance with the Consultants ' Competitive Negotiations Act , Section 287 . 055 , Florida Statutes , the County issued a Request for Proposals for architectural consulting services consisting of a spatial needs analysis ; a master plan ; and design of and evidence storage facility for the Indian River County Sheriffs Office . B . Pursuant to the Request for Proposals , the County ' s duly- constituted Consultant Selection Committee received proposals and ranked the firms that responded to the Request for Proposals based on the evaluative criteria set forth in the Request for Proposals . C . The Consultant was the highest ranked respondent to the Request for Proposals and on June 16 , 2009 , the County approved the Consultant Selection Committee recommendation to hire Consultant to provide the architectural consulting services set forth in the Request for Proposals and this Agreement . D . Consultant is willing and able to perform the services for the County as set forth in this Agreement on the terms and conditions set forth below . NOW THEREFORE , for good and valuable consideration , the receipt and sufficiency of which is hereby acknowledged , and intending to be legally bound hereby , the parties hereto do mutually agree as follows : ARTICLE 1 : ENGAGEMENT OF THE CONSULTANT The County hereby agrees to engage the Consultant and the Consultant agrees to furnish and deliver all services and products herein set forth in Attachment A " Scope of Work " attached hereto and incorporated herein by this reference in its entirety ( " Services " ) . . ARTICLE 2 : SCOPE OF SERVICES ; ADDITIONAL SERVICES A : The Consultant shall do , perform , and carry out in a satisfactory professional and proper manner as determined and approved by the County the services as specified in Attachment A . . The Consultant and the County acknowledge and agree that the spatial needs assessment [ Phase IA] ; the master planning [ Phase IB] ; and [ Phase ll ] , design services for the evidence storage facility are the only services authorized under this Agreement . B : The County may , but is not obligated to , request that the Consultant perform additional services beyond the Scope of Services . If additional services are requested , the County and Consultant shall agree in writing to the scope and price of the additional services prior to Consultant performing any additional services . The County and Consultant acknowledge and agree that any such additional Services will be 1 negotiated based on pricing that is consistent with , and comparable to the compensation for similar Services covered under this Agreement . C : The County and Consultant acknowledge and agree that : ( i ) Attachment B through and including Attachment E , attached hereto and incorporated in its respective entirety , identify certain other conditions and additional services along with hourly rates and calculation of fees ; ( ii ) this Agreement does not include the design of any structure other than the evidence storage facility ; and ( iii ) the compensation for Phase II , design services for the evidence storage facility will be negotiated by the parties in accordance with the terms of this Agreement . ARTICLE 3 : TIME OF PERFORMANCE The term of this contract shall begin upon execution of this contract by the County and shall end upon acceptance of the complete work product by the Board of County Commissioners . ARTICLE 4 : COMPENSATION A . The County shall pay the Consultant a fixed price professional fee of Eighty Five Thousand Three Hundred Twenty Nine Dollars ( $ 85 , 329 ) to cover all professional labor costs and direct and indirect expenses for travel , printing , faxes , overnight mail , etc . Notwithstanding the foregoing , the Consultant acknowledges and agrees that it will not be reimbursed for any travel within Indian River County where a Consultant maintains an office in Indian River County . In any case the foregoing amount shall be the maximum amount paid by the County to the Consultant for all work hereunder as called for in Attachment A . A ten percent ( 10 % ) Retainage shall be withheld by the County until all of the Consultant ' s work is completely accepted by the County . The County will be invoiced monthly on a percent completed by task basis . Proper Invoices , phased as set forth herein , shall be submitted to the County ' s Finance Department in detail sufficient for proper prepayment and post payment audit . Invoices are due and payable upon approval in accordance with the Florida Prompt Payment Act , F . S . Section 218 . 70 et seq . Phase I -A $ 64 , 171 Phase I - B $ 21 , 158 Total $ 857329 ARTICLE 5 : EQUAL EMPLOYMENT OPPORTUNITY In connection with the execution of this Contract , the Consultant shall not discriminate against any employee or applicant for employment because of race , religion , color , sex , disability , or national origin . The Consultant shall take affirmative action to insure that applicants are employed , and that employees are treated during their employment , without regard to their race , religion , color , sex , disability , or national origin . Such actions shall include , but not be limited to , the following : employment , upgrading , demotion , or transfer ; recruitment or recruitment advertising ; layoff or termination ; rates of pay or other forms of compensation ; and selection for training , including apprenticeship . The Consultant shall comply with all the requirements of Title 21 , USA , Chapter 5 , Subchapter 6 , relating to fair employment practices to the extent applicable . A similar provision shall be included in any and all Subcontracts . ARTICLE 6 : GENERAL TERMS AND CONDITIONS A . AMENDMENT . Any changes , amendments , or extensions of this Contract , which are mutually agreed upon by the parties hereto , shall be incorporated in written amendments attached to this Contract . 2 B . PROPERTY . Any end product or by - product of professional service accomplished by the Consultant under this Contract shall be and remains the property of the County , but may be used and published by the Consultant . C . TERMINATION . This Contract may be terminated , prior to the end of the term specified in Article 3 by either party by giving written notice of such termination , and on such date , compensation under this Contract shall likewise be terminated . Should this Contract be terminated by either party , all finished or unfinished products of professional service , including all notes , working papers , etc. , shall be the property of the County , and the Consultant hereby agrees to , within ten ( 10 ) days after termination of this Contract , make any such disposition of the property as the County may direct . In the event of termination , the Consultant will be compensated , as called for in Article 4 herein , for costs incurred through and including the date of termination . D . RECORDS . The Consultant agrees to maintain complete and accurate books and records , in accordance with sound accounting principles and standards , (" Books" ) with respect to all services and the related costs under this Contract . These Books shall be maintained for three ( 3 ) years following Final Payment under this Contract . In addition , the Consultant shall comply with the provisions of Chapter 119 , Florida Statutes ( Public Records Law) in connection with this Contract . E . MERGER ; MODIFICATION . This Contract incorporates and includes all prior and contemporaneous negotiations , correspondence , conversations , agreements , and understandings applicable to the matters contained herein and the parties agree that there are no commitments , agreements , or understandings concerning the subject matter of this Contract that are not contained in this document . Accordingly , it is agreed that no deviation from the terms hereof shall be predicated upon any prior representations or agreements , whether oral or written . It is further agreed that no modification , amendment or alteration in the terms and conditions contained herein shall be effective unless contained in a written document executed by both parties . F . NOTICES . All notices , demands , approvals , consents , and other communications required or permitted under this Contract shall be in writing and shall be (as elected by the person giving such notice ) given by commercial overnight courier service ; fax ; hand delivery ; or mailed by registered or certified mail ( postage prepaid ) return receipt requested to the following addresses : CONSULTANT : Donadio & Associates , Architects , P . G . INDEPENDENT CONTRACTOR . The Consultant is and shall be an independent contractor in the performance of all Services and activities under this Contract and is not an employee , agent or servant of the County . All persons engaged in any of the Services performed pursuant to this Contract shall at all times and in all places be subject to the Consultant's sole direction , supervision , and control . The Consultant shall exercise control over the means and manner in which Consultant and its employees perform the Services and in all respects the Consultant's relationship and the relationship of its employees to the County shall be that of an independent contractor performing solely under the terms of this Contract and not as employees or agents of the County . The Consultant does not have the power or authority to bind the County in any promise , agreement or representation other than such power or authority which is specifically provided for in this Contract . H . AVAILABILITY OF FUNDS . The obligations of the County under this Contract are subject to the availability of funds lawfully appropriated for its purpose by the Board of County Commissioners of Indian River County . I . NO PLEDGE OF CREDIT , The Consultant shall not pledge the County' s credit or make it a guarantor of payment or surety for any contract , debt , obligation , judgment , lien or any form of indebtedness . The Consultant further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Contract . J . SEVERABILITY ; _ If any term or provision of this Contract or the application thereof to any person or circumstance shall , to any extent , be held invalid or unenforceable for the remainder of this Contract , then the application of such term or provision to persons or circumstances other than those as to which it is held invalid or unenforceable shall not be affected , and every other term and provision of this Contract shall be deemed valid and enforceable to the extent permitted by law . K . SUCCESSORS ; NO ASSIGNMENT The County and the Consultant bind themselves and their respective successors and assigns to the other party to this Contract with respect to all duties , rights , responsibilities , obligations , provisions , conditions , and covenants of this Agreement . The County and the Consultant agree that the Consultant shall not assign , transfer, or delegate , either in whole or in part , its rights or duties under this Contract without the prior written consent of the County . The County has the absolute right to withhold or condition such consent . If the Consultant attempts to assign , transfer, or delegate its rights or duties without the County' s consent , then the County may terminate this Contract , and any such purported assignment shall be null , void , and of no legal effect whatsoever . Nothing herein shall be construed as creating any personal liability on the part of any officer or agent of the County who may be a party hereto , nor shall it be construed as giving any rights or benefits hereunder to anyone other than the County or the Consultant . L . GOVERNING LAW ; VENUE . The validity , interpretation , construction , and effect of this Contract shall be in accordance with and governed by the laws of the State of Florida , only . Any and all legal action instituted because of this Contract shall be instituted in Indian River County , Florida . Any legal actions instituted under this Contract that are justifiable in federal court shall be instituted in the Southern District of Florida . M . REMEDIES ; NO WAIVER . No remedy herein conferred upon any party is intended to be exclusive of any other remedy and each and every such remedy shall be cumulative and shall be in addition to every such remedy given hereunder or now or hereafter existing at law or in equity or 4 by statute or otherwise . No single or partial exercise by any party or any right , power , or remedy hereunder shall preclude any other or further exercise thereof. The failure of either party to insist upon compliance by the other party with any obligation , or exercise any remedy , does not waive the right to do so in the event of a continuing or subsequent delinquency or default . If any legal action or other proceeding is brought for the enforcement of this Agreement or because of an alleged dispute , breach , default , or misrepresentation in connection with any provisions of this Agreement , each party shall bear its own costs . N . SURVIVAL . Except as otherwise expressly provided herein , each obligation in this Agreement to be performed by Consultant shall survive the termination or expiration of this Agreement . O . CONSTRUCTION . The headings of the sections of this Agreement are for the purpose of convenience only , and shall not be deemed to expand , limit , or modify the provisions contained in such Sections . All pronouns and any variations thereof shall be deemed to refer to the masculine , feminine or neuter, singular or plural , as the identity of the party or parties may require . The parties hereby acknowledge and agree that each was properly represented by counsel and this Agreement was negotiated and drafted at arm ' s- length so that the judicial rule of construction to the effect that a legal document shall be construed against the draftsperson shall be inapplicable to this Agreement P . COUNTERPARTS . This Agreement may be executed in one or more counterparts , each of which shall be deemed to be an original copy and all of which shall constitute but one and the same instrument . Q . GENERAL . The Background Recitals are true and correct and form a material part of this Agreement . ARTICLE 7 : INSURANCE The Consultant shall purchase from and maintain with a company authorized to do business in the State of Florida with a Best Key Rating of A+ VI , all such insurance as will protect the Owner against any and all claims for damages to persons or property as a result of actions of the Consultant , Consultant' s operations under the Contract and for which the Consultant may be legally liable , whether such operations be by the Consultant or by a Subconsultant or by anyone directly or indirectly employed by any of them , or by anyone for whose acts any of them may be liable . Workers ' Compensation — Consultant shall maintain workers ' compensation to meet statutory limits in compliance with Florida Law . This policy must include employers ' liability with a minimum of $ 100 , 000 each accident $ 500 , 000 disease policy limit , and $ 100 , 000 disease each employee ; Commercial General Liability — Consultant shall maintain minimum limits of $ 1 , 000 , 000 per occurrence combined single limit for bodily injury and property damage , and contractual liability , and $2 , 000 , 000 general aggregate ; Business Auto Liability — Consultant shall maintain minimum limits of liability of $ 500 , 000 per occurrence combined single limit for bodily injury and property damage , including coverage for owned autos , hired autos and non -owned autos ; 5 Professional Liability — Consult shall maintain minimum limits of professional liability at a minimum limit of $ 1 , 000 , 000 per occurrence , and $ 2 , 000 , 000 in the aggregate . Special Requirements — Ten ( 10 ) days prior to the commencement of any work under the contract , a certificate of insurance will be provided to the Risk Manager for review and approval . The certificate shall provide the County be named as an additional insured on both the general liability and auto liability policies : the County will be given thirty ( 30 ) days notice prior to cancellation or modification of any stipulated insurance and such notice shall be in writing by registered mail , return receipt requested and addressed to the Risk Manager; it shall be the responsibility of the Consultant to insure that all subcontractors comply with all insurance requirements ; ARTICLE 8 : INDEMNIFICATION The Consultant agrees to indemnify and hold harmless the County , and its officers and employees , from liabilities , damages , losses , and costs , including , but not limited to , reasonable attorneys ' fees , to the extent caused by the negligence , recklessness , or intentionally wrongful conduct of the Consultant and other persons employed or utilized by the Consultant in the performance of this Contract . . . Fell , Senior Assistant County Attorney 6 ATTACHMENT "A " Scope of Services Sheriff' s Office Facilities Indian River County, Florida General Description : The project is generally described as Programming , Master Planning , and Standard Architectural/Engineering Services for the Indian River County Sheriff' s Office Facilities , The Phases of Services are herein identified as follows : 1 . Phase I-A : Spatial Needs Assessment : 1 . 1 The Architects shall participate in an initial meeting , with departmental personnel and County staff, to review the proposed project and to establish project schedules for specific tasks . 1 . 2 The Architects shall conduct an analysis of the routine operations of the identified entities in order to fully understand their function , operations and the respective interaction , relationship , adjacency priorities and potential of joint use facilities . 1 . 3 A detailed Spatial Needs Assessment shall then be conducted, providing documentation as to current and future needs ; future need being defined as those anticipated for the years 2015 and 2025 , and the current need being defined as the year 2009 . The process for obtaining this information shall consist of a two - part effort ; a detailed questionnaire and on - site interviews with the staff of the various departments/entities , as noted above . The questionnaire shall relate to such information as : 1 . 3 . 1 Historical , Current and Projections for Future Staffing Levels . 1 . 3 . 2 A Detailed Mission Statement . 1 . 3 . 3 An Organizational Chart. (Present and/or Future) 1 . 3 . 4 An Assessment of Requested Spaces . 1 . 3 . 5 A Definition of Functional Inter- Relationships . 1 . 3 . 6 Documentation of Specialized Equipment . 1 . 3 . 7 Documentation as to relationship to other Departments . 1 . 4 The Architects , as a part of this phase , shall consider and provide documentation to the extent possible, current and future staffing level projections and their spatial need impact upon future needs of facilities . ATTACHMENT' " A " Scope of Services Sheriff's Office Facilities Indian River County, Florida Page 2 1 . 5 Based upon the recommendations related to facility size, the Architect shall identify the land area needed for the building, any existing building( s ) associated parking and related site requirements , such as stormwater retention , parking areas , general landscape requirements and building setback requirements . All identified development options , including any off- site options will be verified to be able to be supported by the identified site with site diagrams included within the report . 1 . 6 The Architect shall research and provide information relative to identifying potential grant funding sources , noting entities which provide funds for projects of the type envisioned by the County . 1 . 7 This phase shall result in a detailed report , which shall contain recommendations relative to potential solutions , and shall include not less than three (3 ) alternative recommendations as to the size and associated potential costs of each such alternative . Alternatives can be in the form of all new construction , a combination of new and existing construction including the acquisition of land and existing structures . Ten ( 10) copies of this report shall be issued to the County for review and consideration . 1 . 8 The results and recommendations of Phase I shall be presented to the County Administrator or his designee and the Sheriff, and subsequently to the Board of County Commissioners at a public meeting and/or workshop meeting . 2 . Phase I - : Master Planni Bng : 2 . 1 Based upon the information obtained during development of the Spatial Needs Assessment, the Architect shall participate in a meeting ( s ) with representatives of the Public , County, and the Sheriff' s Office . The premise of this meeting shall be to obtain consensus as to the appropriate land utilization of the County- designated property and the proposed facility as determined by the County. 2 . 2 Based upon the accepted Development Alternative , the Architects shall prepare a Master Plan Document of the selected site , illustrating : 2 . 2 . 1 Proposed land utilization of the selected site . 2 . 2 . 2 Location and general configuration of "current need" facilities . 2 . 2 . 3 Areas of potential expansion for future needs . 2 . 2 . 4 Location of vehicles access and egress , both staff and public . 2 . 2 . 5 Pedestrian areas and site circulation . 2 . 2 . 6 Vehicle Parking Areas . 2 . 2 . 7 Area( s ) designated for stormwater retention . ATTACHMENT " A " Scope of Services Sheriff' s Office Facilities Indian River County, Florida Page 3 2 . 3 'The Architect shall then prepare a final Master Planning Drawing illustrative of the proposed recommended solution and present same to the County Administration and/or the County Commission , 3 . Phase II : Standard Architectural and En2ineerim Services : 3 . 1 The Architect shall provide all design services for the evidence storage facility as defined from the finding or the Phase I recommendations as approved by the Board of County Commissioners . 3 . 2 The Architect and the Owner recognize that the requested services are of significant magnitude , scheduling and complexity , which may include the facility being developed in terms of hurricane category V . The professional fee for such additional services shall be established by negotiations based on the hourly rates to be determined as reflected on Attachment "E" . The amount of the fee shall be determined at the time such work is requested and shall be identified in detail in a written agreement executed by the Owner and the Architect . 3 . 3 Additional Services , provided concurrent with Phase II services are noted in Attachment "C" , with related fees itemized in Attachment "E" . The exact amount of such fees shall be identified and agreed to by both the Owner and Architect by written agreement before the commence and any additional requested services . ATTACHMENT " B " Other Conditions or Services Sheriff' s Office Facilities Indian River County, Florida 1 . Additional Services . The owner reserves the right to authorize additional work on the part of the Architect , or consultants , through the Architects . Said work shall be related to facilities for Indian River County including , but not limited to : feasibility studies , design of new facilities , additions or renovations to existing facilities , master planning and grant applications . These services are to be provided only when authorized in writing by the appropriate authority . 2. Public Presentations . The Architect , if authorized by the owner, shall participate in a public presentation of the proposed study and shall prepare a presentation for the purposes of assisting the County in the public awareness process . 2 . 1 The Architect shall provide the Owner with one set of documents , of said presentation , at no additional cost to the Owner. 2 . 2 The Architect shall make presentations to the general public at the fixed fee to be established on a per meeting basis . Said presentations shall be attended by up to two (2 ) members of the Architectural Team . 3. Compliance With Florida Statute : Pursuant to section 287 . 005 (6 ) ( a) . Florida Statute , the Architect warrants that he has not employed or retained any other company or person other than a bona fide employee working solely for the Architect to solicit or secure this Agreement and that he has not paid or agreed to any person , company, corporation , individual or firm , other than a bona fide employee working solely for the Architect any fee , commission upon or resulting from the award or making of the Agreement . 4 . Phasing of Architects Services : The initial phase shall consist of the Programming and then Master Planning . Phase 11 shall consist of the design , bidding , and construction administration of the proposed Evidence Facility . 5. Schedule , The Architect shall develop a comprehensive project schedule which shall outline the pertinent deliverables and the timelines for each subsequent phases of the contracted scope of services with the direct input of the County and Sheriff' s Office staff. ATTACHMENT "C " Additional Services Sheriff' s Office Facilities Indian River County, Florida 1 . Additional Services : The Architect , or his consultants , shall provide the following additional services : 1 . 1 Interior Design : l . 1 . 1 Interior design services related to the programming , conceptual design , bidding and supervision of installation of furnishings . The interior designer for this work is identified as Architectural Interiors , Inc . The Fee for this service is identified in Attachment "E" . 1 . 1 . 2 Services related to the inventory of existing furnishings and equipment shall be provided billable on an hourly basis , utilizing the rate schedule identified in Attachment "D " , or at an agreed upon fixed fee amount . Said services are to be provided only when specifically requested by the Client in writing . l . 2 Off- Site Civil Engineering : Upon acceptance of the Conceptual Site Plan , if off- site services engineering are required , a scope of work shall be established . Work typically identified as the Scope of Services for Civil Engineering is construction falling outside the property lines or within on - site easements and/or the relocation of existing utilities . The Professional fee shall be agreed upon by the Client , the Architect and Civil Engineer based upon a defined Scope of Services . 1 . 3 Landscape Architectural Services : Landscape Architectural Services shall be provided by a registered Landscape Architect , selected by the Architect, to provide the Scope of Services to be defined by the accepted Master Site Plan . The Professional Compensation Fees for these services shall be as noted in Attachment "E " . l . 4 Site and Building Identification/Graphic Design : Provide graphic design services associated with the design , bidding and construction observation of building identification , graphics and signage . 1 . 5 Permitting Coordination Services : The Architect shall provide permitting coordination services as follows : 1 . 6 . 1 Define all permits and/or review agency requirements and provide a graphic chronological assessment. 1 . 6 . 2 Prepare and/or coordinate the permitting applications and make the submittals in a timely manner and in accordance with the schedule to be submitted by the Architect upon execution of this agreement by the County . 1 . 6 . 3 Monitor the permitting process and provide written progress reports to the County . 1 . 6 . 4 The Professional Fee for permitting associated with site and facilities shall be as noted in Attachment "E" . ATTACHMENT "C " Additional Services Sheriff' s Office Facilities Indian River County , Florida Page 2 1 . 6 Facility Energy Analysis , The Architect shall so prepare the Construction Documents as to permit the accomplishment of a detailed energy analysis , to be conducted by an appropriate entity with expertise in providing this service . The purpose of the analysis shall be to maximize energy efficient systems , including insulation , fenestration and similar passive energy applications , to the extent allowable by the project construction budget . The Professional Services Fee shall be as noted in Attachment "E" . 1 . 7 Facility or Site Model : It approved in writing by the Owner, the Architect may prepare a "finished" scale model of the facility or the overall Master Plan , illustrating site utilization , building massing , access and egress roadways , parking areas , pedestrian walkways and stormwater retention areas . The completed model shall be encased in a Plexiglas cover. The Professional Services Fee shall be as noted in Attachment "E' 1 . 8 Special Engineering : Special Structural Engineering services will be provided by the Architect/Engineer, when authorized by the Client, if unusual site soil or geographical conditions are found to exist . An additional fee in an amount to be determined shall be established, based upon the conditions discovered and the complexity of services necessary to correct said conditions . 1 . 9 Extended Construction Observation : The Architect shall provide standard construction observation services during the construction phase . As also noted in this agreement, these services constitute twenty percent (2010 ) of the value of Standard Services . The Construction Documents will stipulate the period allowed the General Contractor for construction . The Architect shall be entitled to Additional Fees if the Contractor exceeds this stipulated period which shall be negotiated with the input of the selected General Contractor and the Owner, said fees being a pro-rata monthly fee of the fee allocated for this phase . These fees shall be documented in the contract specifications as the responsibility of the General Contractor and shall be payable to the Client to reimburse the Client for payments to the Architect . 1 . 10 Post Occupancy/Warranty Inspection . Eleven months after occupancy of the building the Architect and M/E/P Engineers shall conduct a warranty inspection of the building and shall document all systems and elements that are in need of corrective action on the part of the General Contractor. The Architect shall subsequently re- inspect the facility to establish that noted items have been satisfactorily resolved or if additional work is required on the part of the General Contractor . ATTACHMENT " C " Additional Services Sheriff' s Office Facilities Indian River County , Florida Page 3 1 . 11 Cost Estimating : The Architect shall retain the services of a cost estimating firm responsible for providing detailed cost estimates at the following intervals : 1 . 13 . 1 Completion of Schematic Design Phase 1 . 13 . 2 Completion of Design Development Phase 1 . 13 . 3 75 % completion level of the Construction Document Phase 1 . 13 . 4 95 % completion level of the Construction Documents Phase In the event that the County elects to utilize the services of a Construction Manager, this fee shall apply to Architectural Services required for coordination of the GMP with the CM0 The professional fee is as noted in Attachment "E" . 1 . 12 _Computer Cable System Design Coordination : The Architect shall meet with County ' s Project Manager and the Sheriff' s Office staff and establish the basic guidelines for a computer cabling distribution system for the facility and shall subsequently prepare a cabling plan with appropriate distribution spaces in the facility. The professional fee shall be as noted in Attachment "E" . 1 . 13 Security Consultant : The Architect shall obtain the services of a qualified Security Consultant for services related to site and building security systems , including C . C . T. V . , access/egress controls , locking devices , and site security systems . The professional fee shall be established based upon a defined Scope of Services as noted in Attachment "E" . 1 . 14 Site Surveying : This service is to be provided by the Client ; however, in the event that the Architect is requested to provide these services , the Architect shall obtain the services of a Registered Land Surveyor, acceptable to the Client, for a site boundary and topographic survey for the subject property . This service is provided to the Client with the understanding and agreement that the Architect shall have no liability for said services . The professional fee shall be established based upon a defined Scope of Services . 1 . 15 Geotechnical Engineering : This service is to be provided by the Client ; however, in the event that the Architect is requested to provide these services , the Architect shall obtain the services of a Professional Geotechnical Engineering firm for purposes of sub- surface soils investigation , percolation testing , and foundation recommendations . This service is provided to the Client with the understanding and agreement that the Architect shall have no liability for said services . The professional fee shall be established based upon a defined Scope of Services . ATTACHMENT "C" Additional Services Sheriff' s Office Facilities Indian River County , Florida Page 4 1 . 16 Grants Identification : The Architect shall include , in his report (Phase I ) information as to additional potential grants available for a project of this type . It shall identify funding sources , availability of funds and methodology ( when appropriate) as to obtaining grant funding . 1 . 17 Grants Application : The Architect , if so desired by the County, shall provide grant preparation services . The professional fee( s ) shall be established after identification of a potential grant and/or grants , and is noted in Attachment "E" . 1 . 18 Additional Construction Observation Services : The Client may elect to have the Architect provide additional on - site construction observation services beyond the standard services noted in this Agreement . Such representation , if desired , will be based upon the selection of an option , as provided for in Attachment "E " . 1 . 19 Record/Conformance Drawings : In the event that the Client desires a record or " as -built" set of construction documents , provided at the conclusion of construction , then the Architect shall be entitled to a professional fee as noted in Attachment "E" . 1 . 20 Sustainable DesiLyn Concept Implementation / LEED Design Certification ,• In the event that the County desires to pursue LEED certification of the project ; the Design Team will be responsible for identifying , documenting , and implementing a variety of sustainable design components for the project( s ) that can be accomplished within the defined project budget . The professional fee shall be as noted in Attachment "E" . 1 . 21 Communications Consultant : The Architect , with the Owner ' s written approval , shall be responsible for all services related to the coordination of the communications system(s ) for this facility including, but not limited to , transfer of existing equipment, selection and bidding of new equipment , itemization of facility services required ( such as electrical , mechanical equipment , etc . ) and any other criteria relative to the communications systems of this facility .
