DEVELOPER' S AGREEMENT BETWEEN
INDIAN .RIVER COUNTY, FLORIDA
AND
SOUTH LAKES, L.L.C. FOR
SOUTH LAKES SUBDIVISION —
131"n STREET SW PAVING AND RIGRT-OF-WAY ACQUISITION
THIS AGREEMENT, entered this 9th day of September 12003 , by and between
INDIAN RIVER COUNTY, FLORIDA a political subdivision of the State of Florida, 1840 25th
Street, Vero Beach, Florida, 32960 hereafter called COUNTY and SOUTH LAKES L.L.C ., 126 43rd
Avenue SW, Vero Beach, FL. 32968 , ATTN : JAMES ADAMS , hereafter referred to as the
.DEVELOPER.
WI'I"NESSETH
WHEREAS , the DEVELOPER has applied to develop a residential community to be known
as, South Lakes Subdivision on 57 +/- acre parcel of land along 13t' Street SW, (Iodian River County
Project Number 2002120150), which is legally described on Exhibit "A" attached hereto and
incorporated herein by rekrence, and;
WHEREAS, the COUNTY and DEVELOPER share mutual concerns with respect to right-
of-way acquisition, utility pole and line relocation, and roadway and drainage improvements for 13 '
Street SW along South Lakes Subdivision, and;
WHEREAS, both the COUNTY and DEVELOPER can mutually benefit each other through
a joint eMrt that will provide for rigWofF way acquisition, paving of 13`' Street SW including
stormwater treatment, and utility pole and line relocation.
NOW, THEREFORE, in consideration ofthe mutual terms, conditions, promises, covenants
and premises hereinafter, the COUNTY and .DEVELOPER agree as follows :
1 . The above recitals are awned as being true and correct and are thereby incorporated
herein
2 . DEVELOPER will design, permit and pay for the 13 ' ' Street SW paving and drainage
improvements as ;follows : The design will include construction of 13 'h Street SW ready

for paving along the site's frontage (the COUNTY will pave and provide striping),
relocation of several utility poles and lines, and accommodation of 13"' Street SW right-of-
way drainage in the subdivision stormwater management system, as indicated on
Attachment B incorporated by re&Tmce herein. These improvements shall be completed
by DEVELOPER without cost to COUNTY.
3 . The design of 13`h Street SW extension will include two alternatives : one design to extend
it to the site's east and west project limits (the preferred alternative), and the other design
to extend it approximately 100 ft . from each property line so that an unpaved transition
can be constructed both east and west of the pavement to match the existing road
alignment for the proposed subdivision. COUNTY and DEVELOPER understand that
sufhcicut right-of'way width west and east of DEVELOPER' S site must be obtained from
other property owners. Consequently, the required transitions from the new alignment to
the existing dirt road alignment cannot be accommodated if the road is built to the west
and east property line. If the additional right-of-way is obtained from the west by Indian
River County (from the owner, Mm Hallot), then, DEVELOPER shall complete
construction of 13th Street SW to the west property line. Otherwise, the construction
will end 100' +/- from DEVELOPER' S west property line . If the additional right-of=way
is obtained from the east of DEVELOPER' S site by the COUNTY (from owners Dave
Wetherinton and Daniel Dempsey) then. DEVELOPER shall complete construction of
13th Street SW to the east property line . Otherwise, the road construction will end 100'
from DEVELOPER' S east property line .
4 . DEVELOPER will construct and pay for all the improvements withiii the right-of--way,
except the asphalt used for paving, striping and street signs, which Indian River COUNTY
will provide and construct (estimated COUNTY cost is $ 15 ,000) . The DEVELOPER
shall also pay any costs to relocate utility poles and lines. The DEVELOPER shall accept
13 'h Street SW drainage along the Developer's property line.
5 . COUNTY will purchase the 30' of additional right-of way adjacent to 13th. street SW
from the DEVELOPER as indicated on Attachment B . The purchase price will be based
on the price per acre that the DEVELOPER. is paying for the 38 +/= acre development
site, which is $ 10,3 $ 5 . 52 for approximately .44 acres ($23 ,603 .46 per acre). The
COUNTY shall also attempt to acquire right-of-way both east and west of the South

or negligent acts, errors, or omissions committed or alleged to have been
coa alitted by DEVELOPER' s Engineer with a limit of $540,000 per
clainl/annual aggregate. This insurance shall extend coverage to loss of
interest, earning, profit, use and business interruption, cost of replacement
power, and other special, indirect and consequential damages.
C . Any deductibles or self insured retentions greater than $5 ,000 must be approved
by the Risk Manager for Indian River County with the ultimate responsibility for
same going to the DEVELOPER..
D . DEVELOPER'S insurance coverage shall be primary coverage.
E . All above insurance policies shall be placed with insurers with a Rest's rating ofno
less that A + VII. The insurer chosen shall also be licensed to do business in
Florida.
F . 1'he insurance policies procured shall be per occurrence policies or as generally
available on the open insurance market.
G. The Insurance Carriers shall. supply Certificates of Insurance evidencing such
coverage to the Indian. River County Risk Management Department 10 days prior
to the execution of work this Agreement .
H. The ftL%uance companies selected shall send written verification to the Indiau
River County Risk Management Department that they will provide 30 days
written notice to the Indian River County Department ofR.isk Managemetlt ofits
intent to cancel or terminate said policies of insurance.
I . A written safety inspection plans must be subtnitted to the Indian River County
Risk Management Department for approval prior to the signing of the contract .
J. DEVELOPER shall include in all sub-contracts for sub-contractors the above
insurance requirement or show them as insured udder its policies or shall fitrnish
separate certificates and endorsements for each sub-contractor. All coverages for
sub-contractors shall be subject to all of the requirements stated herein..
K. DEVELOPER hereby agrees to indemnify Indian River County and
Representatives thereof from all claims to $ l million arising solely from
intentional, reckless or negligent acts, errors or omissions of the DEVELOPER or
DEVELOPERS' REPRESENTATIVES arising, under or in connection with the
performance of duties under this agreement and for which DEVELOPER is
legally liable.
