Statement of Work This Statement of Work ("SOW") outlines the responsibilities, deliverables and acceptance criteria for the services that NEC Unified Solutions, Inc. ("NEC") will perform for Indian River County ("Customer") as described below. This SOW includes two appendices: • AppendixA — Service Responsibilities • Appendix B — Related Forms 1 . Project Summary Install NEAR 2000 IPS DML Beta version at Main Library location, 48 phones, 16 Analog trunks, 8 Analog CLID station lines and IP CCIS to Courthouse NEAX 2000 IPS for centralized voice mail. Customer to provide UPS and IP connectivity to courthouse including ethernet connectivity and IP addressing for system. This Beta Package includes OpenWorx 2000 Business Application, Openworx 2000 Personal Call Assistant, MA4000 Management Applications and SP30 Softphone applications that are not being implemented in this instalation. 2. deliverables Deliverables for the requested NEAR system implementation include: • All items specified in the Equipment List except those identified as spares • Services specified in the Services List • Site Survey report and recommendations, if any • Database design and implementation recommendations • Configuration documentation • A completed Services Completion checklist (Appendix B) 3. Pricing and Payment in consideration for the equipment and services specified in the Equipment and/or Services lists, the Customer shall remit the total sale price of $26,801 .35 plus applicable sales tax. Payment shall be due as indicated in the following payment schedule: Equipment: • 100% Df the Equipment Price is due upon delivery of the equipment required for Cutover to the site specified by the Customer: $13,354.17. Proprietary and Conridentlal 2 of i6 1003272 V.1 11/7/2006 k1 . 30 " 1996 6 : 31PM Nc � 2137 P . 3 / 16 NEC NEC Unified Solutions, Inc. 100% of Service Price ($13 ,447.18) to be paid as follows : 50% of the Service Price is due upon execution of this SOW: $6,723.59. 50% of the Service Price is due upon acceptance of the project $6,723.59. Parking-related charges are not covered under the SOW and are billed independent of the Sale Price, Unless otherwise agreed to by the parties in writing , the above payments shall be due on a per system , per site, per event basis. All change orders shall be invoiced upon Cutover. THE ABOVE SALE PRICE EXCLUDES SALES TAX. SALES TAX (IF APPLICABLE) WILL BE INVOICED IN ADDITION TO THE SALE PRICE. 4. Project Scheduling This project is scheduled to start TBD with the anticipated Cutover Date of TBD. For voice installations, the final Cutover Date is the date the switching equipment is connected to the public telephone network, activated and providing basic telephone service to place and receive telephone calls, substantially in accordance with manufacturer's published specifications. 5. Contacts Specific contact information for project team members will be provided upon receipt of a signed Statement of Work from Customer. 6. Assumptions and Limitations This Statement of Work and the rates/price are based on the following key assumptions ("Assumptions'). Parties agree that any changes in the Assumptions may result in an adjustment in the rates/price. 6. 1 . The terns and conditions of the SOW and the Agreement prevail regardless of any conflicting terms on the Purchase Order, other correspondence and any and all verbal communications. All Purchase Orders shall be approved and accepted by NEC in their Dallas office. 6.2 . Delays caused by lack of completed site preparation or failure to meet any responsibilities as specified on the part of the Customer will be billed at NEC's time and materials rates plus expenses. Any additional costs incurred by the Customer as a result of delays shall be the sole responsibility of the Customer. . 6. 3. Services required by the Customer to be performed outside of normal business hours (8 a. m. to 5 p. m . Monday through Friday local time, excluding NEC-observed holidays), unless otherwise planned for and agreed to in writing, shall incur additional charges in accordance with, and will be billed at NEC's prevailing labor rates. 6.4, The Customers network architecture design shall not change between the date of the Customers execution of this SOW and the completion of all Services contemplated within. 6.5. The Customer is responsible for any facility issues that may arise (Le. bad or incorrect cabling , not meeting cable plant, environmental or power specifications, lack NEC UnMed solutions, Inc. The Customer may contract with NEC for resolution of these issues. 6.6. Unless purchased through NEC, the Customer is responsible for ordering and verifying availability of any required Telco circuits: 6.7. Customer will schedule and inform users of any required systems outage. 6. 6. NEC requires a minimum lead-time of fourteen ( 14) calendar days from Customer's execution of the SOW to begin work. NEC will make commercially reasonable efforts to meet the requested installation date. 6.9 . NEC shall require a schedule extension of thirty (30) calendar days for any personnel change requests made by Customer. Services not covered under this SOW: 6. 10. Support or replacement of Product that is altered, modified, mishandled , destroyed , or damaged by natural causes or damaged due to a negligent or willful act or omission by Customer or use by Customer other than as specified in the applicable NEC or manufacturer-supplied documentation. 6. 11 . Services, software, or hardware required for software or hardware problem resolution resulting from third-party products or unforeseen circumstances. 6. 12. Any hardware upgrades required to run new or updated software. 6. 13. Any additional network audit, network assessment, network design, consulting, and/or training services that are offered under a separate Statement of Work. NOTE: When an "overtime" or "off hours" System Cutover is purchased, the cost is calculated based an a 5 p. m, start time. Additional overtime charges may apply if a Cutover start time later than 5 p. m . is requested. The same basis would apply for other "off hours" work performed within the contract or requested additionally. 7. Completion of Services Upon completion of all work, NEC shall submit to the customer a Services Completion Checklist for their review and signature. Customer shall ensure that the proper personnel are scheduled to review each completed Service or Deliverable upon receipt of this notification. The assigned Customer personnel shall indicate their acceptance of the Service or Deliverable by signing the Services Completion Checklist within five (5) days from the presentation of the completed Service or Deliverable. Services and Deliverables will be deemed accepted if the assigned Customer representative fails to respond within this five-day period. If a Service or Deliverable is not complete for any reason , Customer shall provide written notification to NEC. NEC shall have ten (10) days after the receipt of such notice from the customer to correct the error, given it is within NEC's scope to do so. Such time period to correct the error may be extended by mutual consent. OUTLINED AND ATTACHED HERETO, THE FOLLOWING LICENSE SHALL BE APPLICABLE TO SOFTWARE PROVIDED FOR USE WITH SUCH PRODUCT, IF ANY: a. NEC grants Customer a non-exclusive license to use Software provided under this Agreement (including related documentation) for the useful life of the Product(s) solely to operate and maintain the Product(s) purchased under this Agreement. NEC may immediately terminate such license, in the event that Customer, without NEC's prior written consent: (i) Discloses any portion of the Software to a third party; (ii) Reverse compiles, disassembles, modifies, adds to, deletes from or otherwise alters the Software in whole or in part, (iii) Sublicenses the Software; (iv) Transfers the Software to, or shares the use of the Software with , a third party (other than for maintenance), except as provided in Section 3 c. below, or; (v) Uses the Software on a system or equipment other than that provided to Customer under this Agreement. b. In addition, this Software license will automatically terminate if NEC terminates this Agreement due to Customer's default, as provided for in this Agreement. If this license is terminated, Customer will. at NEC 's option , either return the Software to NEC, or erase or destroy any Software and all copies and certify the same to NEC, if requested. c. Notwithstanding any other provision herein, Customer may not assign, sublicense or otherwise transfer Customers rights or interest in this Software license, in whole or in part, except to a third party who has acquired the Products from Customer, and agrees to be bound by the terms of this license. COMPANY MUST FORWARD WRITTEN EVIDENCE OF THE ABOVE TO NEC AS A CONDITION TO ANY TRANSFER OF THE SOFTWARE LICENSE. EXCEPT AS PROVIDED ABOVE, THE ABOVE LICENSE IS NOT TRANSFERABLE TO ANY OTHER SYSTEM OR EQUIPMENT, EVEN IF MANUFACTURED OR PROVIDED BY NEC . UNDER NO CIRCUMSTANCES SHALL COMPANY (OR, IF PERMITTED ABOVE, COMPANY'S TRANSFEREE) ACQUIRE TITLE TO THE SOFTWARE, OR ANY RIGHT OR INTEREST TO THE SOFTWARE OTHER THAN AS SET FORTH ABOVE. Agreement between Indian River County and NEC Unified Solutions This Statement of Work is governed by incorporated into, and made part of the Master Purchase Agreement ("MPA") 41 L/�/ �— between NEC Unified Solutions, Inc. ("NEC"), a Nevada Corporation, at 6535 N. State Highway 151 , Irving, TX 75039 and Indian River County ("Customer"), having its principal place of business at 1840 25th Street, Vero Beach, Florida 32960 as of the date last written below ("Effective Date ') . This SOW defines additional provisions for applicable Hardware/Software and/or Services ("Products") that NEC shall sell and/or license to Customer under the terms of the Master Purchase Agreement ("MPA") and as specifically defined in the related Equipment List, Services List, and/or SOW. The terms of this SOW are limited to the scope of the related Equipment List, Services List, and/or SOW's and shall not be applicable to any other Exhibits, which may be executed and attached to the MPA. IP RediCheck Disclosure To validate Customer's network capacity to support expected call volume at and between Customer site(s), NEC Unified Solutions performs the IP RediCheck test prior to IP Telephony implementation. Failure to pass the IP RediCheck indicates that the Customer's network cannot adequately support IP Telephony as intended and further examination is recommended. NEC Unified Solutions offers a comprehensive IP Telephony Assessment that investigates network issues and provides recommendations for remediation . APPENDIX A - SERVICE RESPONSIBILITIES Customer and NEC agree to the following specific responsibilities required for this project. Fa +fie FP . 1 . Acceptance of SOW NEC shall be responsible for the following: 1 . 1 . Provide and sign contract documents. 1 .2. Upon Customers acceptance of SOW, invoice first 50% of service price. Customer shall be responsible for the following: 1 .3. Review and sign contract documents. 1 .4. Submit payment for first 50% of service price. 2. Site Readiness NEC shall be responsible for the following: 2. 1 . Provide a Project Manager to serve as NEC's contact in all aspects of this engagement, including scheduling, defining requirements, change control, escalation, implementation planning and acceptance. 2.2. Cenduet site survey to determine network and site readiness prior to implementation and deliver recommendations to Customer. Customer shall be responsible for the following: 2.3 . Provide a single contact for all aspects of this engagement, including scheduling , defining requirements, ensuring delivery of necessary information and access, ensure site readiness, change control, escalation, storage areas , implementation planning and acceptance. Any schedule changes must be made at least ten (10) business days prior to any scheduled activity. 2.4. Make changes as recommended by site survey prior to implementation. 2.5. Provide adequate environmental conditions as per manufacturer's specifications for all equipment to be installed. 2.6. Provide proper access to the site for Product installation. 2.7. Order, install , and test all data and voice circuits prior to scheduled insitaliation date. Ensure that Telco demarcations and circuits are clearly identified (if not supplied or managed by NEC) 2. 8. Provide a tetter of Agency and contact information for each vendor where NEC will act as the primary interface on behalf of the Customer (as applicable) . 2. 10. Provide a PBX, Telco, network, andlor cabling technician to be available during installation and testing (if not supplied or managed by NEC). 2. 11 . Install and verify the operation of all Customer Provided Equipment (CPE) not provided by NEC. Provide system documentation for CPE, if requested . 2. 12. Provide an On-Site Staging room per Site Readiness requirements. Provide a telephone line for use by the installation team . 2 . 13. Provide information relative to available interfaces, dial plan and user directories, cable distances and routes between the phone system and other equipment. 2 . 14. If requested , provide building layout for applicable locations (current floor plans , cabling and power locations). 2. 15. Establish an in-house routine to back, up the system (as applicable). I Delivery of Equipment NEC shall be responsible for the following: 3. 1 . Deliver Equipment (hardware and/or software) per Equipment List to site(s) specified by Customer. 3.2. Invoice Customer for 100% of equipment shipped to specified customer site. Customer shall be responsible for the following: 3 . 3. Provide shipping addresses and contact names for each site. 3 .4. Provide secure storage area for equipment to be shipped. 3. 5. Submit payment for 100% of equipment shipped to Customer-specified site. 3.6. Sign the proof of delivery form (POD) at the time of delivery, for the installation to 'i continue. f Im 4. Database Conversion / Design NEC shall be responsible for the following : 4. 1 . Convert / design user database for loading into new PBX (not required for IV52). 4. 2 , Provide documentation and tools for developing System and user database (if applicable). 4. 3. Recommend configuration to maximize System performance. 4.4. Recommend configuration of security safeguards for the System . 4. 5. Set Cutoff Date for any database changes (See Assumptions & Limitations). 4.6. Submit database to Customer for review and approval. Customer shall be responsible for the following: 4.7. Provide network accounts and privileges for implementation, as needed . 4.8. Provide database information as required for System installation in an NEC-approved format. 4.9. Provide user directoriesllists, numbering plan, security levels, restrictions, and access privileges to be implemented on the System . NEC Unified Solution, Inc. Provide applicable configuration detail for applications involving other service providers (i .e. paging service). 4. 11 . Submit database changes prior to Cutoff Date and approve System database. 5. NEAX Voice System Installation and Configuration (Excluding Terminals) NEC shall be responsible for the following: 5 . 1 . Install equipment rack and components, test power system, install rectifier and battery (if applicable). 5.2. Assemble the Main Distribution Frame (MDF) and the System Modules (as applicable) . 5 . 3. Interconnect the System Modules to the switch-side blocks on the MDF (as applicable). 5.4. Install, program, and test circuit cards to be used as interface to the NEAX voice system solution, including necessary MDF and integration connections. 5.5. Verify and/or develop trunk route and dial plan configurations with input from Customer design team (if applicable) . 5.6. Verify or configure system to the approved database, user classes of service, and toil and station restrictions (as applicable). 5.7. Develop the implementation-specific network diagram and equipment room diagram(s) with input from Customer and/or the design team. 5.8. Input Customer-approved database into the PBX. 5. 9. Determine that all local and long-distance services have been installed by the "Telco" at the customer's demarcation point (as applicable). 5. 10. Determine status of any dial-up or LANM/AN connections that will be made to the system for customer access. 5. 11 . Connect remote maintenance access to support NEC service access to system for duration of warranty and maintenance period (per Equipment List) 5. 12 . Cutover the system by MDF cross-connect (as applicable) and perform post-cutover testing. 5. 13 . Deliver system installation documentation. Customer shall be responsible for the following: 5. 14. Mutual identification of installation location. Ensure all power and cabling requirements are accessible to this location . 5. 15. If applicable, provide appropriately sized UPS. 6. 16. Approve and perform Customer-provided changes to equipment room(s). 5. 17. Adhere to cutoff date for database changes in Implementation Plan. 6. Station Cabling — Rouse NEC shall be responsible for the following: 6. 1 . Meet with Customer to discuss the location and condition of the existing station cable including any known problems. Plan the station-side of the MDF. 6.2. Test and label all telephone station cable for the number of locations specified in the Equipment List. Resolve any asbestos and infection control issues involved in the cable reuse. 6.4. Resolve cable issues found during the Place , Test and Designate step that concern the station cable reused under this SOW. 6.5. Resolve cable issues having to do with any distribution or riser cable. 6.6. Provide security clearances, escorts, special safety equipment, and access training as required to access the site for station cable issues. 7. Set, Test and Designate Terminals NEC shall be responsible for the following : 7. 1 . Unbox, assemble and attach designation strips for telephones provided by NEC. 7.2 . Place and test all telephones and consoles specified in attached Equipment List. 7. 3. Report telephone test failures due to cabling for Customer resolution. Customer shall be responsible for the following: 7.4. Provide any security clearances, escorts, special safety equipment, and access training as required to access the site for telephone installation. 8. Cutover Support NEC shall be responsible for the following 8. 1 . Provide a resource to assist users at the Customers site upon cutover of the system. Customer shall be responsible for the following: 8.2 . Provide a workspace for the Help Desk (as applicable). 8.3. Provide any security clearances, escorts, special safety equipment, and access training as required to access the site for cutover coverage. 8.4. Prohibit changes to system configuration except by NEC-trained and/or certified personnel . 9. Project Acceptance NEC shall be responsible for the following: 9. 1 . Complete and give the Services Completion checklist to Customer to sign . 9.2. Provide all system installation documentation. 9. 3. Upon signed customer acceptance, invoice Customer the remaining 50% of service price. 9.4. Resolve all non-conforming issues identified by Customer in writing prior to the Cutover Date ("Acceptance Date"). Customer shall be responsible for the following: 9.5. Sign Services Completion checklist indicating acceptance of all completed activities associated with this implementation. The system shall be accepted, for purposes of this SOW, 15 days after the Cutover Date (the "Acceptance Date") , unless Customer NEC unified SOIUtlons, Inc. Submit payment for remaining 50% of service price. Warm_rLt}P 10, On-Call Workmanship Warranty (days 1 to 90 after Cutover) NEC shall be responsible for the following: 10. 1 . Provide on-call technicians during normal business hours.
