THIS AGREEMENT , made this 17th day of February , 2004 ,
by and between the CITY OF VERO BEACH , a municipal corporation organized
and existing under the laws of the State of Florida , whose mailing address is Post
Office Box 1389 , Vero Beach , Florida 32961 - 1389 ( hereinafter "CITY" ) , and the
EMERGENCY SERVICES DISTRICT OF INDIAN RIVER COUNTY , a special
district of Indian River County , operating by and through its Board of
Commissioners , whose mailing address is 1840 25th Street , Vero Beach , Florida ,
32960 ( hereinafter " DISTRICT" ) ,
WITNESSETH :
WHEREAS , in 1956 , CITY and the VERO BEACH VOLUNTEER FIRE
DEPARTMENT , INC . ( hereinafter "VOLUNTEERS " ) entered into a lease of City-
owned land near the new Barber Bridge for the purpose of constructing a
volunteer fire department building ; and
WHEREAS , the lease was for a term of forty-five (45 ) years with the
exclusive right , option and privilege in VOLUNTEERS to renew the lease for an
additional term of forty-five (45 ) years , provided that VOLUNTEERS were not in
default of any provisions of the lease and provided that VOLUNTEERS
requested the lease extension within certain time frames ; and
WHEREAS , in 1994 , CITY and VOLUNTEERS amended the lease to
reflect that they had consented to the assignment to and joint use of the leased
premises by "the Indian River County Fire District , the Indian River County

Department of Emergency Services , and the VOLUNTEERS ; " and also added
additional property to the east of the land leased in 1954 ; and
WHEREAS , by letter dated June 11 , 2002 , the VERO BEACH
VOLUNTEER FIRE DEPARTMENT , INC . acknowledged that it had no further
interest in the lease , with the result that the EMERGENCY SERVICES DISTRICT
OF INDIAN RIVER COUNTY could deal directly with CITY ; and
WHEREAS , by letter dated August 2 , 2000 , the Director of the INDIAN
RIVER COUNTY DEPARTMENT OF EMERGENCY SERVICES requested that
the lease be renewed for an additional term of forty-five (45 ) years ; and
WHEREAS , CITY believes that such an extension will be in the public
interest ; and
WHEREAS , in addition to the legal description and sketch contained in the
Amendment to Lease dated May 3 , 1994 , it has become necessary to include a
45-foot portion of old State Route 60 right-of-way since this area is being used by
the DISTRICT for parking ;
NOW, THEREFORE , for and in consideration of the premises and other
good and valuable consideration , the receipt and sufficiency of which is hereby
acknowledged , CITY and DISTRICT do hereby agree as follows :

1 . Lease Renewal
That certain lease originally between CITY and the VOLUNTEERS , dated
April 2 , 1956 , a copy of which is attached hereto as Exhibit " C , " as modified by
the Amendment to Lease dated May 3 , 1994 , a copy of which is attached hereto
as Exhibit " D , " is hereby renewed for an additional term of forty-five (45 ) years ,
so that the termination date of the lease will now be April 1 , 2049 .
2 . Legal Description
That the legal description of the leased premises is hereby amended to
read as set forth in Exhibit "A" attached hereto .
3 . Other Conditions to Remain In Effect
All other terms and conditions of the lease as amended shall remain in full
force and effect .
IN WITNESS WHEREOF , the parties hereto have affixed their hands and
seals on the day and year first above written .

S . In consideration of the Volunteers faithful performance of all
I of the terms and conditions of this Lease, the City does herewith agree as j
follows , to- wit:
(a) To furnish without charge to said Volunteers all water and
electric power used and consumed by said Volunteers on said premises . i
(b) To maintain insurance upon said premises in such amounts
and of such type and character as the Council shall hereafter determine.
(c) To pay any and all taxes levied or assessed against the prop-
;; erty herewith leased. j
6. As a part of the consideration of this Lease , the Volunteers 1
do herewith agree to continuously keep , operate and maintain said property I
and improvements thereon for the purpose of promoting the objects and
powers hereinbefore recited, to keep said premises in a clean and attractive
� condition and to use the same in such manner as the same shall not constitute
a nuisance to the adjoining property or the general public and to do any and
all other things necessary in order to promote all of the purposes of this 1

7 . In order to exercise the option for renewal provided herein,
II the Volunteers shall give notice to the City of its intention and desire to
exercise said option for renewal, which notice must be given not more than
One (1 ) year before the expiration of the primary term and not less than Six

II (6) months before the termination of said primary term. In the event said i
ii notice is not so given, then said option for renewal shall become null and
!' I
� void.

S . All building, structural improvements and additions now on

said property or which shall be hereafter erected on said property shall be ' i
and remain the property of the City and all fixtures , appurtenances and prop- ii

!, erty of any kind not permanently affixed to the realty which may be severed
,I or removed therefrom without injuring the realty or structural improve-
ments shall be . and remain the property of the Volunteers.
9. In the event any levy , lien or attachment shall be made

against the interest of the Volunteers in the leasehold interest hereby created
or . 1f any other proceedings at law or in equity be instituted to subject said
premises or any part thereof to the payment of any debt, claim or liability
of or against the Volunteers, provided the same is based upon a final judg-
ment or decree from a Court having jurisdiction thereof, or if the Volunteers
shall become insolvent or bankrupt or if proceedings for receivership or
bankruptcy shall be instituted against it or if it shall make an assignment for
the benefit of creditors or if in any manner it seeks , permits or suffers the
fee or the leasehold interest hereby created to become transferred or en-
cumbered, then and in any such event, the same shall be deemed to consti-
tute a breach of this Lease at the option of the City so as to terminate all
rights, privileges and interests of the Volunteers herein imless, however,
the Volunteers shall obtain and procure within Thirty (30) days after - the
same shall have been done, instituted , filed or made, a discharge, release,
cancellation or withdrawal thereof or within like period bond the same off

from said premises and leasehold interest.

iI 10. If default shall at any time be made by the Volunteers or

�I any breach of this Lease made or suffered by the Volunteers in any of the

�I terms hereof to bepkept and performed by the Volunteers and any such
! default or @breach shall continue for Thirty (30) days, then after the giving
of Thirty (30) days written notice by the City to the Volunteers , the City may ,
declare this Lease terminated and to re- enter and take possession of said j

leased premises and to expel, remove or put out, using such force as may I
be necessary in so doing, the Volunteers or any other person in possession
I
thereof. All rights, remedies, options and advantages of the City hereunder ,
i
shall be cumulative and in the event of a breach, the election or enforce-
•, I
meat of one or more thereof by the City shall not be deemed a waiver of any
i
or all of the others.
11 . If the Voluntders shall do and perform all of the things
I
herein provided for it to be kept and performed, then the Volunteers shall
peaceably and quietly have , hold, possess , use and occupy said premises
i
for and during the term hereof without hindrance or molestation by the City
or any other person or persons claiming by, through or under the City. !
12. Upon the termination of this Lease by expiration of term or
otherwise as herein provided, the Volunteers will at once peaceably surren-
der up and deliver to the City said premises , buildings and structural im- '
provements in good, safe and substantial repair and condition , ordinary
wear and tsar and damage by the elements excepted.
13. This Lease is personal to the Volunteers and the same
shall not be assigned and neither shall said premises nor any part thereof
be sublet except upon the written permission of the City.
IN WITNESS WHEREOF , the City has caused these presents to
be executed by its Mayor, attested by its City Clerk and its corporate seal
to be affixed, and the Volunteers has caused these presents to be executed by
its President, attested by its Secretary and its corporate seal to be affixed,

corporation , organized under the laws of the State of Florida ,
whose address is P . O . Box 1389 , Vero Beach , FL . 32961 - 13891
hereinafter called " CITY ; " and VE:RO BEACH VOLUNTEER FIRE
DEPARTMENT , INC . ,, a corporation not - for -profit , organized under the
laws of the State of Florida , whose address is 1840 25th Street ,
Vero Beach , FL . 32960 , hereinafter called the " VOLUNTEERS , " and
amends and modifies that certain Lease dated April 2 , 1956 , entered
into by the parties to this Amendment .
WITNESSETH :
WHEREAS , the legal description contained in the Original Lease
has very recently been determined to be inaccurate ; and
WHEREAS , the parties wish to correct the legal description and
modify several of the terms and conditions to reflect what the
parties have orally agreed to .
NOW THEREFORE , IN CONSIDERATION OF THE MUTUAL COVENANTS AND
PROMISES CONTAINED HEREIN , THE PARTIES DO HEREBY AGREE AS FOLLOWS :
1 . That the legal description of the leased premises is
hereby amended to read as set forth in Exhibit " A " consisting of a
narrative legal description and a sketch of Fire Station No . 2 ,
prepared by the City of Vero Beach Department of Engineering .
2 . That the legal description contained in paragraph 1 of
the Original Lease is hereby deleted .
3 . That the Exhibits depicting the leased premises attached
to the Original Lease , dated November 29 , 1956 , prepared by Lloyd
and Associates , Engineers and Associates , are hereby deleted .
4 . That paragraph 3 of the Original Lease is hereby deleted .
5 . That paragraph 5 of the Original Lease dated April 2 ,
1956 is hereby amended to require that VOLUITTEERS or their assigns ,
shall be responsible for the payment of all utilities , taxes ,
insurance , and fees associated with the use of the property .
6 . That paragraph 13 is hereby . amended to reflect that the
City has consented to the assignment and joint use of the leased
premises to the Indian River County Fire District , the Indian River
County Department of Emergency Services , and the VOLUNTEERS .
7 . That the parties hereby confirm the Lease in all other
respects .
