AGREEMENT TO PURCHASE AND SELL REAL ESTATE AND CONVEY
DRAINAGE EASEMENT
BETWEEN
AND INDIAN RIVER COUNTY AND VISTA PROPERTIES OF VERO
BEACH , INC .
THIS AGREEMENT TO PURCHASE AND SELL REAL ESTATE ( "Agreement " ) is
made and entered into as of the 17th day of March , 20097 by and between Indian
River County , a political subdivision of the State of Florida ( "the County" ) , and Vista
Properties of Vero Beach , Inc . , a Florida Corporation , ( " Seller" ) , who agree as follows :
WHEREAS , Vista Properties of Vero Beach , Inc . owns a 75 . 75 ± acre parcel of
property located at 6600 20th Avenue ( State Road 60 ) Vero Beach , FL . The eastern edge
of the property abuts 66th Avenue . A sketch and legal description of the property is
attached to this agreement as Exhibit "A " and incorporated by reference herein ; and
WHEREAS , the County , is scheduled to expand 66th Avenue in the near future and
the road expansion will impact and affect the Seller' s property ; and
WHEREAS , in order for the County to proceed with its road expansion plans , the
County needs to purchase property to be used as right- of-way from landowners adjacent to
66th Avenue ; and
WHEREAS , in order for the County to proceed with its road expansion plans , the
County needs to acquire an interest in property to be used as a stormwater retention pond
from landowners adjacent to 66th Avenue ; and
WHEREAS , in order for the County to construct the expanded roadway and install
the necessary drainage pipes and equipment , the County needs to acquire an interest in
property to be used as a temporary construction easement from landowners adjacent to
66th Avenue ; and
WHEREAS , the County has contacted Seller and has offered to purchase a 2 , 995
square foot ( 0 . 069 acre ) parcel of property from Seller to be used as right- of-way as
depicted on Exhibit "A" (the Right- of-Way Property) ; and
WHEREAS , the County has also offered to purchase an easement from Seller that
would permit the County to drain stormwater runoff from the expanded 66th Avenue into the
lakes system owned by Seller as depicted on Exhibit " B " (the Drainage Easement) ; and
WHEREAS , the County has also offered to purchase an easement from Seller that
would permit the County to construct and install the necessary drainage pipes and
equipment on Seller' s property as depicted on Exhibit " C " (the Temporary Construction
Easement) . The Right-of-Way Property , Drainage Easement and Temporary Construction

Easement are collectively known as the Properties , and
WHEREAS , the County is prepared to take the Properties by using its power of
eminent domain ; and
WHEREAS , Seller and the County wish to avoid the risk , time and expense of
litigation by entering into this agreement for sale and purchase of the Properties ;
NOW , THEREFORE , in consideration of the mutual terms , conditions , promises ,
covenants and premises hereinafter , the COUNTY and SELLER agree as follows :
1 . Recitals . The above recitals are affirmed as being true and correct and are
incorporated herein .
2 . 1 Agreement to Purchase and Sell Right- of-Way Strip . The Seller hereby agrees to
sell to the County , and the County hereby agrees to purchase from Seller , upon the terms
and conditions set forth in this Agreement , that certain parcel of real property located at
66'" Avenue , Vero Beach , Florida and more specifically described in the sketch and legal
description attached as Exhibit "A" , containing approximately 0 . 069 acres , and all
improvements thereon , together with all easements , rights and uses now or hereafter
belonging thereto (the " Right- of-Way Property" ) .
2 . 2 Agreement to Purchase and Sell Drainage Easement . The Seller hereby agrees to
sell to the County , and the County hereby agrees to purchase from Seller , upon the terms
and conditions set forth in this Agreement , a perpetual , non -exclusive drainage easement
over those certain parcels of real property more specifically described in the sketch and
legal descriptions attached as Exhibit " B " , (the " Drainage Easements11 copy of the
Drainage Easements shall be provided to Seller prior to executing this Contract and is
attached hereto as Exhibit " B " . The County shall have the obligation to perform emergency
maintenance on the drainage easement .
2 . 3 Agreement to Purchase and Sell Temporary Construction Easement . The Seller
hereby agrees to sell to the County , and the County hereby agrees to purchase from
Seller , upon the terms and conditions set forth in this Agreement , a temporary construction
easement over that certain parcel of real property more specifically described in the sketch
and legal description attached as Exhibit " C " , containing approximately . 037 acres , (the
"Temporary Construction Easement" ) . A copy of the Temporary Construction Easement
shall be provided to Seller prior to executing this Contract and is attached hereto as Exhibit
« C „
3 . Purchase Price Effective Date . The purchase price for the Right-of-Way Property
and Temporary Construction Easement shall be Eleven Thousand seven hundred dollars
( $ 11 , 700 . 00 ) The purchase price for the Drainage Easement shall be three hundred twenty
seven thousand five hundred dollars ( $ 327 , 500 . 00 ) for a total purchase price (" Purchase
Price " ) of three hundred thirty ninethousand

Commissioners at a formal meeting of the Board . The purchase price was established by
an appraisal of the Properties acres performed by an MAI appraiser who was mutually
agreed upon by the parties . The County shall pay and Seller shall accept the appraised
value of the Right-of-Way Property , Drainage Easement and Temporary Construction
Easement as the Purchase and Sale price of the Properties . The Purchase Price shall be
paid on the Closing Date , The Effective Date of this Agreement shall be the date upon
which the Board of County Commissioners shall have approved the execution of this
Agreement .
4 . Title . Seller shall convey marketable title to the Right-of-Way Property by warranty
deed free of claims , liens , easements and encumbrances of record or known to Seller ; but
subject to property taxes for the year of Closing and covenants , restrictions and public
utility easements of record provided ( a ) there exists at Closing no violation of any of the
foregoing ; and ( b ) none of the foregoing prevents County' s intended use and development
of the Property (" Permitted Exceptions " ) .
4 . 1 County may order an Ownership and Encumbrance Report or Title Insurance
Commitment with respect to the Properties . County shall within fifteen ( 15 ) days following
the Effective Date of this Agreement deliver written notice to Seller of title defects . Title
shall be deemed acceptable to County if : ( a ) County fails to deliver notice of defects within
the time specified , or ( b ) County delivers notice and Seller cures the defects within thirty
( 30 ) days from receipt of notice from County of title defects ( " Curative Period " ) . Seller
shall use its best efforts to cure the defects within the Curative Period and if the title
defects are not cured within the Curative Period , County shall have thirty ( 30 ) days from
the end the Curative Period

Agreement , whereupon ll be of no further force and effect , or ( ii ) extend the Curative
Period for up to an additional 90 days ; or ( iii ) accept title subject to existing defects and
proceed to closing .
5 . Representations of the Seller .
5 . 1 Seller is indefeasibly seized of marketable , fee simple title to the Properties , and is
the sole owner of and has good right , title , and authority to convey and transfer the
Property which is the subject matter of this Agreement , free and clear of all liens and
encumbrances .
5 . 2 From and after the Effective Date of this Agreement , Seller shall take no action
which would impair or otherwise affect title to any portion of the Properties , and shall record
no documents in the Public Records which would affect title to the Properties , without the
prior written consent of the County .
5 . 3 There are no existing or pending special assessments affecting the Properties ,
which are or may be assessed by any governmental authority , water or sewer authority ,
school district , drainage district or any other special taxing district .
5 . 4 Upon reasonable notice , the Vista Plantation Golf Course superintendent will be

available to advise the County as to the location of underground drainage and irrigation
lines .
6 . Representations of the County .
6 . 1 The County affirms and warrants that a licensed engineer has calculated the
amount of the additional drainage which will result from the Drainage Easement and has
determined that there is sufficient capacity in the currently existing lakes to accommodate
the stormwater runoff from 66th Avenue in its expanded condition . If a written report has
been prepared for the County , the same shall be provided to the Seller prior to executing
this contract .
6 . 2 The County certifies that the only stormwater runoff that will be drained onto Seller' s
Property will be only that which is collected on 66th Avenue between State Road 60 and
26th Street .
6 . 3 The County will provide written confirmation from St . John ' s Water Management
District that this proposed contract and the proposed additional stormwater runoff drainage
will not violate the Seller' s existing St . John ' s Water Management District permit .
6 . 4 Upon completion of the project all drainage pipes will be completely submerged so
that no pipe will be visible above the surface of the water during periods of normal water
level as determined by the St . John ' s Water management District permit .
7 . Default .
7 . 1 In the event the County shall fail to perform any of its obligations hereunder , the
Seller shall , at its sole option , be entitled to : ( i ) terminate this Agreement by written notice
delivered to the County at or prior to the Closing Date and thereupon neither the Seller nor
any other person or party shall have any claim for specific performance , damages , or
otherwise against the County ; or ( ii ) waive the County ' s default and proceed to Closing .
7 . 2 In the event the Seller shall fail to perform any of its obligations hereunder , the
County shall , at its sole option , be entitled to : ( i ) terminate this Agreement by written notice
delivered to the Seller at or prior to the Closing Date and thereupon neither the County nor
any other person or party shall have any claim for specific performance , damages or
otherwise against the Seller ; or ( ii ) obtain specific performance of the terms and conditions
hereof ; or ( iii ) waive the Seller' s default and proceed to Closing :
8 . Closing .
8 . 1 The closing of the transaction contemplated herein (" Closing " and " Closing Date " )
shall take place within 45 days of the Effective Date of this agreement . The parties agree
that the Closing shall be as follows :
( a ) The Seller shall execute and deliver to the County a warranty deed conveying

marketable title to the Right- of-Way Property , free andJproy
liens and encumbrances
and in the condition required by paragraph .

( b ) The Seller shall have removed all of its personand equipment from the
Right- of-Way Property and Seller shall deliver possesRight- of-Way Property to
County vacant and in the same or better condition thahe Effective Date hereof.
( c) If Seller is obligated to discharge any encumbrances at or prior to Closing and fails
to do so , County may use a portion of Purchase Price funds to satisfy the encumbrances .
(d ) The Seller shall execute and deliver to the County a perpetual , non -exclusive
drainage easement oveJa ar d across the property described and depicted in Exhibit
" B " , free and clear of sf and encumbrances and in the condition required by
paragraph .
( e ) The Seller shallto and deliver to the County a temporary construction
easement over , upon ass the property described and depicted in Exhibit " C " . The
Temporary Construction Easent shall become effective upon the closing date and shall
expire after five years .
(f) If the Seller is a non - resident alien or foreign entity , Seller shall deliver to the County
an affidavit , in a form acceptable to the County , certifying that the Seller and any interest
holders are not subject to tax under the Foreign Investment and Real Property Tax Act of
1980 .
( g ) The Seller and the County shall each deliver to the other such other documents or
instruments as may reasonably be required to Close this transaction .
9 . Taxes . All taxes and special assessments which are a lien upon the property on or
prior to the Closing Date ( except current taxes which are not yet due and payable ) shall be
paid by the Seller .
10 . Closing Costs ; Expenses . County shall be responsible for preparation of all Closing
documents .
10 . 1 County shall pay the following expenses at Closing :
10 . 1 . 1 The cost of recording the warranty deed and any release or satisfaction obtained by
Seller pursuant to this Agreement .
10 . 1 . 2 Documentary Stamps required to be affixed to the warranty deed .
10 . 1 . 3 All costs and premiums for the owner' s marketability title insurance commitment and
policy , if any .

10 . 1 . 4 Engineering and architectural costs incurred by Seller of $ 5 , 250 . 00 . Unpaid
invoices shall be paid directly to the engineering firm ; paid invoices shall be reimbursed to
Seller .
10 . 1 . 5 Attorney ' s fees and costs of $ 2 , 500 . 00 .
10 . 1 . 6 Appraisal fees negotiated with Armfield and Wagner .
10 . 2 Seller shall pay the following expenses at or prior to Closing :
10 . 2 . 1 All costs necessary to cure title defect( s ) or encumbrances , other than the
Permitted Exceptions , and to satisfy or release of record all existing mortgages , liens or
encumbrances upon the Properties .
11 . Miscellaneous ,
11 . 1 Controlling_ Law , This Agreement shall be construed and enforced in accordance
with the laws of the State of Florida . Venue shall be in Indian River County for all state
court matters , and in the Southern District of Florida for all federal court matters .
11 . 2 Entire Agreement , This Agreement constitutes the entire agreement between the
parties with respect to this transaction and supersedes all prior agreements , written or
oral , between the Seller and the County relating to the subject matter hereof . Any
modification or amendment to this Agreement shall be effective only if in writing and
executed by each of the parties .
11 . 3 Assignment and Binding Effect . Neither County nor Seller may assign its rights and
obligations under this Agreement without the prior written consent of the other party . The
terms hereof shall be binding upon and shall inure to the benefit of the parties hereto and
their successors and assigns .
11 . 4 Notices . Any notice shall be deemed duly served if personally served or if mailed by
certified mail , return receipt requested , or if sent via " overnight" courier service or facsimile
transmission , as follows :

Either party may change the information above by giving written notice of such change as

11 . 5 Survival and Benefit . Except as otherwise expressly provided herein , each
agreement , representation or warranty made in this Agreement by or on behalf of either
party , or in any instruments delivered pursuant hereto or in connection herewith , shall
survive the Closing Date and the consummation of the transaction provided for herein .
The covenants , agreements and undertakings of each of the parties hereto are made
solely for the benefit of, and may be relied on only by the other party hereto , its successors
and assigns , and are not made for the benefit of, nor may they be relied upon , by any other
person whatsoever .
11 . 6 Attorney ' s Fees and Costs . In any claim or controversy arising out of or relating to
this Agreement , each party shall bear its own attorney ' s fees , costs , and expenses .
11 . 7 Counterparts . This Agreement maybe executed in two or more counterparts , each
one of which shall constitute an original .
11 . 8 County Approval Required : This Agreement is subject to 1partnr

11 . 9 Beneficial Interest Disclosure : In the event Seller is , limited
partnership , corporation , trust , or any formof representative caever for
others , Seller shall provide a fully completed , executed , and swinterest
disclosure statement in the form attached to this Agreement as aomplies
with all of the provisions of Florida Statutes Section 286 . 23 prior to approval of this
Agreement by the County . However , pursuant to Florida Statutes Section 286 . 23 ( 3 ) ( a ) ,
the beneficial interest in any entity registered with the Federal Securities and Exchange
Commission , or registered pursuant to Chapter 517 , Florida Statutes , whose interest is for
sale to the general public , is exempt from disclosure ; and where the Seller is a non - public
entity , that Seller is not required to disclose persons or entities holding less than five ( 5 % )
percent of the beneficial interest in Seller .
12 . Additional Obligations of the County .
12 . 1 The County shall reimburse seller for all reasonable engineering costs and
attorney ' s fees incurred as a result of this transaction .
12 . 2 The County shall be responsible for all costs associated with amending Seller' s
existing St . Johns River Water Management District stormwater permit in order to provide
for the existing lakes to accommodate the stormwater runoff from 66th Avenue in its
expanded condition .
12 . 3 The County and its Contractor will coordinate and cooperate with Seller concerning
the timing of construction with respect to the operation of the golf course and ingress and
egress of the residents of Vista Plantation .
12 . 4 Construction will be limited to one location of the Temporary Construction Easement

at a time so as to minimize economic hardship to the Seller and allow as close to normal
business operations as possible , i . e . at no one time shall two golf course holes be
unavailable to players due to construction . Furthermore , no construction activity may begin
before June 1St of any given year and all construction activity shall be concluded and all
equipment removed no later than October 31St of that same calendar year . All activity
conducted upon the Property shall be done in such a way that all paved cart paths shall
remain clear and in such a condition that golf carts can pass safely on any paved cart path
at all times .
12 . 5 The County shall be responsible for all maintenance and repair of any equipment
installed in the drainage easement .
t 12 . 6 Upon the completion of each drainage pipe and equipment installation , the County
I shall restore the Temporary Construction Easement and any affected surrounding property
to as good or better condition . Restoration shall include , but is not limited to , fencing , turf ,
ndscaper with like species plants of equal maturity . All replacement plants must

bAZdays ; any plants which do not survive shall be replaced by the County upon
written notice delivered by the Seller to the County .
