This Work Order Number is entered into as of this 7th day of
June 2005, pursuant to that certain Continuing Contract Agreement for
Professional Services entered into as of March 15, 2005 ("Agreement"), by and between
Indian River County, a political subdivision of the State of Florida ("COUNTY") and
Hydromentia, Inc. ("CONSULTANT").
The COUNTY has selected the CONSULTANT to perform the professional
services set forth on Attachment 1, attached to this Work Order and made part hereof
by this reference. The professional services will be performed by the CONSULTANT for
the fee schedule set forth in Attachment 2, attached to this Work Order and made a part
hereof by this reference. The CONSULTANT will perform the professional services
within the timeframe more particularly set forth in Attachment 3, attached to this Work
Order and made a part hereof by this reference, all in accordance with the terms and
provisions set forth in the Agreement. Pursuant to paragraph 1.4 of the Agreement,
nothing contained in any Work Order shall conflict with the terms of the Agreement and
the terms of the Agreement shall be deemed to be incorporated in each individual Work
Order as if fully set forth herein.
IN WITNESS WHEREOF, the parties hereto have executed this Work Order as

ATTACHMENT 1 to WORK ORDER NO. 1
System Design and Monitoring Plan
1. GENERAL
This Work Order shall be included as an Attachment to the "Continuing Contract
Agreement for Professional Services" (" Agreement") dated March 15, 2005, between
Indian River County, Florida ("COUNTY") and HydroMentia, Inc. ("Consultant"),and
upon execution and delivery of a 66notice4o-proceed" shall become part of the
Agreement. It is intended and required that all services described within this Work Order
shall be completed and provided in accordance with applicable provisions within the
Agreement.
Services described within this Work Order shall include those associated with the
development of engineering calculations, construction drawings, specifications, contract
documents, and system monitoring and quality assurance plans for those components
of the proposed Egret Marsh Regional Stormwater Park directly associated with the
operations and monitoring of a proposed Managed Aquatic Plant System (MAPS),
specifically the Algal Turf Scrubber® (ATSTM) or ("ATSTM Project") as contemplated by
the COUNTY, and the general nature of which is described within the document entitled
"Indian River Egret Marsh Regional Stormwater Management Facility Project" ("Egret
Marsh Project'). Included as part of the Egret Marsh Project document, is a list of
project objectives, which are summarized within this Work Order in the subsequent
section. These project objectives shall apply to this Work Order
In its performance of services as detailed within this Work Order, HydroMentia, Inc. will
provide information, including engineering drawings and calculations, that is considered
proprietary to Hydromentia. COUNTY agrees to use such information only to evaluate
its interest in purchasing from HydroMentia, the installed process known as Algal Turf
Scrubber® or ATSTM , for the specific site application, and only the specific site
application, as contemplated within this Work Order,
2. PROJECT OBJECTIVES
The objectives of the ATSTM Project are as follows:
a. Reduce high levels of nitrogen, phosphorous, suspended solids, and other
loads (as applicable and practical), from an agricultural basin to the Indian
River Lagoon in the vicinity of Vero Beach, Florida.
b. Evaluate the ATSTM Managed Aquatic Plant Systems (MAPS) technology for
its ability to help meet the Countywide interim goal of 50% pollutant load
reduction.

c. Demonstrate the efficacy of one MAPS technology known as an Algal Turf
Scrubber® (ATSTM) as an effective structural BMP to citrus growers in the
Indian River Farms Water Control District and the public.
d. Use an ATSTM to treat the variable flows from a water control district,
significantly reducing the land space needs for nutrient removal facilities in a
basin that is rapidly changing to urban use with escalating land values.
e. Assess the use of an ATSTM to reduce seagrass growth -inhibiting optical
parameters, including suspended solids, turbidity, and color.
f. Identify beneficial uses for the biomass produced within an ATSTM; to include
but not be limited to soil additive, animal feed materials, and biogas
production.
g. Educate the public about the potential for pollutant load reduction to the IRL
using ATSTM for stormwater treatment.
3. SCOPE OF WORK
Task 1 • Analysis of Existing Water Quality and Flow Data
The Consultant shall collect and compile existing data related to (i) the rates and
scheduling of stormwater flows targeted for treatment by the ATSTM Project and (ii) the
water quality in terms of those parameters as identified within the Egret Marsh Project
document, as listed below:
• pH,
• dissolved oxygen,
• salinity,
• temperature,
• Total Kjeldahl Nitrogen,
• ammonia,
• nitrates and nitrites,
• total phosphorus,
• ortho-phosphorus,
• total organic carbon (TOC),
• color,
• biochemical oxygen demand (BOD),
• total suspended solids,
• alkalinity, and
• pesticide and heavy metal scans (limited).
Based upon this information, the Consultant shall develop a family of parameter values
to serve as the basis of design, to be detailed as average monthly conditions, and

general monthly ranges for (i) flow as MGD, (ii) air and water temperatures, (iii) total
nitrogen and phosphorus, (iv) color, (v) pH, (vi) conductivity, (vii) TOC or BODS, (viii)
total alkalinity, (ix) calcium, iron and magnesium and (x) total suspended solids or
turbidity. The Consultant shall prepare and submit to the County, a document based
upon this analysis entitled "Basis of Design for Proposed Egret Marsh Regional
Stormwater Park Developed from Historical Data." Included in this review shall be
reasonable statistical evaluations of existing data, and discussion of rationale for
establishing selected values of critical design parameters. Also to be included shall be
an assessment of potential agents, which could impair ATSTM performance.
Task 2: Pre -Construction Water Quality Monitoring
In an effort to validate, to the extent practical, the "Basis of Design" the Consultant shall
develop and implement a pre -construction water quality assessment strategy, which
shall include collection and subsequent evaluation of five independent 24 hour
composite samples from the targeted stormwater source. The scheduling of these
sampling events shall be such that the dynamics of water quality changes associated
with a sufficiently large storm event can be evaluated. It is envisioned that sampling
would include a period representative of a base flow, followed by sequential sampling
over a period after the storm event that represents the influx of upgradient stormwater.
In addition to the parameters listed as part of Task 1, other potentially relevant
environmental features, such as water level and climatic conditions will be recorded,
and for at least one sampling event, testing will be completed on those parameters
identified within Task 1 as potentially deleterious to the proposed ATSTM facility. Such
factors could include, but are not limited to herbicides, heavy metals, and mineral
deficiencies. Sampling and testing shall be coordinated with a certified Analytical
Laboratory, such as US BioSytsems of Boca Raton, Florida, which is acceptable to the
COUNTY, and which has in-place sampling and testing protocols compliant with
applicable standards. All sampling and testing will be conducted in full accordance with
these protocols.
After all pre -construction water quality data has been secured, the Consultant shall
prepare an evaluation to be attached to the previously submitted "Basis of Design for
Proposed Egret Marsh Regional Stormwater Park Developed from Historical Data"
(hereinafter "Basis of Design"), and this document revised to reflect the influence of the
pre -construction data. The revised document shall be renamed "Final Basis of Design
for Proposed Egret Marsh Regional Stormwater Park", and shall be submitted to the
COUNTY.
Task 3: Monitoring and Quality Assurance Plan
The Consultant shall prepare a comprehensive monitoring and quality assurance plan
for the ATSTM influent and effluent streams and all other sources, such as algal biomass
and compost, associated directly with the ATSTM operation, to include identification of
sampling protocols; sampling targets (water, biomass, compost solids etc.) and
parameters; sampling frequency; custody, holding times, and sample preparations and

containers; flow and biomass measurement procedures; instrumentation maintenance
and calibration; identification of procedures and limits of detection; procedures for
reporting data; and assessment and management of apparently aberrant data;
identification of involved laboratories with appropriate certifications; and other issues as
required to assure compliance with applicable State and COUNTY standards. The
monitoring and quality assurance plan shall be prepared in a format typical of such
plans for State and COUNTY projects, and shall be submitted for review, comment and
subsequent approval by the COUNTY. The Consultant shall revise the initial submittal
to incorporate acceptable responses to the various comments offered. This revised plan
shall be submitted to the COUNTY as a final document.
Task 4: System Design
Sub -Task 4a: 20% Design
The Consultant shall use the previously established "Basis of Design" and information
collected from the bench scale operations (funded independent of this Agreement
through County issued purchase orders) to complete model projections, applying the
revised ATSTM design model, or ATSDEM, as developed by HydroMentia to project
ATSTM sizing and dimensions, considering an average daily flow of approximately 10
MGD. The modeling will be done on a monthly basis, resulting in a collective projection
of performance of the ATSTM in terms of annual nitrogen and phosphorus removal; an
estimate of harvesting requirements and biomass management needs; and a review of
expected changes in pH, temperature, color and suspended solids. In addition, the
Consultant shall prepare a preliminary ATSTM layout, to include location and sizing of
the unit processes, to include, if appropriate:
• ATSTM processing area, initial layout
• ATSTM associated hydraulic features, including receiving headworks,
distribution piping, effluent flume, flow splitting structures and
effluent piping connections.
• Flex Rake Location
• Equipment storage and operational support area
• ATSTM Monitoring facilities
As part of the 20% design, the Consultant shall complete necessary on-site soil borings
and analyses for the proposed ATSTM site, and shall have this work completed by a
geotechnical group deemed acceptable to the COUNTY. This work shall include soil
borings up to 40 feet, soil classification and blow counts, groundwater levels, sieve
analyses, modified Proctor evaluations, and a professional assessment of the suitability
of the site for supporting various unit processes. The soils evaluation will allow the
Consultant to determine the location and extent of usable area, which will influence the
ATSTM site plan and unit sizing.
Also to be included as part of the 20% design shall be a preliminary hydraulic profile
with calculations, beginning with the introduction of flows to the ATSTM; development of

a composting plan and projection of composting performance; and a suggested rough
grading plan for the ATSTM Project, based upon previous boundary and topographic
surveys as provided by the COUNTY. Design elements not to be done by the
Consultant, but which need to be considered in establishing the ATSTM design include:
• Influent Pumping Station and Force Main
• Intermediate Lift Station, and associated piping for delivering flows
from a settling pond to the ATSTM
• Earthwork associated with the ponds, and support areas exclusive of
the ATSTM Project
• Littoral Zone design associated with the two pond elements
• Receiving wetland design, including effluent piping.
• Effluent piping
• Stormwater management for regions outside the ATSTM Project
• Site roads, lighting, electrical distribution, communications, security,
signage, fencing, grassing and landscaping.
• ERP permitting
These design elements need to be completed concurrent with the ATSTM Project design.
Accordingly, the Consultant shall work closely with the selected designer(s) for these
elements, and together with these designers, shall make every effort to ensure the
composite effort remains on schedule.
For purposes of this work order, the term ATSTM Project shall include all areas inside the
toes of the peripheral berm around the ATSTM itself; the ATSTM receiving box and piping
connections; flow surgers and distribution manifold; grading, HDPE geomembrane, and
geogrid matrix associated with the ATSTM floway; the ATSTM effluent flume; ATSTM flow
splitter structures, to include channel support for the Flex -Rake Harvesting unit; Flex -
Rake with necessary controls and appurtenances; connection(s) for ATSTM effluent
piping; ATSTM monitoring stations; composting areas, to include roadways connecting
ATSTM floway to composting area; operational and equipment support facilities; and
equipment as required to effectively support and operate the ATSTM Project,
Sub -Task 4b: 50% Design
The 50% design documents shall be as required for the ATSTM component for required
environmental permits. Procurement of Permits shall be by others. The Consultant shall
make 50% design submittals to the COUNTY, which shall include all elements
associated with the 20% design in addition to:
• Final Grading and Site Plan
• Typical details
• Typical sections
• Equipment, Materials and Construction Specifications
• Structure sizing and layout

Sub -Task 4c: 100% Design
The Consultant shall make 100% design submittals to the COUNTY, which shall include
all elements associated with the 50% design in addition to:
• Structural Details
• HDPE geomembrane design, specifications and QA/QC plan
• Monitoring and Instrumentation Details
• Construction Documents
• Estimated Construction Schedule
• Cost Information for ATSTM System
Sub -Task 4d: Final Contract and Construction Documents
The Consultant shall review the 100% design with the COUNTY, and other involved
parties, as deemed appropriate, and receive comments and suggestions. The
Consultant shall adjust the final documents in accordance with applicable comments
and suggestions, and submit to the COUNTY as final documents.

ATTACHMENT 2 to WORK ORDER NO. 1
COMPENSATION
The COUNTY agrees to pay and the CONSULTANT agrees to accept, a fee for
services rendered according to Attachment 1 of this WORK ORDER, with a maximum
charge under this WORK ORDER of $95,435 as set forth below.
1. FEE SCHEDULE
Payment for services for Tasks 1 through 4 shall be based upon the lump sum amounts
and deliverables presented within Table 1, below. Estimated completion times and
dates are also included. The total fee for these tasks is $95,435.
Field work associated with on-site soils, geological and groundwater analyses will be
conducted by a geotechnical group to be contracted by HydroMentia and as approved
by the County. The cost of this work, including field collection and laboratory analyses
is included in the cost proposal as a $9,000 allowance. HydroMentia will invoice the
County only for the actual fee submitted to HydroMentia for this work, and will deduct
the remainder from the lump sum amount for Work Order No, 1.
2. PARTIAL PAYMENTS
The COUNTY shall make monthly partial payments to the CONSULTANT for all
authorized work pertaining directly to this project that was performed during the
previous calendar month. Each month, the CONSULTANT shall submit an invoice for
services performed and expenses incurred pursuant to this Agreement during the
previous calendar month.
The CONSULTANT shall submit duly certified invoices in duplicate to the
Director of the Public Works Department. For lump sum line items, the amount
submitted shall be the prorated amount due for all work performed to date, determined
by applying the percentage of the work completed to the total amount due. For time
and material line items, the amount submitted shall be based on the actual hours
worked and expenses incurred for the billing period.
The amount of the partial payment due the CONSULTANT for the work
performed to date shall be an amount calculated in accordance with the previous
paragraph, less ten percent (10%) of the invoice amount thus determined, which shall
be withheld by the COUNTY as retainage, and less previous payments. Per F.S.
218.74(2), the COUNTY will pay approved invoices on or before the forty-fifth day after
the COUNTY receives the CONSULTANT's invoice.
Per F.S. 218.74(2), the ten percent (10%) retainage withheld shall be paid in full
to the CONSULTANT by the COUNTY, on or before the forty-fifth day after the date of
final acceptance of the Work by the Public Works Director.
No payment shall be made unless the Public Works Director has received and
approved the work products required under the "Scope of Services Provided by the
CONSULTANT," herein.

1s TIME FOR COMPLETION
The proposed timeline for the first four tasks are noted in Figure A. The start time is
shown as 5/2/05, and will be adjusted to coincide with actual date of the Notice -to -
Proceed from the COUNTY, with final design completed within 103 work days,
assuming delivery of County provided site topographical and boundary surveys, and
identification of, and access to, the site is sufficiently timely to permit initiation of the
work elements (sub -tasks) within the time allowances noted.
