HomeMy WebLinkAbout2010-210 1 i DEVELOPER' S AGREEMENT BETWEEN INDIAN RIVER COUNTY, FLORIDA AND ACTS , INC . THIS AGREEMENT is made and entered into this 7th day of September 1201 O , by and between Indian River County, Florida, a political subdivision of the State of Florida, 1801 27" Street, Vero Beach, Florida 32960 ( " County" ) , and ACTS , Inc . , a Pennsylvania corporation , ( " Developer" ) . WITNESSETH WHEREAS , the Developer proposes to develop Phase 3 of Indian River Estates , located on the north side of State Road 60 , south of 26'r' Street, in Indian River County, Florida ( " Project " ) ; and WHEREAS , as proposed, the Project will include a 120-bed nursing facility, together with 11 villas and other amenities , on approximately 10 acres of land . A legal description of the property is attached as Exhibit " A" ; and WHEREAS , the County desires Developer to design and implement improvements to 26fl' Street from 82n1 Avenue to existing pavement which is at a point approximately 720 feet west of 74`'' Avenue (4500 feet overall) , and County has included such intersection and roadway improvements in its funding priorities over the next five years ; and WHEREAS , the County and the Developer share mutual goals and can assist each other with respect to roadway improvements and other improvements described herein ; NOW, THEREFORE, in consideration of the mutual terms , conditions , promises , covenants , and premises stated herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the County and the Developer agree as follows : 1 . Recitals : The foregoing recitals are incorporated as if fully restated herein . 2 . Roadway Se�nents : The Roadway Segments shall consist of the following : A . Segment 1 : 26 "' Street from a point approximately 720 feet West of 74°i Avenue (West end of existing 26 °i Street improvements) to the Project' s proposed driveway connection, a distance of approximately 1900 feet . B . Segment 2 : 26b Street from the West end of Segment 1 westerly to the intersection of the Developer ' s west boundary and 26`'' Street right-of-way (approximately 654 feet) C . Segment 3 : 26 °i Street from the west end of Segment 2 westerly to 82 "' Avenue . 1 J :\Bruce\clienls\ACTS\Developer's Agreement - I .R.C. clean 6.15.09.doc 3 . Roadway Design and Permitting_ A . On or before one hundred eighty ( 180) days from the Effective Date of this Agreement, Developer will plan, survey and design for construction the proposed improvements ("Roadway Improvements") to Segments 1 , 2 , and 3 . Upon completion, said plans , designs , and surveys shall be attached to and made a part of this Agreement . B . The plans , designs and survey shall be subject to review and approval by the County, provided such review and approval shall not be withheld or delayed unreasonably . Failure by the County to respond or reply to a request for approval within fourteen ( 14) calendar days shall constitute approval . C . Following completion, review , and approval of the plans , surveys and designs , Developer shall proceed with perinitting and construction of Segments 1 , 2 , and 3 as described herein. D . Developer agrees to prepare all plans and designs , and to construct the Roadway Improvements , according to Florida Department of Transportation Green Book and Indian River County standards . County review and approval of the plans and designs shall constitute County' s agreement that the plans and designs comply with Green Book and County standards . 4 . Roadway Construction : Prior to issuance of the first certificate of occupancy for the Project, the Developer shall substantially complete construction of the Roadway Irnprovernents for Segment 1 . 5 . Reimbursement : Developer shall receive and be entitled to reimbursement for all reasonable costs associated with the Roadway Improvements , with the exception of the following, which shall be considered site-related improvements : A . Cost of design and construction of Segment 1 . Notwithstanding the foregoing, the County shall reimburse Developer for 100 % of those itemized costs shown on Exhibit ` B " , which are or will be incurred to cure certain matters for the adjacent property owner from whom the County purchased the subject right- of-way. B . Twenty- five percent (25 %) of the cost of construction of the Segment 2 Roadway Irnprovements ( " Segment 2 Fair Share " ) . Notwithstanding the foregoing, the County shall reimburse Developer for 100 % of the itemized costs shown on Exhibit "C " . (Developer will be reimbursed for 100 % of the design, permitting and construction costs of Segment 3 ) , 2 J :\Bruce\clienls\ACTS\Developer's Agreement - I . R.C. clean 6 . 15.09 .doc The total cost of construction of the Roadway Improvements , excluding the site-related improvements described above, are expenses which the County will reimburse to the Developer ("Reimbursable Expenses ") . The costs shall be allocated to each Segment on a pro rata basis , based upon linear feet . The Developer will submit invoices for such Reimbursable Expenses to the County, and the County agrees to pay such invoices according to the Prompt Payment Act ( Section 218 . 70 - 218 . 80 , Florida Statutes) . The County, through its Public Works Director, or his designee, shall have thirty (30) days to review and approve Reimbursable Expenses . Approval shall not be unreasonably withheld . Failure to reply to Developer within thirty (30) days shall constitute approval . All costs of design, pennitting, and construction (except those described in 5 . A . & B . herein) shall be deemed Reimbursable Expenses . 6 , Storrnwater Management : County and Developer agree and acknowledge that there will not be sufficient capacity within the Project to provide stornwater treatment or storage on site for any public right-of-way. 7 . Concurrency: County and Developer acknowledge and agree that Chapter 910, Indian River County Code, provides that whenever a Non-proportionate Fair Share Developer' s Agreement is executed by an applicant, and that Developer' s Agreement commits the applicant to construct major capacity-producing transportation improvements , the applicant' s project may be vested for transportation concurrency for seven (7) years . ( Such an agreement is called a " Qualified Non- proportionate Fair Share Developer' s Agreement" ) . County and Developer agree that this Developer' s Agreement shall constitute a Qualified Non-proportionate Fair Share Developer' s Agreement pursuant to Chapter 910 , Indian River County Code . Therefore , recognizing that the Developer' s proposed improvements will provide significant benefits to the transportation system, County agrees that Developer' s Project shall be vested for transportation concurrency with a seven-year Initial Concurrency Certificate following execution of this Agreement by the Board of County Cormnissioners and payment of traffic impact fees by Developer . 8 . Insurance and Indemnification : During Developer' s performance of any construction in County right-of-way covered by this Agreement, Developer shall provide the County with evidence that Developer or the Developer ' s contractor has obtained and maintains the insurance listed below . Developer or Developer' s contractor shall procure and maintain for the duration of all construction contracts , insurance against claims for injuries to persons or damages to property, which may arise from or in connection with the performance of the work hereunder by the Developer, his agents , representatives , employees or subcontractors . A . Minimum Scope of Insurance (i) Worker' s Compensation as required by the State of Florida. Employers Liability of $ 100 , 000 . 00 each accident, $ 500 , 000 . 00 disease policy limit, and $ 100 , 000 disease each employee . (ii) General Liability $ 1 , 000 , 000 . 00 combined single limit per accident for bodily injury and property darnage . County shall be an additional insured . (iii ) Professional Liability Insurance providing coverage for intentional , reckless or negligent acts , errors , or omissions committee or alleged to have been cormnitted by Developer' s Engineer with a limit of $ 500 , 000 . 00 per claim/annual aggregate . B . There shall be no more than $ 5 , 000 . 00 deductible per claim amount unless approved by the County Risk Manager. Any deductibles or self-insured retentions greater than $ 5 , 000 . 00 must be approved by the Risk Manager for Indian River County with the ultimate responsibility for same going to the Developer . C . Developer' s insurance coverage shall be primary. D . All above insurance policies shall be placed with insurers with a Best' s rating of no less than AV . The insurer chosen shall also be licensed to do business in Florida. E . The insurance policies procured shall be per occurrence policies or as generally available on the open insurance market. F . The insurance carriers shall supply Certificates of Insurance evidencing such coverage to the Indian River County Risk Management Department prior to the commencement of any work in a County right-of-way. G . The insurance companies selected shall send written verification to the Indian River County Risk Management Department that they will provide thirty ( 30) days written notice to the Indian River County Department of Risk Management of its intent to cancel or tenninate said policies of insurance . H . A written safety inspection plan must be submitted to the Indian River County Risk Management Department for approval prior to the commencement of any work in a County right- of-way. I . Developer shall include in all subcontracts for subcontractors the above insurance requirement or show them as insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated herein . J . Developer hereby agrees to indemnify Indian River County and representatives thereof from all claims arising solely from intentional , reckless or negligent acts, errors or omissions of the Developer or Developers ' representatives in the performance of services under this Agreement and for which Developer is legally liable . 9 . In the event of any litigation arising out of this Agreement, each party shall pay its own attorneys ' fees and costs . B . No amendment, modification , change, or alteration of this Agreement shall be valid or binding unless accomplished in writing and executed by all of the parties hereto . C . This Agreement shall be binding upon and inure to the benefit of the parties hereto and their successors and assigns . D . This Agreement contains the entire agreement and understanding between the parties . No representation, statement, recital , undertaking or promise not specifically set forth herein shall be binding on any party hereto . This Agreement shall not be effective unless signed by Developer and County. E . The obligations of the Developer to this Agreement are expressly conditioned upon the Developer' s decision, at Developer' s sole discretion, to proceed with the Project . F . No Building Pennit, Certificate of Completion, or Certificate of Occupancy shall be withheld or delayed by the County for Indian River Estates or airy portion thereof, nor shall the County delay or withhold any other required permits , due to the County' s failure to perform any obligation described herein, provided that the Developer is in compliance with this Agreement, all other elements of the site plan approval for the Project and applicable laws and regulations . G . Except as described herein and in the site plan approval for the Project , the County shall not require Developer to construct, contribute to , or share in the costs of any additional off- site improvements , other than the payment of or credits toward applicable impact fees . H . This Agreement and all matters arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida. Venue hereunder shall lie in Indian River County, Florida. Time shall be of the essence . 1 . This Agreement shall be deemed prepared jointly by each of the parties hereto and shall be construed on parity as between the parties . There shall be no canon of construction for or against any party by reason of the physical preparation of this Agreement . J . Whenever the singular number is used in this Agreement and when required by the context, the same shall include the plural ; and the masculine, feminine, and neuter genders shall each include the others . K. County and Developer shall grant such further assurances and provide such additional documents as maybe reasonably required by one another from time to time, and cooperate fully with one another in order to carry out the terns and conditions hereof and comply with the express intention of this Agreement. 5 J :\Bruce\clienls\ACTS\Developer's Agreement - I . Failure to insist upon strict compliance with any of the terms , covenants , or conditions herein shall not be deemed a waiver of such terms , covenants , or conditions , nor shall any waiver or relinquishment of any right or power hereunder at any one time or times be deemed a waiver or relinquislunent of such right or power at any other time or times . M . All words , terms and conditions contained herein are to be read in concert, each with the other, and a provision contained under one paragraph may be considered to be equally applicable under another in the interpretation of this Agreement . N . The words herein and hereof and words of similar import, without reference to any particular section or subdivision of this Agreement , refer to this Agreement as a whole rather than to any particular section or subdivision hereof. O . In the event any tern, condition, or clause of this Agreement is declared to be illegal or unenforceable by a court of competent jurisdiction, such declaration of illegality or ulienforceability shall not affect or alter the legality or enforceability of any remaining tern, condition, or clause hereof, provided of the parties , as set forth in this Agreement . P . Time is of the essence as to all matters in this Agreement . Q . hi the event state or federal laws are enacted after the execution of this Agreement, which are applicable to and preclude in whole or in part the parties ' compliance with the teens of this Agreement, then in such event this Agreement shall be modified or revoked as is necessary to comply with such laws , in a manner which best reflects the intent of this Agreement . This Agreement shall not be construed or characterized as a development agreement under the Florida Local Gover anent Development Agreement Act .
