WORK ORDER NUMBER 16
This Work Order Number 16 is entered into as of this 6th day of July 12010
pursuant to that certain Continuing Contract Agreement for Professional Services entered into
as of August 10, 2004 and amended effective July 24, 2007 (as so amended, the "Agreement" ) ,
by and between Indian River County Solid Waste Disposal District, a dependent special district
of Indian River County, Florida ( "District" ) and Camp Dresser & McKee, Inc . , a Massachusetts
corporation ( " Consultant" ) .
The District has selected the Consultant to perform the professional services set forth on
Exhibit A, attached to this Work Order and made part hereof by this reference . The professional
services will be performed by the Consultant for the fee schedule set forth in Exhibit B and
within the timeframe more particularly set forth in Exhibit C , all in accordance with the terms
and provisions set forth in the Agreement. Pursuant to paragraph 1 .4 of the Agreement, nothing
contained in any Work Order shall conflict with the terms of the Agreement and the terms of
the Agreement shall be deemed to be incorporated in each individual Work Order as if fully set
forth herein .
IN WITNESS WHEREOF, the parties hereto have executed this Work Order as of the
date first written above .

INDIAN RIVER COUNTY LANDFILL
CLASS I LANDFILL OPERATIONS CONTRACT
BACKGROUND
After preli ninary discussions with Indian River County Solid Waste Disposal District (IRC
SWDD) staff, it has been determined that IRC SWDD intends to issue a Request for Proposals
for the professional contract operations and management of the Class I landfill at the Indian
River County Landfill including all site preparation work and management, operation, and
maintenance of adjacent Class I landfill stormwater management system and roads . This project
consists of consulting engineering services for assistance with issuing a Request for Proposals
(RFP) for the Indian River County Class I Landfill Operations Contract .
SCOPE OF SERVICES
TASK 1 . 0 - REVIEW OF THE REQUEST FOR PROPOSALS
IRC SWDD shall prepare a draft RFP for the Class I Landfill Operations Contract. CDM will
perform a quality technical review of the draft RFP and provide comments and
recommendations to IRC SWDD . One meeting to discuss the quality technical review is
included in this Scope of Services . CDM staff located in offices outside of Indian River County
will participate in the meeting via conference call . IRC SWDD shall be responsible for
incorporating CDM' s comments and recommendations into the RFP and coordinating
approvals to advertise the RFP with the IRC County Attorney and the IRC Purchasing Division.
TASK 2 . 0 - BIDDING ASSISTANCE AND EVALUATION OF REQUEST FOR PROPOSALS
CDM will assist IRC SWDD in obtaining proposals for the Class I Landfill Operations Contract. .
CDM will attend the pre-proposal meeting, assist IRC SWDD in evaluating the proposals, assist
with recommending a proposer for Award of Contract, and assist with assembling and
awarding the contract.
CDM understands that there is a potential that IRC SWDD will receive Requests for Additional
Information (RAI) in response to the RFP . CDM will assist IRC SWDD with preparing responses
to RAIs, as may be necessary.
Included in this task is one meeting with IRC SWDD to discuss the evaluation of the proposals
that were received and recommendation of a proposer for Award of Contract . CDM staff
located in offices outside of Indian River County will participate in the meeting via conference
call . CDM will also attend the Board of County Commissioners meeting for Award of the
Contract .

PROTECT SCHEDULE
It is anticipated that the scope of services will be completed within 90 days from receipt of the
fully executed contract. CDM will perform the quality technical review of the draft RFP and
provide comments to IRC SWDD within 7 days of receipt of the draft RFP from IRC SWDD .
Award of Contract shall be completed within 60 days from advertisement of the RFP . The
project is anticipated to be completed by September 30, 2010 .
PAYMENT AND COMPENSATION
Payments for services presented herein shall be made on a time and materials basis with a Not-
to-Exceed fee . The estimated total Not- to-Exceed fee is $ 15 ,225 . CDM reserves the right for
additional compensation should services be required outside the scope of services or beyond
the estimated total Not- to-Exceed fee amount. A breakdown of the budget is shown in Exhibit
B .
