This Amendment 2 to Work Order Number 9 is entered into as of this3,,d-- day � n 3V
of May 2 011 (" Effective Date" ) pursuant to that certain Continuing Contract 2J 1 � w 1
Agreement for Professional Services entered into as of August 10, 2004, and amended
effective July 24, 2007 (as so amended, the " Agreement" ) , by and between Indian River
County Solid Waste Disposal District, a dependent special district of Indian River
County, Florida ( " District" ) and Camp Dresser & McKee Inc . (" Consultant" ) .

1 . The District has selected the Consultant to perform the professional services
set forth in existing Work Order Number 9, Effective Date March 18, 2008 .
2 . The District and the Consultant desire to amend this Work Order as set forth
on Exhibit A attached to this Amendment and made part hereof by this reference . The
professional services will be performed by the Consultant for the fee schedule set forth
in Exhibit B and -within the timeframe more particularly set forth in Exhibit C, all in
accordance with the terms and provisions set forth in the Agreement.
3 . From and after the Effective Date of this Amendment, the above-referenced
Work Order is amended as set forth in this Amendment. Pursuant to paragraph 1 .4 of
the Agreement, nothing contained in any Work Order shall conflict with the terms of the
Agreement and the terms of the Agreement shall be deemed to be incorporated in each
individual Work Order as if fully set forth herein.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment to
Work Order as of the date first written above .

INDIAN RIVER COUNTY SOLID WASTE DISPOSAL DISTRICT
OSLO CUSTOMER CONVENIENCE CENTER DESIGN SERVICES
The new solid waste Oslo Customer Convenience Center (CCC) is proposed to be constructed on the
piece of property immediately adjacent to the existing Oslo CCC on the old Oslo dump site . The
proposed improvements included in the design of the new Oslo CCC were paved access roads and
parking/ drive areas, attendant office, covered household hazardous waste and oil
collection/storage area, restroom' facilities , and a retention pond for stormwater treatment and
attenuation . The new Oslo CCC consisted of an earthen- filled ramp raised approximately 12 feet
above existing grade . The top -length and top -width of the ramp was designed to be approximately
200 feet and 120 feet, respectively. A retaining wall system was to be used around the perimeter to
retain the fill and allow roll - off transfer equipment to be used on the lower level . Access roads and
ramp areas were to be built to accommodate traffic to and from the new CCC . The " elevated"
platform-type design of the new Oslo CCC was based on the new Fellsmere CCC, which began
operating in January 2010 and was established as Indian River County Solid Waste Disposal
District' s (IRC SWDD) standard for construction of all new CCCs in IRC .
The design was recently completed and bids were received on March 4, 2011 . Due to the driven pile
system and structural elements of the construction required by the complexities of the site,
potential environmental impacts, and regulatory requirements associated with constructing on an
old solid waste dump site, the bid amounts exceeded capital costs that are considered to be
acceptable during this time of economical restraint and overall budget challenges . It was
determined that it may not be appropriate to proceed with construction of the new Oslo CCC with
the " elevated " platform - type structure, which is IRC SWDD ' s current standard for construction of all
new CCCs .
An evaluation of alternative design and operation options for the new Oslo CCC , which may be more
economically appropriate given the financial situation that currently exists, should be performed .
Such alternative options can include a " flat" on grade - type facility. This would eliminate the major
expenses of an "elevated" platform -type structure associated with the driven pile system, which is
required to support the concrete masonry unit (CMU) retaining wall and concrete footers, due to
the solid waste that is buried at the site .
Camp Dresser & McKee Inc . , (CDM ) has performed some preliminary investigations on a " flat" on
grade - type facility that utilizes stationary compactors with enclosed roll - off storage containers for
transport of residential solid waste to the landfill . It appears that this type of concept could provide
a clean, convenient, economical, and easily operated facility for the residents that utilize the Oslo
CCC . Based on discussions with IRC staff, the operator of the existing Oslo CCC; a solid waste
compactor manufacturer representative, and a visit to a similar facility in Marion County, Florida,
the stationary compactors with enclosed roll - off storage containers could be used to transport
municipal solid waste, cardboard, paper, and mixed recyclables to the landfill . Open top roll ; off

containers could be used to transport yard waste, recyclable metals, and tires to the landfill for
processing. Household hazardous waste ( HHW) could be collected at the proposed covered HHW
and oil collection/storage area . A conceptual design and further engineering analysis of this concept
should be performed so that additional information can be obtained to determine the impact on the
site plan and environmental permits that have already been obtained for this project.
This amendment includes additional engineering services to provide a conceptual design and

for this project is described below.
SCOPE OF SERVICES
CDM will undertake the following Scope of Services :
PHASE I - DATA COLLECTION DESIGN PERMITTING AND BIDDING
TASK 1 . 0 - DESIGN SERVICES
This task consists of the development of a conceptual design and preliminary engineering analysis
of a " flat" on grade- type facility that utilizes stationary compactors with enclosed roll - off storage
containers for transport of residential solid waste to the landfill .
Subtask 1 . 1 IRC SWDD Meeting
CDM will attend up to three meetings with IRC SWDD to discuss the proposed conceptual site
layout of the Oslo Convenience Center. During the initial meeting, IRC SWDD shall define their
requirements (location, facilities, configuration, etc .) . The remaining two meeting shall be reserved
for IRC SWDD to review and provide comments of the conceptual layout developed by CDM in
Subtask 1 . 3 discussed below.
Subtask 1 . 2 Data Collection and Review
CDM will review and compile available information related to the project including the following:
■ Solid waste compactor specifications and layouts
■ Existing site geotechnical, geologic, and hydrogeologic reports including geologic studies, well
logs and stratigraphic descriptions, hydrological studies, and existing geotechnical reports .
■ Existing permits and previous permit submittals .
Subtask 1 . 3 - Conceptual Site Layout
Based on the discussions during meetings with IRC SWDD (Subtask 1 . 1 ) and existing information
obtained in Subtask 1 . 2 , CDM will develop a conceptual site layout. The conceptual site layout will
be used for further analysis of the new concept to determine the impact on the site plan and
environmental permits that have already been obtained for this project. CDM will provide an initial
conceptual and up to two revisions based on review comments received from IRC SWDD ,

CDM will prepare a letter discussing the feasibility of the new conceptual layout for construction at
the Oslo site and a preliminary budget- level opinion of probable construction costs of-the new

proposed Oslo CCC . The letter will also identify the impacts to the site plan and environmental
permits . Based on the final new conceptual layout and our understanding of the required design
and permit modification, CDM will prepare an amendment for additional design, permitting,
bidding, and construction services for approval by the IRC Board of County Commissioners ( BOCC) .
CDM will assist IRC SWDD with the preparation of presentation materials necessary for presenting
the proposed new conceptual layout to the IRC BOCC . CDM will attend one IRC BOCC meeting to
provide IRC SWDD staff with technical assistance during the meeting.
CDM reserves the right to request additional compensation should IRC SWDD request additional
meetings or revisions to the conceptual layout beyond those provided in the Scope of Services of
this amendment described above .
