This Work Order Number 10 is entered into as of this lto day of ,4 Pa l 1.. , 2014
pursuant to that certain Continuing Contract Agreement for Professional Services entered into as of
December 6, 2011 (` Agreement"), by and between Indian River County, a political subdivision of the
State of Florida (' COUNTY") and CDM Smith Inc., formerly Camp Dresser & McKee Inc. ("Consultant").
The COUNTY has selected the Consultant to perform the professional services set forth on
Exhibit A (Scope of Work), attached to this Work Order and made part hereof by this reference. The
professional services will be performed by the Consultant for the fee schedule set forth in Exhibit B (Fee
Schedule), attached to this Work Order and made a part hereof by this reference. The Consultant will
perform the professional services within the timeframe more particularly set forth in Exhibit A (Time
Schedule), attached to this Work Order and made a part hereof by this reference all in accordance with
the terms and provisions set forth in the Agreement. Pursuant to paragraph 1.4 of the Agreement,
nothing contained in any Work Order shall conflict with the terms of the Agreement and the terms of
the Agreement shall be deemed to be incorporated in each individual work Order as if fully set forth
herein.
IN WITNESS WHEREOF, the parties hereto have executed this Work Order as of the date first
written above.

EXHIBIT A
SCOPE OF WORK
INDIAN RIVER COUNTY
ALL ABOARD FLORIDA
REVIEW OF ENVIRONMENTAL PLANNING DOCUMENTS
BACKGROUND
All Aboard Florida (AAF) is developing a passenger rail service between Orlando and Miami, Florida. As
part of the proposed project, there are 30 instances within the Indian River County boundaries where
the proposed rail system crosses County, City or private roadways. As part of the project development,
AAF has prepared an environmental impact statement (EIS) and a noise study that address potential
issues or concerns relative to obtaining easements for each crossing from the governing entity of each
intersection and the compatibility of the proposed crossings with existing environmental components.
Specifically, there are 21 such crossings where the rail system crosses County roads, for which AAF and
the County must develop lease agreements. The remaining 9 crossings are either at City intersections or
crossings of privately owned land. In addition, there are 2 Florida Department of Transportation
crossings within the County that will be excluded from this scope of services. The County has requested
the services of CDM Smith Inc. (Consultant) to review the EIS on behalf of the Public Works Department
and provide comments to the County relative to all 30 crossings.
The following scope of services details the tasks necessary to complete the review.
SCOPE OF SERVICES
Consultant will perform the following services associated with the review of AAF's EIS.
TASK -1.0 EIS -DOCUMENT -REVIEW
It is the Consultant's understanding that design plans for the AAF rail system are not yet available for
review; however, it is anticipated that the portion of the system within the County will fall within the
existing Florida East Coast (FEC) railroad corridor. Therefore, the proposed improvements within the
County are expected to be limited to improving existing crossings in order to achieve the higher rail
speed (rebuilding of bridge crossings, installation of additional side protection, advanced warning
systems, etc.).
Consultant will review the primary EIS that will be provided by the County once available. This review
will be limited to the main document, including the archeological and historical summary, and will not
include review of the supporting reports/documents unless specifically requested by County staff with
services negotiated under separate cover. The review will focus on AAF's plan to comply with applicable
regulatory requirements, environmental impacts associated with the crossing improvements (if the
detail is available at the time of review), potential infrastructure impacts at the existing crossings and
other related environmental impacts to the County identified in the report. Consultant's comments will
be summarized in a letter report to County staff.
TASK 2.0 REVIEW OF NOISE STUDY
Consultant will review the noise study prepared by AAF as it pertains specifically to the impacts to land
owners surrounding each proposed crossing. The review will include compatibility evaluation with the
County's Land Development Regulations. If FEC information is readily available, the information on the

proposed high speed rail system will be compared to the existing noise levels of the FEC rail system for
reference purposes. Consultant's comments will be summarized in the letter report prepared under Task
1.0.
TASK 3.0 FIELD EVALUATION OF CROSSINGS
County staff has requested that Consultant personnel accompany AAF staff during the impact analysis
walk through at each intersection. It is anticipated that the field evaluation of the proposed 30 crossings
will require two full days of field activities. During the field evaluation, Consultant's staff will note the
conditions present at each crossing to determine if any additional environmental impacts should be
considered above and beyond those items identified in the AAF EIS. Consultant's project manager
(environmental/land use impacts) and a representative from Consultant's transportation engineering
group (traffic impacts) will conduct the field inspections. Photo documentation will be compiled and
provided to the County along with a memorandum summarizing the findings.
TASK 4.0 MEETINGS WITH COUNTY STAFF
Consultant will prepare for and participate in two meetings with County staff to discuss the findings of
the EIS review. Two members of Consultant's staff will attend each meeting.
TASK 5.0 Project Management and Quality Control
Activities performed under this task consist of those general functions required to maintain the project
on schedule, within budget, and that the quality of the work products defined within this scope is
consistent with Consultant's standards and the County's expectations. Specific activities included are
identified below:
Subtask 5.1 Project Quality Management
Consultant maintains a Quality Management System program on all projects. An internal project quality
management planning session will be conducted at the start of the project. This action 1s required by
CDM Smith's quality management system guidelines.
Subtask 5.2 Project Status Reports
Consultant's project manager will prepare and submit monthly written status reports with each invoice
for an anticipated project life of three months.
OTHER SERVICES NOT INCLUDED IN THIS SCOPE OF SERVICES
Since design plans and specifications are not yet completed for the AAF project, Consultant will not
conduct reviews related to specific infrastructure improvements at each crossing beyond reviewing the
information available in the EIS Future services that may be required, but are not included in this scope
of services, include but are not limited to:
■ Easement modifications;
■ Construction, operations or maintenance oversight;
■ Meetings with Florida Department of Transportation and/or AAF;
■ Utility conflict identification or resolution;
■ Evaluation of County infrastructure impacts due to proposed track location, proposed rail bridges,
proposed elevated track proposed depressed track, roadway ramp modifications, proposed
roadway bridges over rail proposed stormwater pond locations, and existing stormwater pond
relocations and other impacts to existing roadway, bridges, drainage, and ponds; and
■ Identification of AAF plan conflicts with long-term roadway build -outs within the County.

Other items not included in this Scope of Services are:
■ Plan review;
■ Design assistance;
■ Utility/infrastructure conflict resolution; and
■ Review relative to City -owned or privately -owned crossings within the County (approximately 11
additional crossings).
COUNTY RESPONSIBILITIES
The County will provide necessary documents for review immediately upon receipt from AAF.
TIME SCHEDULE
AAF has allocated a 45 -day review period for each entity wishing to provide comments on the EIS.
Consultant will commence review immediately upon receipt of the EIS documents or the Notice to
Proceed, whichever is later. Consultant will make every effort to complete the review such that
comments can be submitted to AAF by the County by the end of the 45 -day review cycle. In the event
that the documents are not provided in a timely manner (either to the County by AAF or to Consultant
by the County), an additional 45 -day review extension may be required to be requested from AAF.
