Continuing Contract Agreement for Professional Services entered into as of December 13 , 2005 ("Agreement") , by and between Indian River County, a political subdivision of the State of Florida (" COUNTY") and Coastal Technology Corporation (" CONSULTANT") . The COUNTY has selected the Consultant to perforin the professional services set forth on Exhibit 1 , attached to this Work Order and made part hereof by this reference . The professional services will be performed by the Consultant for the fee schedule set forth in Exhibit 2 , attached to this Work Order and made a part hereof by this reference . The Consultant will perform the professional services within the timeframe more particularly set forth in Exhibit 2 , attached to this Work Order and made a part hereof by this reference all in accordance with the terms and provisions set forth in the Agreement. Pursuant to paragraph 1 . 4 of the Agreement, nothing contained in any Work Order shall conflict with the terms of the Agreement and the teens of the Agreement shall be deemed to be incorporated in each individual Work Order as if fully set forth herein . Collins II , County Attorney EXHIBIT 1 Indian River County Sector 3 Phase 1 - Construction Phase Services Scope of Work WORK ORDER 8 Sector 3 Beach and Dune Restoration Project Phase 1 - Construction Phase Services Introduction : The objective of this Scope of Work is to provide services in support of construction and monitoring (during-construction of Phase 1 and the first year post construction of Phase l. ) to fulfill expected specific permit requirements for the Sector 3 Beach and Dune Restoration Project during Phase 1 , Part 1 — Engineering Services During Construction and Part 2 — Monitoring Services During Construction and First Year Post Construction, of the Project utilizing upland sand sources . Phase l construction is expected to occur between January 13 "' and April 30`h of 2010 . Phase 2 construction is : (a) expected to occur between November 1 , 2010 and April 30 , 2011 , and (b) is dependent upon favorable results of the Indian River County Sector 3 Beach and Dune Restoration Project Upland Sand Source Sea Turtle Nesting Test Plan (Test Plan, dated November 24, 2009) developed by Indian River County in conjunction with the U . S . Fish and Wildlife Service . In general, the work will support the efforts of COUNTY staff, be performed by COASTAL TECH, and supported (via sub -contracts) by Ecological Associates , Inc . (EAI), CSA International , Inc . (CSA), Aerial Cartographics of America (ACA), and Morgan & Eklund, Inc . (M&E) as described below . The following describes the work under this Scope of Work: Part 1 — Engineering Services During Construction In general, the COUNTY will administer the separate Construction Contracts for Phase 1 ; COASTAL TECH will generally monitor construction progress and spot-check construction to provide assurances that the work is constructed in reasonable conformity with the Drawings , General Conditions, Technical Specifications, applicable permits , and the Construction Contract. Task 1. — Phase I Engineering Services : The COUNTY will directly observe and monitor the Contractor' s work to determine the progress and quality of the work, identify discrepancies and report significant discrepancies to the Contractor and COASTAL TECH. The COUNTY will keep accurate detailed records of the Contractor' s daily operations and of significant events that affect the work . The COUNTY will provide to COASTAL TECH a written summary of the Contractor' s progress on a weekly basis for review during Phase 1 . During construction, the COUNTY will : (a) Monitor the Contractor' s work for compliance with the USACE and FDEP permits . (b) Check that the Contractor maintains Record Drawings — as are required by the General Conditions of the Contract Documents . (c) Check the layout of the work by the Contractor . (d) Monitor the condition of FDEP survey reference monuments, and the Contractor' s care of these monuments . (e) Monitor the Contractor' s mobilization and demobilization of men and equipment. (f) Monitor the Contractor ' s transport of material from the upland mines to the beach fill area. (g) Monitor the details of the work including final grading and dressing of placed fill . (h) Monitor the Contractor' s work area and measures to provide for public safety . (i) Monitor turbidity monitoring and reporting by the Contractor including the Contractor ' s Testing Certificate . (j ) Monitor the Contractor ' s compliance with the Sediment QA/QC Plan . Page 1 of 5 January 18, 2010 Indian River County Sector 3 Phase 1. - Construction Phase Services Scope of Work (k) Monitor the Contractor' s work relative to any impacts to any historical, archeological, and cultural resources . (1) Check the work for substantial compliance and monitor the Contractor' s final clean-up of the project site including the staging areas and trucking routes . (m) Document and monitor conditions of the areas to be used by the Contractor including trick routes, staging areas, and the overall Project area before, during, and after constriction . (n) Collect and deliver (<_64) sand samples to COASTAL TECH ' S Vero Beach office . (o) Confer with existing Marine Turtle Permit Holders to coordinate work (see Task 3 ) . (p) Take representative photographs along each fill acceptance section and compile them in a document to photo-document that the Contractor tilled the beach following completion of each fill acceptance section of Phase 1 . During construction, COASTAL TECH will : (a) Attend weekly progress meetings with the COUNTY and the Contractor via COASTAL TECH Project Engineer. (b) Conduct site visits to spot check the Contractor' s progress and construction — twice per week one of which will correspond with a weekly progress meeting . (c) Analyze pre-construction surveys (obtained via prior authorization or under WORK ORDER NUMBER 6) to re-assess the contract volume required for construction. (d) Amend the Technical Specifications and Drawings to incorporate amendments as may be required by FDEP and/or the USACE . (e) Perform independent spot-check sampling (obtained during site-visits by COASTAL TECH or otherwise provided by the COUNTY) and analysis (—<64 samples ) of sediment samples to check the Contractor ' s compliance with the Sediment QA/QC Plan. (f) Check the work for substantial compliance with the Drawings, General Conditions, Technical Provisions, applicable permits, and the Construction Contract . (g) As may be requested by the COUNTY, draft up to three (3 ) Change Orders for approval by the COUNTY and Contractor . (h) Prepare Construction Field Directives . (i) Interpret the Contract Documents . 0 ) Seek to resolve claims by the Contractor and/or COUNTY . (k) Consult and advise the COUNTY relative to progress and requirements of the Project . (1) Review payment applications from the Contractor, and prepare Certificates recommending payment by the COUNTY . (m) Prepare and submit up to six (6) monthly Periodic Progress Reports to FDEP . (n) Prepare and submit a Final Certification to FDEP . Prepare and submit a letter to the agencies summarizing the findings of item q in Task I above . (o) Under subcontract with Morgan and Eklund, Inc . , perform "pay profile surveys " and determine actual quantities placed by the Contractor for acceptance of fill segments at a minimum segment length of 1 , 000 feet with pay profiles at a spacing of 100 feet; for Phase 1. a total of 230 "pay surveys" are required; a total of 230 "pay surveys" are planned to coincide with spot checks during constriction . These surveys will be performed within two weeks prior to beach fill being placed and within one week after the beach has been filled along each 1 , 000 foot long acceptance section . Pre-fill surveys will include bathymetric data collected conventionally using a laser for stationing and differential leveling for elevations . Page 2 of 5 January 18, 2010 Indian River County Sector 3 Phase 1 - Construction Phase Services Scope of Work Part 2 — Monitoring Services (During Construction and First Year Post Construction) In general, work described in Part 2 constitutes monitoring required by FDEP or the USACE permits consistent with the USF &WS Biological Opinion dated December 2 , 2009 . Post-Phase 2 Construction Biological Monitoring is not addressed in this Scope of Work. Task 2 — Phase 1 Permit Administration : During construction of Phase 1 , COASTAL TECH will confer with the COUNTY, the Contractor, USACE and FDEP staff to check and document that the Contractor and COUNTY have fulfilled reporting requirements as cited in the permits . COASTAL TECH will : (a) Prepare a tabular summary of permit requirements, the responsible entity for each applicable permit condition, and the required date for compliance . (b) Assist the COUNTY with documentation of permit compliance . (c) Maintain a written schedule and summary of permit compliance including dates that requirements are met and/or submitted to the agencies . Task 3 — During Phase 1 Construction - Sea Turtle and Shorebird Monitoring : On a daily basis during Phase 1 construction, EAI shall monitor, relocate, and/or mark sea turtle nests to fulfill requirements of item 3 ( including 3a through 3c) of the "Terms and Conditions " for the "Protection of sea turtles " in the USF &WS Biological Opinion dated December 2, 2009 — in accordance with Florida Fish & Wildlife Conservation Commission (FFWCC) guidelines . Nighttime monitoring will not be required due to use of upland sand sources . EAI will directly confer with existing Marine Turtle Permit Holders in collaboration with the COUNTY to appropriately coordinate the project monitoring by EAI with the existing yearly monitoring efforts . EAI will conduct pre-Phase 1 construction lighting surveys as required by item 11 of the "Terms and Conditions" for the "Protection of sea turtles " by the USF &WS Biological Opinion dated December 2, 2009 . In conjunction with the During Phase 1 Construction — Sea Turtle Monitoring, EAI shall conduct early nesting season shorebird surveys as required by the FDEP joint coastal permit . Task 4 — Post-Phase 1 Construction Physical Monitoring : In general , COASTAL TECH will provide physical monitoring services for immediate post-Phase 1 construction (pre-construction Phase 2 ) for the Sector 3 Project — as expected to be required by the FDEP Permit No . 285993 -001 -JC and outlined in the Physical Monitoring Plan dated December 16 , 2009 . COASTAL TECH specifically will : • via subcontract with M&E , perform topographic and bathymetric surveys of the beach and dune from R- 15 to R-60 , • via subcontract with ACA, provide controlled aerial photography from R- 15 to R-60 , and • prepare and submit a post-construction engineering report and the associated monitoring data to FDEP and USACE Page 3 of 5 January 18, 2010 Indian River -County Sector 3 Phase 1. - Construction Phase Services Scope of Work Task 5 — Post-Phase 1 Construction Biological Monitoring - Escarpments : EAI will perform services to fulfill post-Phase 1 construction requirements of item 5 (including 5a through 5b) of the "Terms and Conditions" for the "Protection of sea turtles " in the USF &WS Biological Opinion dated December 2 , 2009 - in accordance with FFWCC protocol . Upon completion of construction, both the treatments and controls will be monitored for the presence of escarpments (scarps) on a weekly basis . EAI will notify COASTAL TECH of any persistent scarps within the two treatments that may interfere with sea turtle nesting . COASTAL TECH will notify FDEP of the presence of those scarps and for coordinating any remediation measures , if required . The COUNTY will address leveling of escarpments as may be required . Escarpment data for the two controls will be included in the annual report as a basis for evaluating Project effects . Task 6 — Post-Phase 1 Construction Sea Turtle Monitoring : EAI will perform post-Phase 1 construction sea turtle monitoring services as described in the "Indian River County Sector 3 Beach and Dune Restoration Project Upland Sand Source Sea Turtle Nesting Test Plan" ( Test Plan ; dated 11 /24/09) developed by Indian River County in conjunction with the USFWS . EAI will directly confer with existing Marine Turtle Permit Holders in collaboration with the COUNTY to appropriately coordinate the project monitoring by EAI with the existing yearly monitoring efforts . Services by EAI shall be in accordance with FFWCC guidelines and shall include : ■ daily early morning nesting surveys to identify "nesting success ", • an unbiased sample of nests in each area" identified in the Test Plan to assess "reproductive success ■ "comparisons to Indian River County ' s previously completed beach nourishment projects ", ■ "Evaluation of Reproductive Success in Upland Sand Sources", ■ application of the "Criteria for Determination of Upland Sand Source Suitability", ® preparation of a summary report documenting the above . EAI and COASTAL TECH will meet with the COUNTY to review and identify any changes warranted in the summary report ; after such changes are made by EAI, COASTAL TECH will forward the summary report to FDEP, the USACE, and USF &WS and seek concurrence as to the conclusions of the Test Plan . EAI will conduct post-Phase 1 construction lighting surveys as required by item 11 of the "Terms and Conditions " for the "Protection of sea turtles" by the USF&WS Biological Opinion dated December 2 , 2009, as well as monthly evaluations of the Phase 1 Project area from June through September in accordance with the FDEP joint coastal permit conditions . Task 7 — Post- Phase 1 Construction Nearshore Hardbottom Monitoring : In general, COASTAL TECH and CSA will perform services to fulfill requirements for immediate post-Phase 1 construction "Nearshore Hardbottom Monitoring" as identified in the Biological Monitoring Plan (dated 12/ 16/09) as required by the FDEP permit . Using aerial images obtained from ACA via COASTAL TECH (developed via Task 4), the "aerial photographs will be digitized" by CSA to (i) produce GIS -based habitat map (ESRI shape files), and (ii) facilitate further analysis . Based upon these maps COASTAL TECH will assess post-Phase 1 construction hardbottom impacts — due to physical burial - likely attributable to Phase 1 of the Project . Per the Biological Monitoring Plan, CSA will : • conduct transects , quadrat sampling" and "Nearshore Hardbottom Edge Mapping" in the Phase 1 Project fill area ■ analyze the transects and prepare a summary report documenting the above . Page 4 of 5 January 18, 2010 Indian River County Sector 3 Phase 1 - Construction Phase Services Scope of Work CSA and COASTAL TECH will meet with the COUNTY to review and identify any changes warranted in the summary report ; after such changes are made by CSA, COASTAL TECH will forward the summary report to FDEP in partial fulfillment of permit conditions . Task 8 — Post-Phase 1 Construction UMAM Analysis of Hardbottom Impacts : Based upon the assessment of hardbottom impacts and the monitoring report prepared under Task 7 , COASTAL TECH will conduct a Uniform Mitigation Assessment Methodology (UMAM) analysis , pursuant to Chapter 62 -345 , F . A. C . The UMAM analysis will include qualitative descriptions of impacted communities and associated ecological functions, and quantitative estimates of the extent of impacts . COASTAL TECH will confer with FDEP staff during the undertaking and upon completion of the UMAM analysis in order to determine what mitigation, if any, the COUNTY may be required to perform. The UMAM spreadsheets, in addition to supporting documentation, will be provided in hard copy and digital format to the COUNTY for review prior to submittal to FDEP .
