AMENDMENT NUMBER 2 WORK ORDER NUMBER 2
This Amendment 2 to Work Order Number 2 is entered into as of this 21st day of
August 2012 pursuant to that certain Continuing Contract Agreement for
Professional Services entered into as of November 15 , 2011 ( the "Agreement" ) , by and
between INDIAN RIVER COUNTY, a political subdivision of the State of Florida ( " COUNTY" ) and
Geosyntec Consultants , Inc . ( " Consultant" ) .
1 . The COUNTY has selected the Consultant to perform the professional services set
forth in existing Work Order Number 2 , Effective Date 1/ 10/ 2012 .
2 . The COUNTY and the Consultant desire to amend this Work Order as set forth on
Exhibit 1 ( Scope of Work ) attached to this Amendment and made part hereof by this reference .
The professional services will be performed by the Consultant for the fee schedule set forth in
Exhibit 1 ( Fee Schedule ) , and within the timeframe more particularly set forth in Exhibit 1 (Time
Schedule ) , all in accordance with the terms and provisions set forth in the Agreement .
3 . From and after the Effective Date of this Amendment, the above referenced Work
Order is amended as set forth in this Amendment . Pursuant to paragraph 1 . 4 of the Agreement,
nothing contained in any Work Order shall conflict with the terms of the Agreement and the
terms of the Agreement shall be deemed to be incorporated in each individual Work Order as if
fully set forth herein .
IN WITNESS WHEREOF , the parties hereto have executed this Work Order as of the date
first written above .

Scope of Work for
Solid Waste Technical Assistance
August 10, 2012
SCOPE OF SERVICES
Kessler Consulting, Inc . ( KCI ) proposes to provide solid waste technical assistance to Indian River County
( County ) on an as needed basis . Services would be provided only at the request of the Solid Waste
Disposal District ( SWDD ) and would be billed on a time and materials basis . Assistance that might be
provided includes, but would not be limited to , the following :
Assist with completing negotiations for a Recyclables Transfer, Processing and Marketing
Service Contract and with presenting the contract to the Board of County Commissioners for
approval .
Calculate the monthly recyclable materials market index and revenue owed to SWDD by the
processor pursuant to the Recyclables Processing Contract ,
Should SWDD ' s recyclables processor request to conduct a composition study of recyclables
received at SWDD ' s materials recovery facility, review and comment on the processor' s
proposed methodology and possibly be on site to observe the study while in process .
Provide information and analysis regarding solid waste management trends in Florida and
the United States .
Provide updates on changes to Florida laws and regulations related to solid waste
management and the State recycling goal .
Provide other technical assistance related to solid waste management and the services
provided by SWDD .
DELIVERABLES
Deliverables will depend on the specific assistance requested by SWDD and will be agreed upon prior to
initiating work .
COMPENSATION AND TIMELINE
Because the exact level of effort that will be requested by the County is not known , KCI proposes to
conduct all work on a time and materials basis for an amount not to exceed $ 25 , 000 . Services will be
invoiced monthly at the rates provided below, which include all overhead and direct and indirect costs .
Expenses ( e . g . , travel ) will be billed at cost without markup .
POSITION RATE
Project Director/Principal $ 175/ hour
Project Manager $ 135/ hour
Senior Consultant $ 120/ hour
Consultant $ 85/ hour
Research Analyst $ 75/ hour
Technical Support $ 60/ hour
KCI will commence assigned work upon notice to proceed and will complete assigned activities in
accordance with the County' s timeframe .
KCI appreciates the opportunity to submit this Scope of Work and looks forward to the opportunity to
continue assisting Indian River County and the SWDD .
